RECITALS

WHEREAS the Customer wishes to procure for air traffic control in Moldova
Navaids equipment and the related services.
WHEREAS the Customer in its Invitation for Tenders dated 19.09.2003 has
requested companies to submit a tender to supply Navaids equipment and provide
the related services.
WHEREAS the Supplier has submitted a tender on October 15 2003 and has been
selected by the Customer.
WHEREAS the Supplier has agreed to supply the Customer subject to the terms
and conditions of this Contract and the Customer has agreed to purchase and pay.
NOW THEREFORE, IT IS AGREED AS FOLLOWS:

ARTICLE 1 DEFINITIONS
As used in this contract, the terms hereinafter defined shall have the following
meanings:
1.1.

Equipment shall mean all or part of goods, software, spare parts, tools,
documentation, etc to be delivered by the Supplier under the Contract and
described in the Technical Specifications set forth in Appendix 1 hereto.

1.2.

Services shall mean Installation, Training Course and/or Technical

Assistance to be provided hereunder by the Supplier.
1.2.1. Installation shall mean the installation works and testing to be

provided hereunder by the Supplier in respect of the Equipment.

1.2.2. Training Course shall mean the training course to be provided in

accordance with Article 13 herein below by the Supplier to the Customers

personnel in charge of operation and repair of equipment.
1.3.

Site shall mean each of the places and/or buildings described in the
Technical Specifications, where the equipment is to be installed.
