Due to eivil rest and ring in the wake of the Michael Brown shooting by a police officer in Ferguson, Missouri (in S. Louis County), Missouri Governor Jay Nixon declared a state of emergency from August 16 10 September 3, 2014. “The Missouri National Guard was mobilized to Ferguson. United Sates Atorney General Ere Holder on September 4, 2014 announced a civil rights investigation ofthe Ferguson Police Department by the Iustice Department. ‘The civil unrest and state of emergency in Ferguson were directly tied to racial segregation and a lack of quality jobs in the economically distressed low income minority communities of St. Louis. Upon receiving recognition for exemption by the IRS, LCF will immediately begin ‘working to addroas thoae iaauea by providing job traning and support to these communities St Louis. ‘The Missouri Division of Workforce Development and Department of Economic Development hhas engaged LCF in conversations regarding providing immediate relief to these communities. Potential private donors, including JP Morgan and Google, have had direct conversations with LCF about supporting its programs, pending recognition for exemption by the IRS. These entities and donors will nat work with LCF until it receives exemption under Section S01(0\(3) ‘The world’s attention ~ much of it negative ~ has been focused on St. Louis inthe weeks since Michael Brown’s shooting. LCF, with the help of governmental agencies, donors, and entreprencurs, seeks to use this attention to provide a postive response for the economically distessed low income minority communities of St. Louis. Individvals who are candidates for assistance from LCF may fall into more than one of such categories of disadvantaged or Underserved individuals. Currently less than sixty percent (60%) of the individuals LCP has been working with have any level of college degree. OF those employed prior to working with LCF, the average salary was less than $20,000. LCF fulfills this organizational purpose ‘curently through (i) placement in apprenticeships with companies that LCF has recruited 0 serve as volunteer, uncompensated partners and (i) providing mentorships, aid and edveationst support. Additionally LCF is in active dialogue with and is engaged in strategie planning with ‘many potential supporters (corporate, individual and goversmental) specifically about further ‘ways that LCF ean fulfil its charitable mission in both the near-term and the long-term. Overview: An essential right of an individual ina free and democratic society is that of gainful employment, As economies grow, specialize and become increasing technical - requiring workers to have specialized knowledge and skills - opportunites to exercise this right become increasingly difficult for les educated low-skilled individuals andr for categories of| individuals, such as women, who are traditionally underrepresented in the educational pipeline aiming towards the goal of employment in jobs in the technology sector. Such individuals who lack the resources to aecess education and other opportunities to learn the skills necessary for such employment often find themselves at an extreme economic disadvantage, causing undue siress not only on such individual, but also on their families, their communities end the social instittions or governmental organizations which choose and/or ate obligated to provide “safety- net” support to such individuals, families and communities. LCF is dedicated to making the necessary resources and support available to such disadvantaged individuals in order to fight chronic unemployment and fill an existing need in the U. S, economy. There is at present an identifiable shortage of competent computer programmers, depriving many companies and organizations of necessary manpower, while many individuals who are capable of learning the 2 skills fo become computer programmers but who lack resources and/or access to the necessary education, training and job opportunities, remain unemployed. LCF helps fill this gap in employment-eady skills for an underserved segment of potential employees and this gap inthe ‘number and qualifications of potential employees in our national economy. Current Activities: Currently, LCF provides aid to underprivileged or other disadvantaged groups of individuals seeking employment in the information technology and computer seience industries through three categories of activity: (1) apprenticeship pairing, (2) mentoring, and (3) job placement. All services of LCP are provided fee of charge to those individuals who are ierested. Along with the provision of such services to individuals in need, LCF”s 4° primary activity is working to promote awareness by potential employers of gaps in the national economy ‘and the viability of technical education and employment, and LCF"s corporate partner apprenticeship, mentoring and educational programs, through the dissemination of informative media and event hosting. Candidates are not identified or chosen by LCF. Instead, # candidate will independently show interest in the serviees of LCF and be provided with such services as needed. LCF may ‘choose to partner with organizations that work in underserved communities to provide awareness ‘of educational and employment opportunities through LCF's service. LCF’s services are provided on a non-diseriminatory basis, and are free to all. Further, the services of LCF are not Timited to individuals having a specific range of experience, but are enthusiastically provided to both novices with litle or no existing skills and to more experienced programmers looking 10 increase their knowledge and skill evel. While LCF does have an application process, the process is not used to determine the acceptability of candidates, but rather 10 assess each applicant's existing skills, personality and learning needs in order to better help each candidate ‘meet histher goals (1) Apprenticeship Pairing: As the primary mission of LCF isto help those in need find secure long term employment, LCP works closely with employers who LCF has been able to recruit to serve as uncompensated partners in order to pair such individuals (Yeandidates”) ‘with apprenticeships. The apprenticeships allow for an employer to test, train, and familiarize new employees with employment requirements at a low cost, while the candidate receives valuable work experience, payment for his or her work, and a higher likelihood of long term employment ata low risk. Because LCF does not function like a traditional recruitment agency, there is a much smaller risk of a candidate being hired for only a short time After applying to LCF's program, a candidate is evaluated based on several criteria including professionalism, skill level, and’ general aptitude to determine if they are eapable of being placed in an apprenticeship with # company that has agreed to serve as an LCF partners. If LLCF determines that a candidate does not yet have the skills to be placed in an apprenticeship, then mentoring and educational services (discussed below) are provided until an employable level of skill is reached, IF LCF determines that a candidate has the level of sill which makes the candidate capable of being placed in an apprenticeship with a partner company, the candidate will interview with one or more of such partner companies to ensure thatthe eandidate is paired with « company that fits the candidate's personal qualities and aspirations. Once a candidate and 3 company have agreed to enter into an apprenticeship arrangement, the candidate is paid atleast SIS per hour for the duration ofthe arrangement. Apprenticeships do not have a predetermined ‘duration, but continue as long as the company feels is necessary based on the progress and assimilation of the candidate. At the conclusion of an apprenticeship the company has the ‘opportunity to hire the candidate as a fulktime employes, or, should the candidate have performed unsatisfactorly, terminate the apprenticeship without hiring the candidate. In the event a candidate's apprenticeship ends without the candidate having been employed, the ‘candidate re-enters the LCF candidate pool and is paired with another company. To date, 90% of apprenticeships have resulted in a fulltime job for the apprentice at the company. This apprenticeship placement process may continue for multiple iterations without limit; however as none of LCF, the candidate, nor the potential employer benefit from such a scenario and LCF ‘ives a great deal of focus to helping @ candidate improve tis isan infrequent occurrence, 2) _ Mentoring/Counseling: Mentoring services are provided to individuals requiring ‘additional guidance in order to be viable candidates for apprenticeships. LCF office provides a location for students to meet with mentors and counselors in person, as well as work in groups, in order to overcome difficulties inthe learning process. LCF believes thatthe provision of such a space is beneficial to both students and mentors, as it allows for social learning. LCF's “Mentor Center" is located within the offices of LCF, providing physical proximity to and interaction withthe other activities of the foundation in order to maximize the Fesourees mode available t9 candidates. LCF volunteer mentors are available when possible in frder to provide support for individuals in need of such mentoring support during their IT ‘education process. LCF"s volunteer mentors cannot be available at all hours around the elock, however LCF tries to provide mentor assistance during regular weekday business hours and strives to maintain alternative avenues of access to and communication with mentors for candidates, (3) Educational Activities (“Rocket Fuel”): LCF does not discriminate based on skill level or experience when providing services to candidates. This means that while LCF may ist some candidates whose educational level and skill set allows them to be placed in an apprenticeship immediately, other candidates may join the program who require educational ad Rocket Fuel is the name of the educational component of the services that LCP provides. By working with candidates individually, Rocket Fuel provides candidates with a structured ‘curriculum designed to help candidates reach their goals and connect them withthe resources necessary for success, As each candidate's curiculum is tailored to their individual needs, no Rocket Fuel experience is exactly the same, requiring a dynamic model that networks multiple resources for each student. Many of these resources are in the form of free online programs such 1s eX, code academy, ee.... which allow quality education to be provided to LCF candidates for ree. Rocket Fuel services are not limited solely to those individuals who are not yet ‘employable. Candidates who are employable but are seeking to lean additional skills or hone existing skills are also welcome 10 participate in the Rocket Fuel program. Further, the involvement of multiple candidates with a variety of skills and experience levels allows for 4 individuals to atively engage their peers in a mutually beneficial manner, creating the posiility ‘of peer-oriented learning. LCF believes that successful education is facilitated by group activity, ‘a notion which plays into the functionality of Rocket Fuel as well as the Mentor Center. (Community Events and Public Awareness: I i the intention of LCF (© host ‘events in the surrounding community both to actively educate those who wish to attend, as well as raise awareness about the possibility of computer science oriented employment. Such events may inelude but are not limited to seminars, weekly classes offered in public spaces, social meetups, and others. LCF belioves that social activities are of the utmost importance in ‘motivating and educating individuals, and that these activites will help establish a community of people with similar needs and desires. In the past, LCF"s predecessor, LaunchCode, LLC, a Missouri limited liability company (which has as of September 1, 2014 changed its legal name to Clayton Job Services, LLC and transfered the majority ofits assets and all ofits activities to LCF), hosted events such as the ‘CS50 Haekathon and CoderGirl. The CS50 Hackathon was a large, onetime event open to the public and held in St, Louis’ Peabody Opera House by both LaunchCode, LLC and Harvard University. The event was aimed at providing fiee introductory computer science traning to those who chose to attend, as well as raising awareness of the possiblities of employment in computer science industries. CoderGirl is an ongoing weekly class meeting in a public library, which targets issues of gender inequality in technological employment by providing free ‘computer programming taining to women. LCF has been able to determine thatthe CoderGisl effort has already, within the less than one (1) year timeframe that the program has been in ‘existence, resulted in the numberof female candidates for apprenticeships inereasing from 5% of total candidates atthe outset ofthe apprenticeship effort to 35% of total candidates atthe present LCF disseminates materials promoting awareness of computer science education, and informing community members of LCF's charitable purpose and mission, as well as promoting awareness of any events being held. Such materials may include brochures, pamphlets, magazine ‘and newspaper advertisements, and other print media, as well as television and radio advertisements. LCF takes advantage of various social and communication media outlets. Through websites and social media apps like Facebook, Twitter, Reddit, and other similar avenues, LCF provides @ means for conversation and edvcational aid to candidates, and disseminates awareness ‘of computer science education and events being hosted throughout online communities. LCF hosts its own website, which provides an avenue for individuals to access the LCF services and resources as well as interact with other candidates. LCP's website links to the ‘websites of other entities in order 10 establish @ network of resourees, ai, and information motivated by the provision of fre, individualy-oriented computer programming education and job placement. Future Activites: The LaunchCode Foundation intends to continue to engage in ialogue and active strategic planning with many diverse community stakeholders who share LLCF's chavtable vision in order to develop and implement new program and project initiatives, new educational programs and resourees, organize groups and networks, continu to host events which raise awareness in furtherance of its charitable mission, and partner with additional companies, nonprofit organizations (including but limited to universities and colleges) and governmental units or agencies in order to better serve the computer coding traning and technology education needs of the underprivileged and underserved population LCF has chosen to benefit. For example, LCF may consider undertaking, alone of in partnership with other appropriate entities, development of low cost short-term housing units for young technology ‘employees whose employment level does not yet provide sufficient compensation for such employees to be able t0 afford housing in areas that are near or easily accessible by public lransportaion to the site of technology employers’ workplaces. LCFs intent is to continue 10 seek out opportunities, on a flexible basis to discern and address community needs which align with its charitable purpose. Any contributions must not place any restrictions on or conflict with LCF’s ability to cary out its charitable purposes, but LCF will accept donations that have reasonable conditions if donors ‘wish to provide support to only one oF more certain portions of LCF’s activities. LCF is currently developing a gift acceptance policy governing future donations. LCF has not yet fully planned or begun engaging in a formal fundraising program. LCF ‘may choose to raise funds by traditional means of direct mail solicitations, email solicitations, personal solicitations, and foundation grant solicitations. It is anticipated that LCF will also engage in modern-day technology-aided fundraising by including a contribution “bution” on its website. This feature will be used to provide an ‘opportunity for any donor visiting the website to contribute financially to LCF's mission. Online contributions will be processed securely by a third party online service such as Paypal or Stipe, which enable donors to make secure contributions by credit card or bank account, Money received through this channel would be direct deposited into LCF’s bank account, It is also anticipated that LCF may receive donations through other organizations’ websites. LCF will encourage organizations which partner or associate with it to promote its charitable mission by including a secure contribution feature similar tthe one described above fn their own websites. Wis anticipated that LCF will apply for government grants in the future. LCF has worked with the St, Louis Agency on Training and Employment (SLATE) in order to provide funding {or on-the-job training, as well a curriculum development with a local community college. To further the Corporation's purposes and mission, the Corporation will have and exercise all ofthe powers conferred by the provisions of the Missouri Nonprofit Corporation Act, as may from time to time be amended (the “Act”), not outside the scope of the Articles. ARTICLE TE “Members ‘The Corporation will not have members. ARTICLE I Board of Directors Section 2.1 General Powers. The affairs of the Corporation will be managed by the Boatd. Section 2.2 Number. The number of Directors on the Board will initially be five (5). The number of Directors may be changed from time to time by amendment of these Bylaws, provided that the number of Directors will be set at not less than three (3) and not more than ‘ewenty-seven (27). No decrease in the number of Directors will have the effect of decreasing the term of any incumbent Director! Section 23 Election, Class and Term of Office. The Directors will be elected by ‘majority rule atthe annual meeting ofthe Directors, In order to provide for staggered terms of office, the Directors will be equally divided, as evenly as possible, into three (3) classes with respect tothe time for which they will severally hold office and stand for election. ‘The tems of the Directors inthe first class will expire with the annual election to be held inthe year 2015, the terms of the Directors in the second class will expire at the annual election to be held in the year 2016, and the terme ofthe Directors in the third class will expire at the annual election to be held in the year 2017; provided that, in any event and irrespective of the expiration of their terms, the Directors of any class will main in office until their suecessors have been elected and qualified. At each annual meeting thereafter, the Directors elected and qualified to sueceed the Directors of| ‘any class willbe elected fora term of three (3) years expiring with the annual meeting occurring the third year thereafter (provided that the Directors of any class will remain in office until their successors have been elected and qualified), so thatthe term of office of one class of Directors will expire cach year. If the total number of Directors is changed, any inerease or decrease in Directors will be apportioned among the classes so as to maintain all groups of Directors as nearly equal in number as posible, and any additional Director elected to any group of Directors will hold office for a term which will expire with the term of the Directors in such group.” The Directors whose terms are due to expite at any annual meeting will have voting rights to eet the Directors whose terms begin with the adjournment of such meeting, and such Directors, as electors, will have the full power and authority to re-elect any, several or all of the Directors whose terms are due to expire to succeed themselves in office. Section 2.4 Annual and Regular Meetings. The annual mesting of the Board will be held on the fourth Tuesday of August af each year, which meeting will be held for the purpose of| electing Directors and forthe transaction of such other business as may come before the meeting, Iffor any year the day fixed for the annual meeting isa legal holiday, suck meeting will be held on the next succeeding business day. The delegation of authority to any committee will not ‘operate to relieve the Board or any member of the Board from any responsiblity imposed by law, Section 3.2 Executive Commitee. The Board, by resolution adopted by a majority of the Directors in office, may designate and appoint an Executive Committe of three (3) or more ectors (and no non-Directors). The President will serve as Chairman of the Executive Committee. Any action which is required to be or may be taken at a meeting of any committee may be taken without a meeting if consents in ‘writing, setting forth the action so taken, are signed by all ofthe members ofthe committee. Such officers will be elected by the Board at its annual meeting, and they will hold ‘office until theit successors are elected at the next annual mesting ofthe Board and are elected ‘and qualified, unless they earlier die, resign, or are removed from office. Any person may simultaneously hold more than one office. Section 4.2 Appointed Officers. The President may appoint, with the approval of the Board, such assistant secretaries and assistant treasurers asthe President may deem necessary or advisable Section 4.3 Duties of Chairman of the Board. If Chairman of the Board is elected, the Chairman of the Board will preside al all meetings of the Board at which he may be present and will bave such other duties, powers and authority as may be prescribed elsewhere in these Bylaws. This Policy was adopted by the Directors of the Foundation on September 2, 2014. Directors of the Foundation will each affirm their adherence to the Policy by signing a Signature and Acknowledgment affixed hereto each year at tbe annual ‘meeting of the Board of Directors of the Foundation (the “Board” Purpose The purpose of this Policy is to (delineate duties and expectations of Directors of the Foundation and (ii) protect the Foundation's interest in its Confidential Information (as defined below) as sueh information may'be disclosed to the Board in the performance of the Directors’ duties. 1. Confidential Information Definition ‘The term “Confidential Information” means any confidential or proprietary information of the Foundation, whether disclosed orally in writing, or in electronic format, or otherwise learned by Director in his or her service on the Board, that should reasonably be believed to be confidential for proprietary to the Foundation, including, without limitation, any confidential business information, trade secrets, oF information learned or discussed, or deliberations conducted, or votes casted, inthe context of any sessions or meetings ofthe Board or of any Board committee, fo any non-public information received from Director from the Foundation’s or any of the Foundation’s officers, employees, agents, or representatives, including the Foundation’s legal counsel Use and Nondiselosure of Confidential Information Director shall only use Confidential Information forthe performance of his or her Board duties Director shall, during the course of Director's service on the Board and at all times subsequent 10 Director's service, hold in confidence all Confidential Information. Director will, at no time, without prior writen authorization by the Foundation, disclose, assign, transfer, convey, communicate, or use for the benefit of any person or entity other than the Foundation, any (Confidential Information, Return of Confidential Information Within thirty (20) days of the expitaton or termination of Director's service on the Board or at any other time upon the Foundation’s request, Director shall deliver to the Foundation ot, tthe Foundation’s sole discretion, destroy all originals and all copies of all documents and other ‘materials relating in any way to Confidential Information or the business of the Foundation, including all Confidential Information stored on Director's computer(s) or other data storage systems. Any such destruction shall be confirmed in writing by an affidavit signed by Director. 3. Remedies for Breach Director acknowledges that Diretor's threatened or actual breach of any of the terms hereof may result in immediate ireparable harm and injury to the Foundation, not adequately compensable bby monetary relief.
