SPECIFIC INFRASTRUCTURE ASSIGNMENTS

A. Consulting Side

Agarwal Jetley & Co. (AJC) has several clients in project advisory field such as IIDC Ltd., UMTC
Ltd. (both ILFS Group Companies) as well as in engineering & design consulting field such as
AECOM, Ayesa & DHV Haskoning.

While with IIDC and UMTC, AJC assists in conceptualization and development project documents
such as RFQ, RFP, Concession/Construction agreements etc., with AECOM, Ayesa, SNC Lavaleen
& DHV Haskoning, it assists in risk analysis of projects, bidding, contract management and
dispute resolution.

The members of AJC also, as legal expert, do assist other firms who are working with NHAI as
IE/Authority Engineers as well as those who are on the panels of leading private banks as
Lenders Engineers for analysis of stressed/ stalled assets, due diligence of infrastructure
projects etc.

B. Developer/Contractor side

The members of AJC have worked/working with several clients who are developer/contractors
of infrastructure projects such as Alstom Transport, KSS Petron, Apco Infratech, Drake & Scull
Water & Energy India Pvt. Ltd., Passavant Energy & Environment India Pvt. Ltd. etc.

We are assisting Alstom Transport in several bidding related issues in their bids in DMRC DFCC
and LMRC issues. We are assisting them contract management and compliances issues.

With KSS Petron, we are assisting them in contract management with their sub-contractors and
vendors and in some of their arbitration of claims filed by their sub-contractors.

Apco Infratech is primarily into highway sector both as a concessionaire and contractor. We
assist them in regular bid advisory issues, contract management in concession and construction
contracts, correspondence with clients, managing EOT, claims, arbitration etc. We recently
concluded the documentation of their JV with a Turkish company for Z-Mohr Tunnel near
Srinagar awarded by ITNL.

Drake & Scull and Passavant are primarily into T&D, MEP and environment related sectors. We
assisted them in regular bid advisory and contract management issues. With Passavant, we
worked on documentation of several waste water treatment contracts and one contract for
water distribution project in the city of Nagpur, all in joint venture with local partners.
