License Agreement Notes

November 2, 1998 Product Manager

ATTENTION
Delta Partner:

Due to the nature of how this product is being released to market and how product
is provided to end users through Delta Partners, our license agreement is written
accordingly.

As a result, whichever Partner (or Distributor, as per the wording in the

agreement) is providing product to a particular project, it is that same Partner
which provides the license agreement to the customer. The license agreement is
between the Partner and the End User. The Partner must therefore ensure that
the license information is correctly filled out. Copyright and ownership however
are maintained by Delta Controls Inc.

There are three areas in the license agreement where the Partner needs to write
in pertinent information before giving the license agreement and distribution disks
or CD-ROM to the customer. They are as follows (all on page 1):

1. First Paragraph:

The Partner is to write or type in their company name onto the line provided in
the agreement (i.e., ABC Control Systems Inc.).

2. Second Paragraph:

The Partner is to write or type in the proper product name this license
agreement is associated with (i.e., Delta Commander OWS DOW350).

3. Section 4, After Paragraph 4:

The Partner is to enter pertinent contact information about their company for
warranty issues.

It is recommended that each Partner make a copy of each license agreement to

keep in their project files before giving the original to the customer. If you have
any questions, please contact Delta Controls.
