Memorandum of Agreement (MOA)

between

Association of Special Libraries of the Philippines

and

Koha Volunteers

This historic MEMORANDUM OF AGREEMENT between the Association of Special Libraries of


the Philippines (ASLP), represented by _________, and the Koha volunteers, represented by
________, recognizes the importance of establishing a professional relationship that fosters mutual
understanding, shared responsibilities and a commitment to working together for the facilitation of
the Koha Convention 2017 in the Philippines.

I. INTENT
THIS AGREEMENT is hereby made and entered into by ASLP, hereinafter referred to as the
proponent, and the Koha volunteers, hereinafter referred to as the volunteers, who will
collaborate to establish a team to facilitate the success of Koha Convention 2017 in the
Philippines.

II. SCOPE OF AGREEMENT


THIS AGREEMENT is limited to the definition of the roles, responsibilities and profit
sharing between the proponent and volunteers. The proponent being the association with
juridical personality shall be the principal and therefore be the only party to enter into
contracts involving acts of strict dominion as provided under the laws of agency.

III. DATE AND TERM


THIS AGREEMENT will become effective upon signing by all parties. The Agreement can
be motu propio reviewed by the parties to determine its continuation and/or need for
modification. All modifications can not be unilaterally enforced by either party.

IV. PARTIES MUTUAL RESPONSIBILITIES


Work cooperatively to ensure appropriate, efficient communication in support of the
objectives of this agreement.

Ensure consistent attendance by representatives at all meetings and functions related to


accomplishing the objectives of this agreement.

Regularly share information about the projects progress.

All major actions especially acts of strict dominion must be communicated by the acting
party to the other before its execution, which includes but not limited to preparatory acts.

V. PROPONENTS RESPONSIBILITIES*
Contract signings.
Solicitations from local sponsors.
Ushering the event.
Accounting of funds.
Registration during the event.
Audio visual presentations.
Printing of programmes.
Tour packages.

VI. CLIENTS RESPONSIBILITIES*


Following up of solicitations.
Acquisition and packing of convention kits.
The volunteers shall maintain a hotline where participants may call and communicate to
address the latters queries.
The volunteers shall appoint an auditor to audit the funds and expenses made by the
proponent.
Venue management.
Internet during the hackfest (this does not bar the proponent from soliciting from internet
providers sponsorship for the internet connection during the event).
The volunteers shall create an IT group to address the IT concerns during the event.
Audio visual presentations.
Serve as agents of ASLP, subject to the provision of this contract, over acts of administration,
unless subsequently allowed by the principal to expand the scope of the agents authority,
provided that formal requisites shall be complied with under the laws of agency.

*The roles listed herein are not exclusive. Supplementary roles may be added to ensure the success
of the event. Both parties shall likewise create committees before the event to be able to further
define the individual roles of the each facilitator.

VII. PROFIT SHARING


All profits gathered from the local sponsors and other fees contingent to the event shall be
equally divided in half. 50% shall be given to the proponent and the other 50% to the
volunteers. The division of profit shall be made after the final accounting and audit has been
made.
