GENERAL TERMS & CONDITIONS (GTC)

1. APPLICATION ELIGIBILITY :

a. Any individual not being minor having age 18 (eighteen) years or more can apply independently or a minor through legal or natural
guardian, either an Indian Citizen or a Person of Indian Origin (PIO) or Non Resident Indian (NRI) as defined in the Foreign Exchange
Management Act, 1999. In case of a minor along with detail of the minor, detail name, age proof and address of natural/legal guardian has to
be submitted to SIMOCO SYSTEMS & INFRASTRUCTURE SOLUTIONS LIMITED (SIMOCO, The Developer, the Company).
b. Any incorporated body in India or HUF through its Karta or any other association of persons (AOP) recognized as a legal entity
under the laws of India.

2. HOW TO APPLY AND DEPOSIT THE APPLICATION :

a. Any person or incorporated body, legal entity incorporated under the laws of India, interested in purchasing an Apartment shall
apply in the prescribed application form. Adequate care should be taken to go through the entire detail and understand the terms, conditions
and instructions before filling and signing the application form.
b. Application kits will be available from selected outlets and through our authorized (representative) against a non refundable fee of
Rs. 200/- (Rupees Two Hundred Only).
c. Application shall be accompanied by an A/c payee demand draft/Pay Order/Banker's Cheque drawn in favour of SIMOCO
SYSTEMS & INFRASTRUCTURE SOLUTIONS LIMITED on any Bank payable at Kolkata for the amount of Application Money as mentioned
in the Payment Schedule (i.e. Rs. 15,000/- for 1-BHK, Rs. 20,000/- for 2 BHK and Rs. 25,000/- for 3 BHK). Application with instruments
payable outside Kolkata may be rejected at the discretion of SIMOCO without citing any reason.
d. Applications from Persons of Indian Origin (PIO) and Non-Resident Indian (NRI) shall be accompanied by remittance to be made in
foreign exchange remitted to India through normal banking channels or out of funds available in the applicant's Non Resident External (NRE)
/ Foreign Currency Non Resident (FCNR) / FCNR Special Deposit Account with banks in India and shall be accompanied by declaration that
the applicant shall use the Apartment for residential purpose only.
e. Non-Resident Indians may remit money out of the funds held in their Non-Resident Ordinary (NRO) Account accompanied by their
Banker's Certificate stating source of remittance of the application money.
f. Application Form duly filled and completed in all respect along with the General Terms & Conditions (GTC) duly signed by the
applicant(s), Demand Draft/Banker's Cheque/Pay Order for the amount of Application Money and documentary evidence as referred in
other parts of the GTC has to be submitted at selected outlets or to company's authorized representative or send it by courier or deposit at
registered office during the normal business hours at following address:

g. Applicants who wish to send their applications by post, must send the application form, together with Application Money and
documentary evidence referred in other parts of the GTC in the prescribed form as stated hereinabove, to the following address:-

h. Acknowledgment for all applications received by post shall be sent to the applicant within reasonable time.
I. Application shall include the following enclosures, failing which applications shall be considered incomplete:
Duly filled-in and signed application form;
Duly signed GTC containing signatures of all applicants on every page as token of acceptance of the terms & conditions contained
therein;
Demand Draft/Banker's Cheque/Pay Order along with the duly filled pay-ln-slip:
One self attested photocopy of PAN card of the applicant and of joint applicant (if any);
One self attested photocopy of proof of permanent address (Voter's Id/Aadhar Card/Passport/Driving License/Ration Card/
Bank Statement/ Passbook/ Electricity Bill/ Telephone Bill / Property Tax Assessment Bill);
One self attested photocopy of PAN card of the Authorised Signatory, certified true copy of board resolution and Memorandum &
Articles of Association of the Company if the applications is made in the name of the Company.
One self attested photocopy of PAN card of the Karta and power of attorney for applications in the name of HUFs. Power shall be
given by all members of a HUF to the Karta, who will apply on behalf of the HUF.
Form No. 60 in absence of PAN Card (as listed in the GTC).
One self attested photocopy of PIO/OCI card for the applicants holding PIO status.
One photocopy of Passport for NRI applicants.

3. ALLOTMENT PROCEDURE :
a. SIMOCO is committed to a fair and transparent manner of allotment of the Apartments on the basis of draw of lots which May
be managed by a reputed law firm.

b. Applications duly completed accompanied with Application Money alongwith documentary evidence as stated elsewhere of the
GTC shall be considered for lottery. Serial number of application form of each applicant eligible for participation in the draw will be quoted for
lottery.
c. After the draw once an apartment number is identified against an application, it shall be final and binding.
d. On completion of lottery, based on the results of the draw, applicants/allottees will be issued 'Provisional Allotment Letters'.
e. Date of Lottery will be announced subsequently by surface mail and over phone.

4. WITHDRAWAL :

Applicant shall not be entitled to withdraw his application before the lottery unless it is rejected. However, applicant can transfer the
Provisional Allotment without adding any benefit to any other person by sending the written request letter for transfer on the same terms
& conditions within 15 days of receipt of the Provisional Allotment. Such transfer will be subject to verification of the transferee by SIMOCO.

In case the applicant who has been provided with provisional allotment wants to withdraw his application; his application money will be
refunded to him after deducting 30% of the application money towards the cost of legal and administrative charges.

5. PAYMENT AND EXECUTION OF DEED :

a. All allotment will be provisional and the allottee shall comply with the provisions of the GTC and the Payment Schedule (i.e. the
payment schedule as listed in the GTC). On receipt of Total Price (i.e. the price set out in the Payment Schedule, together with all such
additional charges, as may be stipulated) from the allottee(s) in full, a deed will be executed and registered in favour of the allottee(s) in
accordance with clause 14 of the GTC. Payment as per the schedule is the essence of the allotment.
b. Payment on allotment of apartment has to be deposited by hand or by post at the Registered Office at Godrej Genesis Building (2nd
Floor),Block EP & GP, Sector -V, Salt Lake Electronics Complex, Kolkata - 700 091.
c. Applicant acknowledges and accepts that the Developer reserves its rights to allot apartments at SANHITA other than the person
allotted through lottery.

6. SCRUTINY, REJECTION AND REFUND BEFORE ALLOTMENT :

a. SIMOCO reserves the right to reject any application without assigning any reason.
b. Incomplete applications and/or not accompanied with the requisite Application Money and/or documents are liable to be rejected
at any stage.
c. Applications with false or misleading information are liable to be summarily rejected and allotment, provisional or otherwise, is
liable to be cancelled, at any stage. However, upon cancellation, installment payment till that date will be refunded without interest, after
deduction of taxes and levies as applicable along with service charge of 30%(thirty percent) of the amount paid till such time.
d. Applications not considered for draw or is unsuccessful in the draw will be refunded within 60 (sixty) days from the date of
lottery without payment of interest by registered post to the correspondence address stated in the application form.
e. It is hereby clarified that SIMOCO shall not be liable or responsible, for late receipt/non-receipt of refund to the applicants, for any
reason, including but not limited to, delay by the Indian postal authority or due to change in address of the applicant or loss in transit.
f. Refund of application money without interest to unsuccessful NRls and/or PIOs will be made by registered post to the Indian
correspondence address given in the application form within 60 days from the date of lottery.

7. SALE CONSIDERATION (PRICE) :

a. The Applicant has understood that the Basic Sale Price along with External Development Charges (EDC), Internal Developmental
Charges (IDC), Charges for Vehicle Parking Spaces and applicable charges, whatsoever shall constitute the Sale Consideration for the said
Apartment.
b. Price for the Apartment shall be paid by the allottee as indicated in the Payment Schedule.
c. All payments shall be made by the applicant/allottee by way of the crossed Demand Drafts/Banker's cheque/Pay Order only. NRIs
and/or PIOs can remit their money by way of Society for Worldwide Interbank Financial Telecommunication (SWIFT) transfer in favour of
SIMOCO, payable at Kolkata.
d. Allottee shall pay, as and when demanded by SIMOCO the pro rata share of Value Added Tax (VAT), Service Tax, GST or any other
third party/statutory taxes, duties, charges, cess, fees, levies, etc., as may be found applicable to the present transaction of the said Apartment
alongwith the prices mentioned in the payment schedule.
e. Allottee who is NRI/PIO further agrees that he shall be responsible for complying to the requirements laid down in the Foreign
Exchange Management Act, 1999 (FEMA), rules and regulation of Reserve Bank of India (RBI) or statutory enactments or amendments thereof
and all other applicable laws including that of remittance of payments, acquisition, sale, transfer of immovable property, etc., and provide
SIMOCO with permissions, approvals which would enable SIMOCO to fulfill its obligations under this application. Allottee agrees that in the
event of any failure on its part to comply with the applicable guidelines issued by RBI, allottee shall alone be liable for any action under FEMA.
Allottee shall keep SIMOCO or its officials fully indemnified and harmless in this regard.

8. CONCESSION :

No extra rebate other than that is provided in the Payment Schedule will be levied. However, SIMOCO reserves the right to change the
scheduled rate under special circumstances at its sole discretion.

9. PARKING SPACE :

a. Two- wheeler vehicle parking space is mandatory for the applicant of 1-BHK alongwith the amount specified in payment schedule.
Other applicant(s) must indicate the category of vehicle parking space (Two wheeler and/or four wheeler).
b. Allotment of parking space will be issued with the Provisional Allotment. However, SIMOCO reserves the right to allot
Vehicle Parking Space on lottery for 2 BHK and 3 BHK as well as four wheeler parking space for 1 BHK and hence the applicant(s) of
1-BHK agree(s) that he /they will take at least one 2-wheeler parking space. Parking space available after draw will be offered at the
sole discretion of SIMOCO.
c. Vehicle Parking Space allotted shall be ownership basis.
d. Vehicle Parking Space cannot be transferred independent of the Apartment.
e. Request for change in allotted parking space may be considered at by SIMOCO upon availability.
f. The Vehicle Parking Space shall be only used for parking. Parking space used for any other purposes may attract penal action. Only
one vehicle can be parked in one parking space. No parking space shall be encased either by wall/mesh or by any other structure.

10. DELAY PAYMENT OF INSTALLMENTS AND/OR OTHER DUES :

a. It shall be obligation on the allottee(s), his nominee, heir(s) to follow the terms of payment to the Apartment, vehicle parking space
and all other payments under the GTC and Payment Schedule.
b. After the provisional allotment, applicant shall be liable to pay interest on every delayed payment at the compounded rate of 18%
per annum with quarterly rest from the date due for payment till date of actual payment. In case the applicant defaults payment of the
installment once (including partial defaults) beyond a period of 30 days from the due date the provisional allotment will be cancelled and the
application money will be refunded after deduction of 30% of total payment made till date. Deduction amount fixed by SIMOCO will be
final and the applicant shall not object.

c. Due observation of all obligations under the GTC and more specifically timely payment of the Sale Consideration and other charges
under the Payment Schedule agreed by the allottee shall be the essence of the GTC. If the allottee neglects, omits, ignores, or fails in timely
performance of its obligations agreed or stipulated herein for any reason whatsoever or pay in time to SIMOCO any of the installments or
other amounts and charges due and payable on respective due dates, SIMOCO shall be authorized to cancel the allotment, and forfeit 30%
(thirty per cent) of the Total Price mentioned in the Payment Schedule or the entire actual amount received till the date of cancellation.

11. DEATH :

a. Upon demise of an allottee, right to own the apartment allotted shall first devolve upon the nominee nominated by the allottee,
subject to the condition that the allottee has executed and submitted to SIMOCO nomination form available at the registered office. Nominee
will be required to abide by the GTC and other provision as set out further and continue timely and correctly payment of all installments due
with respect to the Apartment and other charges to SIMOCO and perform all obligations. SIMOCO will deem such nominee as allottee
pursuant to the death of the allottee in relation to the Apartment. In the event of failure by the nominee to adhere to the provisions of the GTC
or failure of payment timely, SIMOCO shall have the right to cancel allotment and allot the Apartment to any other person at its own discretion
and the nominee shall not have any right, claim or lien on the Apartment. Upon cancellation, Installment paid till that date will be refunded
without interest, after deduction of service charge of 30% (thirty percent) of the Total Price mentioned in the Payment Schedule alongwith
taxes and levies as applicable. However, right of the nominee mentioned above will be subject to any order for or declaration of heirs of the
deceased allottee by a court of law and the nominee shall be deemed to be holding the Apartment or the refund, as the case may be, in trust for
the legal heir declared by the court.
b. Allottee dies without nomination, the heir(s) of the allottee will be required to obtain appropriate documents from the competent
authority and/or a court of law subsequent to which the deed will be executed and registered by SIMOCO in favour of such heirs subject to
fulfillment of the procedure of the GTC and timely payment of the Sale Consideration alongwith statutory fees as stipulated herein failing
which SIMOCO shall have all the right to cancel the allotment at its sole discretion and refund the payments made by the deceased allottee to
the heirs without interest, after deduction of service charge of 30% (thirty percent) of the Total Price mentioned in the Payment Schedule
along with the taxes and levies as applicable.

12. POSSESSION SCHEDULE :

a. SIMOCO is committed to give possession of the Apartment to the allottee(s) within 36 (Thirty-six) months with a grace period of six
(6) months from the date of allotment subject to force majeure which shall, inter alia, include but not limited to delay in sanction plan, non-
availability or irregular availability of building materials, water supply, electricity, other supplies or utilities, strike, slow down by/disputes
with the contractor/construction agencies employed/to be employed, war, lock out or civil commotion, terrorist action, litigation, acts of
God, any act, any notice, order, rule or notification of the government and/or any other public or competent authority or any change in the
policy of the government/statutory bodies, action or inaction or omission of any person or authority, delay in certain decisions/grant of
clearances by statutory bodies and such other reasons beyond the control of SIMOCO.

a. SIMOCO, as a result of such a contingency arising, reserves the right to alter or vary these GTC, or if the circumstances so warrant,
SIMOCO may suspend the fulfillment of its obligations for such period as it may consider expedient and the allottee agrees that he be ceased to
have claim, compensation of any nature whatsoever for the period of such suspension.
b. Applicant further agrees and understands that the Company shall additionally be entitled to a period of 180 (One Hundred and
Eighty) days (Grace Period), after the expiry of the said Commitment Period to allow for unforeseen delays in obtaining the Occupation
Certificate etc., from the Govt. under the Act in respect of SANHITA. Subject to the conditions contained herein, if SIMOCO fails to offer
possession of the said Apartment to the allottee by the end of the Grace Period, it shall be liable to pay to the Applicant compensation
calculated at the rate of Rs. 5 /- (Rupees Five only) per sq. ft. of Super Area (Delay Compensation) for every month of delay thereafter until
the actual date fixed by SIMOCO for handing over of possession of the said Apartment to the allottee. Allottee shall be entitled to
payment/adjustment against such 'Delay Compensation' only at the time of 'Notice of Possession' or at the time of payment of the final
installment, whichever is earlier.
c. Allottee(s), subject to all outstanding amounts being paid, shall be deemed to have taken possession of his Apartment on the 15th
(fifteenth) day of service of such possession notice or on such other date mentioned in the notice shall be deemed to be the 'date of possession'
irrespective of the date on which the allottee(s) takes physical possession of his allotted Apartment.

13. TRANSFER OF APARTMENT :


a. SIMOCO shall permit transfer or alienation of interest in the Apartment, prior to registration of the Conveyance Deed as per
paragraph 14 below, whether in full or part, only upon payment of a transfer fee @ 30/- (Rs.Thirty only) per sq.ft. of super built up area of flat
unit of the Total Price or consideration for such transfer, to SIMOCO. Furthermore, if the allottee has not cleared his dues together with
interest thereon, if any, payable till the date of such proposed transfer to SIMOCO, then he will have to clear such dues first before the
requisition of transfer or alienation. Such transfer shall be subject to and be governed by the provision of this GTC binding upon the part of
the transferee.

a. The allottee understands and agrees that it shall not have any right to transfer/assign the allotment in favour of any other person.
Notwithstanding this restriction, SIMOCO may at its sole discretion permit such assignment/transfer of the allotment in favour of nominee
on case to case basis subject always to payment of administrative and other charges as decided by the Company as well as the execution of
relevant collateral documents by the allottee and proposed assignee(s)/transferee(s) to the complete satisfaction of SIMOCO in the standard
format. In the event the allottee obtained finance/loan against the said Apartment from any Financial Institution/Bank, then a no objection
certificate/letter by such Financial Institution/Bank shall be submitted to SIMOCO in a format approved by it, permitting/consenting to the
requested assignment/transfer, by the allottee. It is, however, made clear that the allottee does not have any enforceable right to demand
assignment/transfer of its rights under the allotment, the sole discretion of which rests with SIMOCO and the allottee agrees and consents that
SIMOCO is not bound to permit the requested assignment/transfer, even though it may have done so in any other person's case previously or
may do so subsequently.

b. In the event that any such request for assignment/transfer of rights under the allotment permitted by SIMOCO, it shall always be
subject to the applicable laws, rules, regulations and the directions of the Government. The allottee hereby indemnifies and undertakes to
keep SIMOCO saved, indemnified and harmless at all times from any legal, monetary (including liability for any tax, penalty or duties, etc.), or
other adverse consequence whatsoever on account of such permission accorded by SIMOCO on the request of the allottee.

14. DEED OF CONVEYANCE AND REGISTRATION :

a. The allottee can only get the conveyance deed of the Apartment (Conveyance Deed) executed and registered in his favour if the
Apartment has been constructed and the allottee fulfils his payment obligations of Total Price, together with interest, if any, and all other dues
and deposits etc. Stamp duty, registration charges, taxes and charges as may be levied by the government or other authority and as applicable
at the time of registration shall be exclusively borne by the allottee which is exclusive of the sale consideration. The applicant further agrees
that legal fees and other related charges in addition to all prior deposits/payments made by him shall be on his part. Allottee will deposit such
amount within 15 (fifteen) days from date of issue of notice by SIMOCO or such other date as may be mentioned therein.
b. The solicitors/advocates of SIMOCO will only draft the Conveyance Deed and the same shall be in approved form and contain
particulars by SIMOCO. The allotte shall have to pay Legal documentation charges @ 1% plus service tax on total consideration to SIMOCO
SIMOCO shall have exclusive right and sole discretion for changes whatsoever in the Conveyance Deed.
c. In case of failure on the part of the allottee to get the Conveyance Deed executed and registered within the date notified, SIMOCO
shall reserve the right to cancel the allotment at its sole discretion and the total payment received may be refunded without interest and after
deduction of 30 % (Thirty percent) of the Total Price mentioned in the Payment Schedule alongwith taxes and levies as applicable.
d. Allottee(s) shall have to adhere to the process of registration of the Conveyance Deed as may be stipulated by SIMOCO in due
course.
e. The allottee(s) will have to be present in person at the time of taking possession of the Apartment and the execution and registration
of the Conveyance Deed. Where the allottee(s) is unable to attend in person, a registered/notarised power of attorney, in such format as may
be provided by SIMOCO, in favour of his authorised representative will be submitted by the allottee to SIMOCO within such time as may
be stipulated by SIMOCO.

15. EXTRA CHARGES AND CORPUS DEPOSIT :


a. Electricity connection charges, generator charges including Security Deposit,Transformer sharing charges, installation &
commissioning, Generator Purchase, Installation and Running Charges, electrical infrastructure cost & security deposit, legal charges and
any other additional facility shall be borne by the allottee on extra costs reasonably determined by SIMOCO from time to time. The allottee
agrees that it shall be binding to make such payment within 15 {fifteen) days of notice of payment from SIMOCO.
b. Extra Charges as stipulated herein above shall be construed to form part of the Payment Schedule and any default in payment
thereof shall attract the provisions of paragraph 10 herein.
c. The allottee shall also be required' to contribute fund towards repairs, replacements and improvements (Corpus Deposit). SIMOCO
or its Authorized Representative(s) shall, at their sole discretion, determine the frequency, amounts and the proportion of such contribution
and the allottee shall be bound to make payment of the same. Such Corpus Deposit shall be interest free and may be adjusted against any
arrears in Common Area Maintenance (CAM) charges and/or applicable taxes and be applied for repairs, replacements and improvements of
the common areas and facilities of " SANHITA " as SIMOCO or its authorized representative(s) may deem fit and proper.
d. Allottee hereby understands and irrevocably agrees that the Corpus Deposit is held by SIMOCO or its Authorized Representative(s)
or the Manager, solely on behalf of and for the benefit of the apartment owners and that the Corpus Deposit and any additional amount
deposited from time to time by the allottee in accordance with this paragraph shall be utilized to make payment, as contemplated herein
above, on behalf of the allottee, Further, on formation/ identification of a suitable entity by SIMOCO or its authorized representative(s) which
entity shall be established for and on behalf of apartment owners, the Corpus Deposit, as adjusted towards any outstanding payments, shall
be transferred by SIMOCO or its authorized representative(s) or the Manager, as the case maybe, to such entity, on behalf of the apartment
owners. For clearance of doubt, it is hereby clarified that, in the event that the allottee fails to make any payments in accordance with this
paragraph 15, then such outstanding amounts may be deducted from the Corpus Deposit by SIMOCO or its authorized representative(s) or
the Manager and all taxes that may be levied on SIMOCO or its authorized representative(s) or the Manager, on account of making such
deductions, shall be borne by the allottee.

16. SANHITA AND ITS MANAGEMENT :

a. SIMOCO shall delegate a suitable entity to the maintenance and management of all the common areas and facilities. SIMOCO has
exclusive right to identify all common areas and facilities at its sale discretion. Till such time the Manager is so appointed, SIMOCO shall, by
itself or through its Authorized Representative(s) maintain and manage the common areas and facilities referred to above.
b. Maintenance charges and expenses for the common areas and facilities of SANHITA " shall be proportionately divided amongst
the respective allottees which shall be binding upon them by SIMOCO or the Manager.
c. The detailed rules and regulations regarding maintenance, usage and management of the Apartment and all common areas
including terms of appointment of the Manager shall be exclusively decided by the SIMOCO and the allottee gives his unfettered and
irrevocable consent for the same. In particular, SIMOCO and/or the Manager shall have the right to enter the Apartment of the allottee for the
purpose of carrying out emergency repairs in the interest of the development of "SANHITA ".
d. Without prejudice to the aforesaid, in the event of default/delay by the allottee in making payment of the maintenance charges and
other outgoings, SIMOCO or the Manager as the case may be, shall have the right to withdraw all utilities and facilities to such Apartment of
the defaulting allottee and take such further steps as SIMOCO or its nominee may deem fit and the allottee gives his unfettered and
irrevocable consent to the same.

17. EXTRA FACILITY CLUB MEMBERSHIP

a. "SANHITA" shall have a club for the use of the residents, against membership fees decided by SIMOCO.
b. SIMOCO or its Authorized Representatives shall however have the right to operate and manage the club and to levy and recover
charges for the same and the allottee/members shall be compulsorily required to make payment for such charges.
c. SIMOCO shall have the right to withdraw club privileges to any defaulting allottee/member and the allottee/member hereby gives
his unfettered consent to the same.
d. Rules and regulations pertaining to the regulation and management of the club shall be framed by SIMOCO which is binding.

18. GENERAL :

a. The general term, he/his, represents all gender without any discrimination i.e. masculine, feminine and neutral.
b. The conditions are generic. Deed of Conveyance shall include terms and conditions some of which might not be mentioned herein.
The Applicant agrees that he shall abide by and agree with the same.
c. The Applicant has applied for allotment of an Apartment at "SANHITA" with full knowledge of the laws/notifications and rules
applicable to this area in general, but not only limited to the knowledge of West Bengal Apartment Ownership Act 1972 as amended thereto
and to group housing projects in particular and the Applicant has fully satisfied himself, about the interest and the right of SIMOCO in the
land on which " SANHITA " will be/is being constructed.
d. From the 'date of possession' of the Apartment, the allottee shall be liable to pay SIMOCO (or its authorised
representative)maintenance charges, rates, taxes, levies, outgoings, deposits including security deposit or assessment pertaining to the
apartment wholly and pertaining to common areas, sport and recreation facilities proportionately, without dissent or demur.

e. Request for modification in the internal layouts of the Apartment and/or external facades of the building will not be entertained.
Upon written request of the allottee, and, at its sole discretion SIMOCO may agree to provide the allottee with an Apartment in stripped down
condition and proportionate deduction in price is allowed provided that the allottee shall be obliged to adhere to the layout plan provided by
SIMOCO .

f. The Allottee agrees that the layout and building plans, approximate super built-up/ built-up area (built-up area subject to
increase/decrease of 2.5%) of the Apartment, specifications of the materials proposed to be used, common areas and facilities and
components of the " SANHITA ", building(s) and the Apartment are tentative and are subject to variation. SIMOCO may affect such
variations, additions, alterations, deletions and/or modifications therein as it may, at its sole discretion, deem appropriate and fit or as may be
directed/allowed by any competent authority. No complaints regarding changes in design/layout shall be entertained by SIMOCO.
SIMOCO shall have the absolute right to make additional construction anywhere in SANHITA, whether on account of increase in Floor Area
Ratio (FAR) or better utilization of the said land or for any other reason whatsoever to the extent permissible by the government or any other
competent authority. SIMOCO shall have the absolute and unfettered right to transfer such additionally constructed areas in any manner
whatsoever as SIMOCO may in its absolute discretion think fit. SIMOCO and the transferees of such additional construction shall have the
same right as the allottee with respect to SANHITA including the right to be member of the Association of Apartment Owners to be formed, if
any, under the law applicable in the state of West Bengal and an equal right to use of the Common Areas and other common amenities of
SANHITA.
g. The allottee acknowledges and accepts that "SANHITA" shall have several buildings in a particular area.
h. The allottee shall have no right or interest in respect of any terrace/roof/appurtenant garden in all buildings/structure comprising
"SANHITA" unless specifically so granted by SIMOCO.
I. SIMOCO shall have absolute authority to deal with the land of "SANHITA", common areas, infrastructure and facilities including
but not limited to the creation of further rights in favour of any other party at their sole discretion. The Allottee shall be entitled to common
areas and facilities specifically designated for "SANHITA" identified in the Deed of Conveyance .
j. The allottee acknowledges and accepts that "SANHITA" project is being developed in phases and allottee shall not raise objection
and impediment . The allottee accepts that the common areas, infrastructure and facilities of "SANHITA" development may not be complete
and/or operational as on the 'date of possession' .
k. The allottee hereby authorize, permits and shall have no objection to SIMOCO raising finance/loans from any financial
institution/bank by mortgage/charge/ securitization of his Apartment or receivables accruing or likely to accrue there from, subject to the
Apartment being free of such encumbrance at the time of execution of the Deed of Conveyance.
l. Correspondence will be made with the allottee at the address for correspondence on the records of SIMOCO initially indicated in his
application form. Change of address shall be notified in writing to SIMOCO at its registered office and acknowledgement should be obtained .
In case of joint allottees, communication shall be sent to the allottee whose name appears first and which shall for all purposes be considered to
have been served on both the allottees. Communication sent by SIMOCO shall be deemed to have been received by the allottee.
m. The Application Form, allotment of the Apartment and delivery thereof is subject to permissions and clearances under the law. It is
clarified that in the event such approval/ permissions / clearances are not obtained, allotment shall stand cancelled and all monies received
till such date of cancellation shall stand refunded in full without interest and without any deduction.
n. Allottee(s) shall from time to time sign all application, papers, documents, maintenance agreement, electricity agreement and other
papers as per format prepared by SIMOCO and/or the concerned authority of competence and do all such acts, deeds and things as SIMOCO
may deem fit and necessary in the interest of the " SANHITA " development. In case of joint allottees, document signed / accepted /
acknowledged by anyone of the allottees, shall be binding upon the other allottee.
o. Complaint, if any, regarding fittings and fixtures etc. will be brought to the notice of SIMOCO within 15 (fifteen) days of the 'date
of possession'. In case the allottee(s) fail(s) to take physical possession of the Apartment upon being called upon to do so by SIMOCO;
complaints of any nature shall not be entertained and in such an event, allottee(s) shall take possession of the Apartment on "as is where is"
basis.
p. Allottee(s) may be required to execute, if necessary, a formal agreement for sale in form prescribed by SIMOCO within 15 (fifteen)
days of being called upon in writing to do so by SIMOCO, the Allottee(s) shall pay the entire stamp duty, registration charges and other
charges at the time of registration.
q. SIMOCO reserves right to effect any change to the structure and manner in which the apartment will be transferred to the allottees.
r. SIMOCO may assign its interest or delegate or nominate all or any of its rights and responsibilities hereunder to its successors or any
other entity as it may deem fit.
s. SIMOCO, at its sole discretion, may modify the terms and conditions stated herein. Allottee shall not have any right and claim of
compensation in case of relaxation or modification. In the event that a request for modification or amendment of any condition with respect to
the allotment is accepted by SIMOCO, the allottee shall pay additional charge of Rs. 5,000/- for any such modification or amendment to
SIMOCO.
t. Notwithstanding anything stated herein, the allottee acknowledges and irrevocably agrees that possession of the Apartment shall
be given by SIMOCO to the allottee, subject to the allottee's compliance with the GTC and the Payment Schedule and on timely payment of all
amounts, including all fees and taxes and duties, by the allottee.
u. SIMOCO has incurred substantial expenditure in development of " SANHITA " and any cancellation/default by allottee(s) result in
losses which are suffered by SIMOCO. Allottee(s) hereby irrevocably agree that all service charges levied/forfeitures made by SIMOCO in
accordance with the terms of this GTC are reasonable. Further, the allottee(s) hereby agree and acknowledge that no claim shall be made by
allottee(s) in relation to amount forfeited or any service charge levied by SIMOCO under this GTC.
v. Request for discount/waiver on any account shall not be entertained .
w. Allottee(s) shall not divide, sub-divide or demolish any structure of the Apartment or any portion or make new construction in the
apartment.
x. The expression 'allotment' wherever used herein shall always mean "provisional allotment" and will remain till such time a formal
deed of transfer/conveyance is executed and get registered by SIMOCO in favour of the allottee(s) for their respective Apartments.
y. All Service Charge shall be subject to service tax and all payments specified in the Payment Schedule shall be exclusive of applicable
taxes which shall be borne by the allottee.

z. Taxes/duties/cess/levies imposed by any statutory authority not mentioned anywhere in the GTC within or during the period
shall be applicable. Change of rates of taxes/duties/cess/levies imposed by any statutory authority within or during the period, whether
prospectively or retrospectively, shall also be applicable .
aa. The allottee(s) shall not use the said Apartment for commercial or for any immoral activities or manufacturing or processing works
or storage purpose or any other purposes save and except exclusively for residential purpose.
bb. After taking possession, the allottee(s) may make non-structural changes/ aesthetical changes subject to prior approval and consent
of SIMOCO and/or the Manager. Allottee(s) shall not make addition or alteration in the Apartment that may cause blockage or interruption in
the smooth flow in the common areas and facilities within the complex and/or cause damage or encroachment on the structures of the
building(s) .
cc. Internal wiring for electrification will be provided for each Apartment. However, the allottee(s) will have to apply to
Panchayat/Municipal Corporation (MC) individually for obtaining supply of power and meter for their respective Apartments. Allottee(s)
shall have to pay applicable security deposit and/or other charges for the same to the electricity supplier company.
dd. Submission Centres mentioned herein above have merely agreed to be the collecting agents for acceptance of application forms and
are not involved/ responsible for the development of " SANHITA " or the financial status of SIMOCO.
ee. SIMOCO shall provide detailed Do's and Don'ts at the time of handing over possession of Apartment to the allottee(s). It shall be
considered to be an integral part of the GTC.
ff. Last date of sale of application form may be extended by SIMOCO at its sole discretion.
gg. In the event that any document is misplaced, SIMOCO reserves the right to ask the applicant to submit the documents to SIMOCO
and also reserves the right to reject the application, if the same are not provided.
hh. Allottee confirms and assures SIMOCO that it has read and understood the West Bengal Apartment Ownership Act 1972 as
amended (Apartment Act) and the allottee confirms that it shall comply, as and when applicable and from time to time, with the provisions
of the Apartment Act or any statutory amendments or modifications thereof or the provisions of any other law(s) dealing with the subject
matter of this Application.
ii. In case breach committed by the allottee is incapable of rectification or is in the opinion of SIMOCO unable to be rectified by the
allottee or is such where the breach is repeated or is continuing despite the allottee being given an opportunity to rectify the same, this
Agreement may be cancelled by SIMOCO at its sole discretion by written notice (Notice of Termination) to the allottee intimating to it the
decision of SIMOCO to terminate the Agreement stating the grounds of action. In all other cases not covered under this clause, SIMOCO shall
give to the allottee notice calling upon it to rectify the breach set out in the said notice within the time given therein. In the event that the
allottee fails to establish to the satisfaction of SIMOCO that the said breach has been rectified by it within the time specified in the said notice,
SIMOCO may terminate this Agreement in such manner set out hereinabove and to the same effect.

jj. Applicant understands that SANHITA showcases the special and unique brand value sought to be projected by SIMOCO. The
Applicant has been made aware that the maintenance of the SANHITA and its infrastructure is critical to showcase and maintain the
landmark value and exclusive appeal unique to this Project. The Applicant hereby agrees that it shall not change the name of SANHITA at
any time in any circumstances.
kk. Save and except in the case of any bank, financial institution or company with whom a tripartite agreement has been separately
executed for financing the said Apartment, or where SIMOCO has given a permission to mortgage to any bank, financial institution or
company for extending a loan to the allottee against the said Apartment, SIMOCO shall not be responsible towards any third party, who has
made payments, remittances to SIMOCO on behalf of the allottee and such third party shall not have any right in this Agreement/GTC
whatsoever. SIMOCO shall issue the payment receipt only in favour of the allottee. Under all circumstances, the allottee is and shall remain
solely and absolutely responsible for ensuring and making all payments due under this Agreement/GTC on time.

19. INDEMNITY :

Allottee agrees to abide by the terms and conditions of the GTC and the applicable laws in force in India. For any contravention or non-
compliance, the allottee will be liable for consequences as per the GTC or otherwise. In the event of any loss caused to SIMOCO due to act or
negligence of the allottee, he shall indemnify SIMOCO for such loss.

20. ARBITRATION AND JURISDICTION :

a. All or any disputes arising out of or touching upon or in relation to this GTC or its termination including the interpretation and
validity of the terms hereof and the respective rights and obligations of the Parties shall be settled amicably by mutual discussions failing
which the same shall be settled through reference to a sole Arbitrator to be appointed by a Director of the Company, SIMOCO, whose decision
shall be final and binding upon the Parties. The Applicant hereby confirms that it shall have no objection to the appointment of such sole
Arbitrator even if the person so appointed, is an employee or advocate of SIMOCO or is otherwise connected to SIMOCO and the Applicant
hereby accepts and agrees this shall not constitute a ground for challenge to the independence or impartiality of the said sole Arbitrator to
conduct the arbitration. The arbitration shall be governed by the Arbitration and Conciliation Act, 1996 or any statutory
amendments/modifications thereto and shall be held at SIMOCO's offices or at a location designated by the said sole Arbitrator in Kolkata.
The language of the arbitration proceedings and the Award shall be English. Both the Parties will share the fees of the Arbitrator in equal
proportion.

21. DISCLAIMER :

SIMOCO, its affiliates, employees, officers, directors, agents, members, servants and others (Directly and indirectly associated with
SIMOCO) shall not be liable for any direct, indirect, punitive, incidental or consequential claim, demand or damage caused to any person for
loss of document, delay in postal services or any other eventuality beyond the control of SIMOCO and others saved harmless and indemnified
with regard to the loss of any one of the above or all taken together.
