the above-named employer / ship owner for the recruitment and placement of seafarers on board for
and on behalf of the employer as agent only.
The employer / ship owner undertakes to repatriate the seafarers so employed if stranded at any
place as well as to look after his reasonable maintenance and to transport the mortal-remains of the
seafarer, if permissible under local laws, in case of death

APPOINTMENT
Whereas, the PRINCIPAL is in need of AGENT services to recruit merchant marine officers and
Jor ratings (herein after referred to as Seaman) for the purpose of employment aboard such
vessels owned/operated/managed by the PRINCIPAL and the AGENT hereby accepts such
appointment under the terms of this Agreement.
AGENT’S SCOPE OF SERVICES AND OBLIGATION
1) The AGENT shall recruit a proper certified and best-qualified seaman in compliance
with recruitment instruction and requirements of the company.2) ‘The AGENT shall provide the PRINCIPAL detailed information about the qualified
to the name, grade of
‘Seaman prior to joining the vessel, including but not
license ete.
3) The AGENT shall arrange the physical and medical examination, through DG Approved
doctor, (including, but not limited to drug and alcohol screening) and forward the
medical exam result to the PRINCIPAL prior to each seaman signing an employment
contract.
4) The AGENT is responsible to inform the seaman about the policy of drugs and alcohol.
5) The AGENT is responsible to confirm the PRINCIPAL, that all officers and ratings
meet the requirements of standard STCW/95/2010, as amended.
6) The AGENT shall keep the PRINCIPAL informed at all times of any demand, claim or
legal action brought against the PRINCIPAL and the AGENT, by the crew hired under
this Agreement.
7) The AGENT shall maintain complete accounts and records of all crew hired on behalf
of the PRINCIPAL and shall provide the PRINCIPAL of such information as may be
reasonably required by the PRINCIPAL.
PRINCIPAL’S OBLIGATION
1) The PRINCIPAL shall furnish the AGENT with recruitment instructions in respect of
the number of crew, the salaries and the ranks required for particular vessel.
2) The PRINCIPAL shall provide necessary information to the AGENT for exact and.
smooth change of crew member, namely: port of calling, date, name and address of the
ship agent, in 7 day’s advance time, excepting unforeseen circumstances.
3) The PRINCIPAL is responsible for transportation, travel documents, visa and
government clearance of exit from the territory and entry to the country where the
seaman will join the vessel assignment.
4) The PRINCIPAL shall be responsible to cover Arrival and Departure expenses of
seafarer such as reserving air ticket, travel expenses and living wage, the arrangement
of visa(for departure),etc.
5) The PRINCIPAL also ensure that any candidate will not be contacted or deal directly
in employment process except interviewing.6) The PRINCIPAL shall provide the AGENT with a complete set of policies relative to
shipboard personnel or standards for recruitment or any other material or information
that may assist the AGENT in the performance of its undertaking under this
Agreement,
7) The PRINCIPAL shall be responsible for the payment of Seaman’s Welfare Fund
Contribution (WFC) to the AGENT for below the rank of an officer engaged
excluding trainee to as per below table, and AGENT will provide acknowledgement
quarterly of deposit time to time,

8) The PRINCIPAL shall also ensure that (P&I) coverage is in place with reputable P&I
Club, specially to cover the benefits, which the seaman are entitled to under the
standard employment contract during the terms of this agreement.
9) The PRINCIPAL shall remit thru the AGENT, 80% of the crew’s basie salary to be
paid by the AGENT to the nominated beneficiary/allot tee if applicable.
10) The PRINCIPAL shall reimburse the AGENT for all expenses of whatsoever kind,
which are incurred by the AGENT in connection with the services hereby contracted
for.
AGENT’S FEE AND OTHER REIMBURSEABLE EXPENSES.
1) Im accordance of this agreement, the crew AGENT will receive _USD one time
dispatching fee and USD for officers &
USD for ratings
(monthly agency fee) for each successful crew placement.
2) The one time dispatching fee will be paid to the AGENT immediately after the
of their candidates in duration of 10 working days.PERIOD & TERMINATION OF AGREEMNT
‘This Agreement comes in force since the date of its signing by both parties, shall be valid
permanently, unless any of the party under the agreement undertakes actions to terminate due to
following reasons.
1) Default in the performance of any obligation under this Agreement by either party and
continuance of such default for a period of sixty (60) days after written notice has been
given to the defaulting party specifying such default and the demand for performance.
2) In case the PRINCIPAL or the AGENT becomes insolvent or goes into liquidation for a
purpose other than merger , consolidation or corporate restructuring acceptable to the other,
or undergoes substantial change in its management or control , and
3) This Agreement may be terminated by the Parties with a 60 day’s prior written notice
given by either party.
GOVERNING LAW & ARBITRATION
This Agreement shall be governed by the Laws of the India. All disputes arising under this
Agreement, shall to the extent possible, be resolved by consultation, both parties striving to reach
an amicable settlement.
If no agreement can be reached, then any dispute arising under this agreement shall be refereed to
Arbitration. One Arbitrator to be nominated by the PRINCIPAL and another by the AGENT and
in case the Arbitrators shall not agree, then to the decision of an Umpire to be appointed by them
in accordance to arbitration act 1996.
‘The award of the Arbitrators or the Umpire shall be final and binding upon both parties.
If either of appointed Arbitrators refuse to act, or is ineapable of acting, or dies, the party who
appointed him shall appoint a new Arbitration his place. If one party fails to appoint Arbitrator,
either originally or by the way of substitution as above provided, for seven (7) working days after
other party, having appointed his Arbitrator, has served the party in default with notice to make
the appointment, the party who has already appointed an Arbitrator may appoint that Arbitrator to.
act as sole Arbitrator and his award shall be binding on both parties if he had been appointed by
consent.
Place of Arbitration will also be as per both parties consent & convenient. ae
