ARTICLE VII.

PARTIES

7.01. Parties in Interest

Nothing in this Agreement, whether express or implied, is intended to confer any rights or remedies
under or by reasons of this Agreement on any persons other than the parties to it and their
respective successors and assigns, nor is anything in this Agreement intended to relieve or discharge
the obligation or liability of any third persons to any party to this Agreement, nit shall any provision
give any third persons any right of subrogation or action over or against any party to this Agreement.

7.02. Assignment

This Agreement shall bi blinding on, and shall inure to the benefit of, the parties to it and their
respective heirs, legal respective, successors, and assigns; provider, however, that DONA VIETNAM
may not assign any its rights under this Agreement, and the Principals may assign their right under
this Agreement to DONA USA.

ARTICLE VIII.

REMEDIES

8.01. Dispute Resolution

a) Mediation

The parties hereto agree to mediates, in Santa Clara County, California, any controversy or claim
arising out of, or relating to, this Agreement, or the marketing, performance, or interpretation of this
Agreement, before resorting to arbitration or court action, subject to Section 8.01(c) below.
Mediation shall be under the auspices of JAMS. Mediation fees, if any, shall be divided equally
between the parties involved. If any party commences an action based on a dispute or claim to
which this Section 8.01(a) applies, without first attempting to resolve the matter through mediation,
then that party shall not be entitled to recover attorney’s fees, even if they would otherwise be
available to that party in any such action.

(b) Arbitration

The parties agree that any all dispute, claim or controversies arising out of or relating to this
Agreement, which are not settled through mediation shall, subject to Section 8.01(c) below, be
submitted to final and bring arbitration in San Jose, California before JAMS, or its successor,
pursuant to the United States Arbitration Act, 9 U.S.C. Sec. 1 et seq. Any party may commence the
arbitration process called for in this Agreement by filling a written demand for arbitration with JAMS,
with a copy to the other party. The arbitration will be conducted in accordance with provisions of
JAMS’ Streamlined Arbitration Rules and Procedures in effect at the time of filing of the demand for
arbitration. The parties will cooperate with JAMS and with one another in selecting an arbitration
from JAMS’ panel of neutral, and in scheduling the arbitration proceedings. The parties covenant
that they will participate in the arbitration in good faith, and that they will share equally in its costs.
The provisions of this subsection may be enforced by any Court of competent jurisdiction, and the
party seeking enforcement shall be entitled to an award of all costs, fees and expense, including
attorney’s fees, to be paid by the party whom enforcement is ordered.

(c) Exclusions from Mediation and Arbitration

Any matter which is within the jurisdiction of a probate, small claims, or bankruptcy court is
excluded from Mediation and Arbitration hereunder. The filing of a court action to enable the
recording of a notice of pending action, for order of attachment, receivership, injunction, or other
provisional remedies, shall not constitute a violation of the mediation and arbitration provisions.

8.02. Specific Performance and Waiver of Rescission Rights

Each party’s obligation under this Agreement in unique. If any party should default in its obligations
under this Agreement, the parties each acknowledge that it would be extremely impracticable to
measure the resulting damages; according, the nondefaulting the party or the parties, in addition to
any other available rights or remedies, may make a claim in arbitration for specific performance, and
the parties each expressly waive the defense that a remedy in damages will be adequate.

8.03. Recovery of Litigation Costs

If any legal action or any arbitration or other proceeding is brought for the enforcement of this
Agreement, or because of an alleged dispute, breach, default, or misrepresentation in connection
with any of provisions of this Agreement, the successful or prevailing party shall be entitled to
recover reasonable attorney’s fees and other costs incurred in that action or proceeding, in addition
to any other relief to which it or they may be entitled.

ARTICLE IX

NATURE AND SURVIVA OF REPRESENTAITON AND OBIGATIONS

9.01. Survival of Representations

All representations, warranties, covenants, and agreement of the parties contained in this
Agreement, or in any instrument, certificate, opinion, or other writing provided for in it, shall survive
the execution of this Agreement.

ARTICLE X

GENERAL PROVISIONS

10.01. Notices

All notices, requests, demand, and other communications under this Agreement shall be in writing
and shall be deemed to have been duly given on the date of service if served personally on the party
to whom notices is to be given, or on the third day after mailing if mailed to the party to whom
notices is to be given, by first class, registered or certified, postage prepaid, and properly addressed
as follows:

Any party may change its address for purpose of this Section by giving the other parties written
notices of the new address in the manner set forth above.

10.02. Additional Document

Each party shall execute on demand all additional documents necessary to comply with the term
hereof.

10.03. Governing Law

This agreement shall be construed in accordance with, and governed by, the law of the States of
California as applied to contracts that are executes and performed entirely in California.

10.04. Severability

If any provision if this Agreement is held invalid or unenforceable by any court of final jurisdiction, it
is the intent of the parties that all other provisions of this Agreement be construed to remain fully
valid,, enforceable, and binding on the parties.
