THESE TERMS AND CONDITIONS (THE “AGREEMENT") WITH NETWORK DEVELOPMENT

GROUP, INC AND ITS AFFILIATES ("WE" OR "NDG") GOVERNS THE ACCESS THAT YOU
AND / OR THE ENTITY THAT YOU REPRESENT (COLLECTIVELY, "YOU" OR "USER") HAVE
TO CONTENT AND RELATED SOFTWARE AND SERVICES PROVIDED BY NDG IN
CONNECTION WITH THE CISCO NETWORKING ACADEMY WEBSITES AND WEBPAGES.
YOUR ACCESS TO NDG SITE(S) AND SERVICE(S) CONSTITUTES YOUR ACCEPTANCE OF
THIS AGREEMENT.
This Agreement does not modify in any way any agreements you have with Cisco Systems, Inc.
(“Cisco”), including without limitation Cisco’s agreement relating to the Cisco Networking
Academy Website and Webpages at https://www.netacad.com/web/about-us/terms-and-
conditions. NDG is not responsible for Cisco websites and services, and your sole recourse for
issues associated with Cisco websites and services is as set forth in your agreement with Cisco.
However, any breach by you of your Cisco agreement will automatically be deemed a breach of
this Agreement.
1. Background. As part of the Cisco Networking Academy Program (the “Program"), Cisco
operates and provides access to a range of Program related websites and microsites accessible
to users (including students, non-students and alumni) who have an Academy Connection
Username and Password (the "Cisco Site(s)"). NDG provides NDG websites (the “Site(s)”) that:
(a)are accessible through the Cisco Sites, (b) contain NDG content relevant to the Program and
related software and services, and (c) may enable social networking and collaboration among
users such as you (collectively, the “Services”). The Services may enable user to create personal
profiles (each, a "Profile") that can be searched and viewed by other users. The Services also
may support discussion forums, chat, electronic messaging, survey tools, blogs, wikis or other
collaborative tools that NDG elects to make available in its discretion. NDG may modify,
enhance, restrict or terminate Site(s) and / or the Services in its discretion at any time and
without notice.
2. Rules and Regulations. This Agreement sets forth the legally binding terms for the Site(s)
and the Services. This Agreement covers all of your visits to the Site(s) and any use of the
Services. If you stop visiting the Site(s) or stop using the Services, this Agreement remains in
effect with respect to your previous visits to the Site(s) and/or use of the Services.
a. Amendments/Other Terms. NDG may elect to change or supplement the terms of this
Agreement from time to time at its sole discretion. NDG will exercise commercially reasonable
efforts to provide notice to you of any material changes to the Agreement (e.g., by posting on the
Site(s)). Within five (5) business days of posting changes to the Agreement, the changes will be
binding upon you. If you do not agree with the changes, you should discontinue using the
Sites(s) or any Services. If you continue using the Sites(s) or Services after such five-business-
day period, you will have accepted the changes to the terms of this Agreement. In order to
participate in certain Services, you may be notified that you are required to download software
and/or agree to additional terms and conditions. Unless expressly set forth in such additional
terms and conditions, those additional terms are hereby incorporated into this Agreement.
b. Posting Content and Prohibited Activities. Information on the Sites(s) includes
information posted by third party users such as you. Please choose carefully the information you
post, either in a Profile or elsewhere on the Sites(s). You are solely responsible for what you
post. The following is a partial list of what you are prohibited from posting:
 Anything unlawful, libelous, threatening, obscene, discriminatory, or otherwise
objectionable as determined in NDG's sole discretion;
 Content or images containing nudity, or materials that may be considered obscene, lewd,
excessively violent, harassing, explicit or otherwise objectionable;
 Information prohibited from disclosure under any law or under contractual or fiduciary
relationships (such as insider information, or proprietary and confidential information
learned or disclosed as part of employment relationships or under nondisclosure
agreements, exam questions and/or answers in use);
  Content that infringes the copyright, trademark, patent, trade secret or other intellectual
property rights of anyone;
 Any information or data that misrepresents the identity, characteristics or qualifications of
you or any other person, including but not limited to the use of a pseudonym, or
misrepresenting current or previous positions, qualifications or affiliations with a person
or entity, past or present;
 Any unsolicited or unauthorized advertising, promotional materials, "spam," "chain
letters," "pyramid schemes" or any similar form of solicitation. This prohibition includes
but is not limited to a) using invitations to send messages to people who don't know you
or who are unlikely to recognize you as a known contact; b) using the Services to
connect to people who don't know you and then sending unsolicited promotional
messages to those direct connections without their permission; and c) sending messages
to distribution lists, newsgroup aliases, or group aliases for purposes of spamming or
solicitation;
 Any virus, malware or other harmful code;
 Anything that disrupts or interferes with the Services or other functionality of the Sites(s);
 Any solicitations for business;
 Any other content that, in NDG's sole discretion, undermines the purpose of the Sites(s)
or otherwise reflects unfavorably upon NDG, its partners, affiliates or customers.
You further agree that you will not, in connection with your use of the Services or Site(s):
 access (or attempt to access) any of the Services, Site(s) or associated information
through any automated means (including use of scrapers, scripts, robots, spiders, or web
crawlers), or in any way circumvent the navigational structure or presentation of the
Services or the Site(s);
 provide or use tracking or monitoring functionality in connection with the Services,
including but not limited to, to identify other user’s activities and use of the Services;
 enter or attempt to enter unauthorized parts of the Services or any Site(s) or associated
servers used to provide the Services, or perform functions that you are not authorized to
perform hereunder;
 impersonate or attempt to impersonate NDG or a NDG employee, administrator or
moderator, another user, or any other person or entity;
 “frame” or “mirror” any part of the Services or the Site(s). You also shall not use metatags
or code or other devices containing any reference to NDG or the Services or the Site(s)
in order to direct any person to any other web site for any purpose; or
 engage in any activity that interferes with or disrupts the Services or systems and
networks supporting the Services
Be advised that other users may violate one or more of the above prohibitions, but NDG
assumes no responsibility or liability for such actions. If you become aware of misuse of the
Sites(s) or Services by any person, please contact hostedsupport@netdevgroup.com. NDG may
investigate any complaints and violations that come to our attention and may take any action that
we believe is appropriate, including, but not limited to issuing warnings, removing the content or
terminating accounts and/or Profiles. However, because situations and interpretations vary, we
also reserve the right not to take any action. Under no circumstances will NDG be liable in any
way for any data or other content on the Sites(s), including, but not limited to, any errors or
omissions in any such data or content, or any loss or damage of any kind incurred as a result of
the use of, access to, or denial of access to any data or content on the Sites(s). If at any time you
are not happy with the Sites(s) or the Services or object to any material on the Sites(s), your sole
remedy is to cease using the Sites(s) or the Services.
 c. Monitoring. Nothing in this Agreement shall require NDG to monitor or edit the Sites(s).
If at any time NDG chooses, in its sole discretion, to monitor or edit the Sites(s), NDG
nonetheless assumes no responsibility for anything submitted by users, no obligation to modify
or remove any inappropriate submissions and no responsibility for the conduct of any user,
except as required under applicable law.
NDG does not endorse and has no control over what users post or submit to the Sites(s).
You acknowledge that NDG cannot guarantee the accuracy of any information submitted by any
user of the Sites(s), nor any identity information about any user. NDG reserves the right, in its
sole discretion, to reject, refuse to post or remove any Profile, posting or other data, or to restrict,
suspend, or terminate any user's access to all or any part of the Sites(s) or Services at any time,
for any or no reason, with or without prior notice, and without liability. Upon any suspension or
termination, NDG may retain or delete, in its sole discretion, any information or content that you
previously provided. You agree that NDG has no liability whatsoever if it NDG refuses to post
your submissions or edits, restricts or removes your submissions.
d. Laws and Reporting. You may not use the Sites(s) or Services in any manner
inconsistent with applicable law or for any illegal purpose, including but not limited to conspiring
to violate laws or regulations. Recognizing the global nature of the Internet, you also agree to
comply with applicable local rules or codes of conduct (including codes imposed by your
employer) regarding online behavior and acceptable content. Additionally, you agree to comply
with applicable laws regarding the transmission of technical data exported from the United States
or the country in which you reside. NDG reserves the right to investigate and take appropriate
action against anyone who, in NDG's sole discretion, is suspected of violating this provision,
including without limitation, reporting you to law enforcement authorities. Use of the Services is
void where prohibited.
e. Support. NDG may, but is not required to, provide support for the Services. NDG’s
support may in NDG’s discretion be limited to providing online support documents only.
3. Eligibility. You affirm that you are 13 years of age or older. You further affirm that you are
fully able and competent to enter into the terms, conditions, obligations, affirmations,
representations, and warranties set forth in this Agreement, and to abide by and comply with this
Agreement. Access may be terminated without warning if we believe that you are underage or
otherwise ineligible.
4. User Name and Password.
a. You are solely responsible for: (i) maintaining the confidentiality of your user name and
password associated with the account you use to access the Services, and (ii) for all activities
that occur under your account related to the Site(s) and/or Services. You agree to exit from your
account at the end of each session. NDG will not be liable for any loss or damage arising from
your failure to comply with this provision. You should use particular caution when accessing your
account from a public or shared computer so that others are not able to view or record your
password or other personal information.
b. You are fully responsible for all activities conducted through or under your user name.
You agree not to use the user name or password of another user at any time or to disclose your
password to any third party. If you believe your password has been compromised, please change
your password immediately. You are solely responsible for any and all use of your login
information (username and/or password).
5. Transfers/Competitive Use. You may not trade, sell or otherwise transfer your account to
any other person without NDG's written consent. You may not use the Sites(s) or the Services to
advertise, promote, endorse or market, directly or indirectly, any products, services, solutions or
other technologies that, in NDG's sole and absolute discretion, compete with the products,
services, solutions or technologies of NDG.
6. Termination
NDG may, at any time, terminate or suspend the Agreement and the Services with you if:
(a) NDG determines that you breached any provision of the Agreement (or have acted in manner
which clearly shows that you do not intend to, or are unable to comply with, the provisions of the
Agreement); or
(b) NDG is required to do so by law (for example, where the provision of the Services to you is,
or becomes, unlawful); or
(c) NDG is transitioning to no longer providing the Services to users in the country in which you
are resident or from which you use the Services.
7. Ownership /Licenses
a. NDG does not claim any ownership rights in any text, files, images, photos, video,
sounds, works of authorship or other materials that users upload to the Sites(s) or transmit via
the Services ("User Content" or your "Content"). However, you understand and agree that by
uploading Content to the Sites(s), transmitting Content using the Services or otherwise providing
Content to NDG, you automatically grant (and warrant and represent you have a right to grant) to
NDG a world-wide, royalty-free, sublicensable (so NDG affiliates or contractors can deliver the
Services) perpetual, irrevocable license to use, modify, publicly perform, publicly display,
reproduce and distribute the Content in the course of offering the Sites(s) and/or the Services.
NDG will treat any User Content as non- confidential and public. Please do not submit
confidential or private information. NDG may distribute your Content, in whole or in part, to third
party sites. You agree that any other user of the Site(s) or any other site on which your Content is
exhibited may access, view, store or reproduce your Content for such user's personal use or
otherwise in connection with use of such site and/or the Services./p>
b. The Sites(s) and the Services contain content, software, and other technologies owned
by or licensed to NDG ("NDG Content"). NDG and its licensors own and retain all rights in the
NDG Content and the Services, including all intellectual property rights. NDG hereby grants you
a limited, revocable, nonsublicensable license to reproduce and display the NDG Content
(excluding any software code) solely for your personal use to view the Sites(s) and otherwise as
necessary to use the Services. Except as set forth above, nothing contained in this Agreement
shall be construed as conferring by implication, estoppel or otherwise any license or right under
any trade secret, patent, trademark, copyright or other intellectual property right of NDG or any
third party. All licenses not expressly granted by NDG are reserved.
c. You agree that even though you may retain certain copyright or other intellectual
property rights with respect to content you upload while using the Sites(s), you do not own any
data NDG stores on NDG's servers (including without limitation any data representing or
embodying any or all of your content). Your intellectual property rights do not confer any rights of
access to the Sites(s) or any rights to data stored by or on behalf of NDG.
8. Copyright. You may not post, modify, distribute, or reproduce in any way copyrighted
material, trademarks, rights of publicity or other proprietary rights without obtaining the prior
written consent of the owner of such proprietary rights. NDG may deny access to the Sites(s) or
the Services any user who is alleged to infringe another party's copyright. Without limiting the
foregoing, if you believe that your copyright has been infringed, please provide our Copyright
Agent with the following information: (i) an electronic or physical signature of the person
authorized to act on behalf of the owner of the copyright interest; (ii) a description of the
copyrighted work that you claim has been infringed; (iii) a description of where the material that
you claim is infringing is located on the Services; (iv) your address, telephone number, and email
address; (v) a written statement by you that you have a good faith belief that the disputed use is
not authorized by the copyright owner, its agent, or the law; (vi) a statement by you, made under
penalty of perjury, that the above information in your notice is accurate and that you are the
copyright owner or authorized to act on the copyright owner's behalf. NDG's Copyright Agent for
notice of claims of copyright infringement can be reached as follows: Copyright Agent, Network
Development Group, Inc.,; Attn: Copyright Agent; and email: copyright@netdevgroup.com. In the
event your content is removed pursuant to this process, you will receive information on how to
file a Counter-Notice. Notices and Counter-Notices are legal notices distinct from regular Site
activities or communications. As such, they are not subject to NDG's Privacy Policy. This means
NDG may publish or share them with third parties at our discretion, and NDG may produce them
pursuant to a legal discovery request.
9. User Disputes. You are solely responsible for your interactions with other users. NDG
reserves the right, but has no obligation, to monitor disputes between you and other users.
10. Privacy. Use of the Sites(s) and Services is also subject to the NDG Systems Inc. Privacy
Policy, located here which is incorporated into this Agreement by this reference. Additionally, you
understand and agree that NDG may contact you via e-mail or otherwise with information
relevant to your use of the Sites(s) or Services. You also agree to have your name and/or email
address listed in the header of certain communications you initiate through the Services. Please
note that any personal data you provide as part of your use of the Site(s) will be accessible to
other users irrespective of the information you may provide as a Program participant. In other
words, you should be aware that you may disclose more personal data on the Site(s) than you
disclose under the disclosure policies selected by your individual academy.
11. Additional Disclaimers.
a. Third Party Content. The Sites(s) may contain links to other websites. NDG is not
responsible for any content, messages or information on such websites. Such websites are in no
way investigated, monitored or checked by NDG. Inclusion of any linked website on the Services
does not imply approval or endorsement of the linked website by NDG. When you access these
third-party sites, you do so at your own risk. NDG takes no responsibility for third party
advertisements which may be posted on the Sites(s) or through the Services, nor does it take
any responsibility for the goods or services provided by any advertisers.
b Technical Errors. NDG assumes no responsibility for any error, omission, interruption,
deletion, defect, delay in operation or transmission, communications line failure, theft or
destruction or unauthorized access to, or alteration of any user communication. NDG is not
responsible for any problems or technical malfunction of any telephone network or lines,
computer online systems, servers or providers, computer equipment, software, failure of any
email due to technical problems or traffic congestion on the Internet or on any of the Services or
combination thereof, including any injury or damage to users or to any person's computer related
to or resulting from using the Sites(s) or the Services.
c. The Site(s) and Services may contain functionality that allows for assessment of users’
mastery of subject matter associated with courses provided as part of the Services. These
assessments are for the personal use of users only, do not constitute grades, and should not be
used for the purpose of providing a course grade to any user. You indemnify NDG for any claims
based on the use or results of any assessments provided as part of the Site(s) and/or Services.
d. "AS IS." TO THE FULLEST EXTENT PERMISSIBLE UNDER LAW, NEITHER
NDGNOR ANY OF ITS LICENSORS SHALL HAVE ANYRESPONSIBILITY FOR ANY LOSS OR
DAMAGE RESULTING FROM USE OF THE SITES(S), THE SERVICES, FROM ANY USER
CONTENT POSTED ON OR THROUGH THE SERVICES, OR FROM THE CONDUCT OF ANY
USERS, WHETHER ONLINE OR OFFLINE. THE SITES(S) AND SERVICES ARE PROVIDED
ON AN "AS-IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS, AND NDGAND ITS
LICENSORS EXPRESSLY DISCLAIM ANY WARRANTY OF MERCHANTABILITY, FITNESS
FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. NDG DOES NOT ASSUME ANY
RESPONSIBILITY FOR RETENTION OF ANY USER INFORMATION OR COMMUNICATIONS
BETWEEN USERS. NDGAND ITS LICENSORS CANNOT GUARANTEE AND DO NOT
PROMISE ANY SPECIFIC RESULTS FROM USE OF THE SITES(S) OR THE SERVICES.
USE IS AT YOUR OWN RISK.
12. Indemnity. You agree to defend, indemnify and hold NDG, its subsidiaries, licensors, and
affiliates, and their respective officers, agents, partners and employees, harmless from any loss,
liability, claim, or demand, including reasonable attorneys' fees, made by party arising out of or
related to: (i) your use of the Services or the Sites(s); (ii) your breach of this Agreement; or (iii)
your Content.
13. Limitation on Liability. EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT SHALL
NDGOR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY,
INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST
PROFIT DAMAGES, COSTS OF REPLACEMENT GOODS OR LOSS OF OR DAMAGE TO
DATA ARISING OUT OF THE USE OR INABILITY TO USE THE SITES(S) OR SERVICES,
EVEN IF NDG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, NDG'S AND
ITS LICENSOR’S LIABILITY TO YOU FOR ANY CAUSE(S) WHATSOEVER AND
REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO: (A)
THE AMOUNT YOU PAID FOR THE COURSE IF A PAID COURSE; AND (B) FIFTY DOLLARS
(USD $50.00) IF THE COURSE WAS PROVIDED FREEOF CHARGE. THIS LIMITATION OF
LIABILITY IS CUMULATIVE AND NOT PER INCIDENT. SOME JURISDICTIONS DO NOT
ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION
OF LIABILITY FOR CERTAIN KINDS OF DAMAGES. ACCORDINGLY, SOME OF THE ABOVE
LIMITATIONS MAY NOT APPLY TO YOU.
14. Disputes. If there is any dispute about or in any way involving the Sites(s) or the
Services, you agree that the dispute shall be governed by the laws of the State of North Carolina,
USA, without regard to conflict of law provisions and you agree to exclusive personal jurisdiction
and venue in the state and federal courts of the United States located in the State of North
Carolina, Wake County.
15. Costs and Fees.
a. Certain Services are available only for a fee, which fee is described on the Site(s) and
may be changed from time to time. You agree to pay all applicable fees for your course and other
Services. All fees paid are nonrefundable, are payable in U.S. dollars, and are exclusive of all
applicable taxes and administrative fees and charges imposed by third party payment services.
b. If your payment method fails or your account is past due, NDG may collect fees owed
using other collection mechanisms. This includes charging other payment methods on file with us
and retaining at your expense collection agencies and legal counsel.
c. You are solely responsible for any costs and expenses you incur as a result of your use
of the Sites(s) or the Services. You acknowledge and agree that NDG may later require users to
pay a fee to continue to use the Services or to use the Sites(s) that are currently provided at no
charge.
16. Trademarks.
The trademarks, logos and service marks ("Marks") displayed on the Sites(s) are the property of
NDG or other third parties. You acknowledge and agree that you have no rights, title, or interest
in or to the Marks and that you will not adopt, use, or attempt to register the Marks or any
confusingly similar mark. Users receive no license to and are not permitted to use these Marks.
17. Feedback. You acknowledge and agree that any questions, comments, suggestions,
ideas, feedback or other information submitted to NDG relating to modifying or improving the
Services ("Feedback"), whether solicited or unsolicited, are non-confidential and shall become
NDG’s sole property. NDG may use Feedback for any purpose, commercial or otherwise, without
acknowledgment or compensation to you. In the event your jurisdiction does not allow rights to
be transferred as described above, you hereby grant to NDG a worldwide, non-exclusive, royalty-
free, perpetual license for the use of Feedback, and in the event perpetual license terms are not
allowed by law, the term shall be for the longest period as allowed by applicable law.
18. International Use. Different countries have different laws and regulations. NDG makes
no representations that the Content or the Services are appropriate or legally available for use in
locations outside the United States. If you are accessing the Services from jurisdictions where
the Content or the Services may be illegal, you are solely responsible for complying with all local
laws regarding acceptable Content and the Services. By submitting any Content in connection
with the Services, you agree that you are submitting it to NDG’s servers in the United States.
19. General. This Agreement constitutes the entire agreement between you and NDG
regarding the use of the Services and the Sites(s). The failure of NDG to exercise or enforce any
right or provision of this Agreement shall not operate as a waiver of such right or provision. The
section titles in this Agreement are for convenience only and have no legal or contractual effect.
This Agreement operates to the fullest extent permissible by law. If any provision of this
Agreement is unlawful, void or unenforceable, that provision is deemed severable from this
Agreement and does not affect the validity and enforceability of any remaining provisions. The
parties are independent contractors under this Agreement and no other relationship is intended,
including a partnership, franchise, joint venture, agency, employer/ employee, fiduciary,
master/servant relationship, or other special relationship. Neither party shall act in a manner
which expresses or implies a relationship other than that of independent contractor, nor bind the
other party.

Sites(s) or any Services. If you continue using the Sites(s) or Services after such five-business-
day period, you will have accepted the changes to the terms of this Agreement. In order to
participate in certain Services, you may be notified that you are required to download software
and/or agree to additional terms and conditions. Unless expressly set forth in such additional
terms and conditions, those additional terms are hereby incorporated into this Agreement.
b. Posting Content and Prohibited Activities. Information on the Sites(s) includes
information posted by third party users such as you. Please choose carefully the information you
post, either in a Profile or elsewhere on the Sites(s). You are solely responsible for what you
post. The following is a partial list of what you are prohibited from posting:
 Anything unlawful, libelous, threatening, obscene, discriminatory, or otherwise
objectionable as determined in NDG's sole discretion;
 Content or images containing nudity, or materials that may be considered obscene, lewd,
excessively violent, harassing, explicit or otherwise objectionable;
 Information prohibited from disclosure under any law or under contractual or fiduciary
relationships (such as insider information, or proprietary and confidential information
 learned or disclosed as part of employment relationships or under nondisclosure
agreements, exam questions and/or answers in use);
 Content that infringes the copyright, trademark, patent, trade secret or other intellectual
property rights of anyone;
 Any information or data that misrepresents the identity, characteristics or qualifications of
you or any other person, including but not limited to the use of a pseudonym, or
misrepresenting current or previous positions, qualifications or affiliations with a person
or entity, past or present;
 Any unsolicited or unauthorized advertising, promotional materials, "spam," "chain
letters," "pyramid schemes" or any similar form of solicitation. This prohibition includes
but is not limited to a) using invitations to send messages to people who don't know you
or who are unlikely to recognize you as a known contact; b) using the Services to
connect to people who don't know you and then sending unsolicited promotional
messages to those direct connections without their permission; and c) sending messages
to distribution lists, newsgroup aliases, or group aliases for purposes of spamming or
solicitation;
 Any virus, malware or other harmful code;
 Anything that disrupts or interferes with the Services or other functionality of the Sites(s);
 Any solicitations for business;
 Any other content that, in NDG's sole discretion, undermines the purpose of the Sites(s)
or otherwise reflects unfavorably upon NDG, its partners, affiliates or customers.
You further agree that you will not, in connection with your use of the Services or Site(s):
 access (or attempt to access) any of the Services, Site(s) or associated information
through any automated means (including use of scrapers, scripts, robots, spiders, or web
crawlers), or in any way circumvent the navigational structure or presentation of the
Services or the Site(s);
 provide or use tracking or monitoring functionality in connection with the Services,
including but not limited to, to identify other user’s activities and use of the Services;
 enter or attempt to enter unauthorized parts of the Services or any Site(s) or associated
servers used to provide the Services, or perform functions that you are not authorized to
perform hereunder;
 impersonate or attempt to impersonate NDG or a NDG employee, administrator or
moderator, another user, or any other person or entity;
 “frame” or “mirror” any part of the Services or the Site(s). You also shall not use metatags
or code or other devices containing any reference to NDG or the Services or the Site(s)
in order to direct any person to any other web site for any purpose; or
 engage in any activity that interferes with or disrupts the Services or systems and
networks supporting the Services
Be advised that other users may violate one or more of the above prohibitions, but NDG
assumes no responsibility or liability for such actions. If you become aware of misuse of the
Sites(s) or Services by any person, please contact hostedsupport@netdevgroup.com. NDG may
investigate any complaints and violations that come to our attention and may take any action that
we believe is appropriate, including, but not limited to issuing warnings, removing the content or
terminating accounts and/or Profiles. However, because situations and interpretations vary, we
also reserve the right not to take any action. Under no circumstances will NDG be liable in any
way for any data or other content on the Sites(s), including, but not limited to, any errors or
omissions in any such data or content, or any loss or damage of any kind incurred as a result of
the use of, access to, or denial of access to any data or content on the Sites(s). If at any time you
are not happy with the Sites(s) or the Services or object to any material on the Sites(s), your sole
remedy is to cease using the Sites(s) or the Services.
c. Monitoring. Nothing in this Agreement shall require NDG to monitor or edit the Sites(s).
If at any time NDG chooses, in its sole discretion, to monitor or edit the Sites(s), NDG
nonetheless assumes no responsibility for anything submitted by users, no obligation to modify
or remove any inappropriate submissions and no responsibility for the conduct of any user,
except as required under applicable law.
NDG does not endorse and has no control over what users post or submit to the Sites(s).
You acknowledge that NDG cannot guarantee the accuracy of any information submitted by any
user of the Sites(s), nor any identity information about any user. NDG reserves the right, in its
sole discretion, to reject, refuse to post or remove any Profile, posting or other data, or to restrict,
suspend, or terminate any user's access to all or any part of the Sites(s) or Services at any time,
for any or no reason, with or without prior notice, and without liability. Upon any suspension or
termination, NDG may retain or delete, in its sole discretion, any information or content that you
previously provided. You agree that NDG has no liability whatsoever if it NDG refuses to post
your submissions or edits, restricts or removes your submissions.
d. Laws and Reporting. You may not use the Sites(s) or Services in any manner
inconsistent with applicable law or for any illegal purpose, including but not limited to conspiring
to violate laws or regulations. Recognizing the global nature of the Internet, you also agree to
comply with applicable local rules or codes of conduct (including codes imposed by your
employer) regarding online behavior and acceptable content. Additionally, you agree to comply
with applicable laws regarding the transmission of technical data exported from the United States
or the country in which you reside. NDG reserves the right to investigate and take appropriate
action against anyone who, in NDG's sole discretion, is suspected of violating this provision,
including without limitation, reporting you to law enforcement authorities. Use of the Services is
void where prohibited.
e. Support. NDG may, but is not required to, provide support for the Services. NDG’s
support may in NDG’s discretion be limited to providing online support documents only.
3. Eligibility. You affirm that you are 13 years of age or older. You further affirm that you are
fully able and competent to enter into the terms, conditions, obligations, affirmations,
representations, and warranties set forth in this Agreement, and to abide by and comply with this
Agreement. Access may be terminated without warning if we believe that you are underage or
otherwise ineligible.
4. User Name and Password.
a. You are solely responsible for: (i) maintaining the confidentiality of your user name and
password associated with the account you use to access the Services, and (ii) for all activities
that occur under your account related to the Site(s) and/or Services. You agree to exit from your
account at the end of each session. NDG will not be liable for any loss or damage arising from
your failure to comply with this provision. You should use particular caution when accessing your
account from a public or shared computer so that others are not able to view or record your
password or other personal information.
b. You are fully responsible for all activities conducted through or under your user name.
You agree not to use the user name or password of another user at any time or to disclose your
password to any third party. If you believe your password has been compromised, please change
your password immediately. You are solely responsible for any and all use of your login
information (username and/or password).
5. Transfers/Competitive Use. You may not trade, sell or otherwise transfer your account to
any other person without NDG's written consent. You may not use the Sites(s) or the Services to
advertise, promote, endorse or market, directly or indirectly, any products, services, solutions or
other technologies that, in NDG's sole and absolute discretion, compete with the products,
services, solutions or technologies of NDG.
6. Termination
NDG may, at any time, terminate or suspend the Agreement and the Services with you if:
(a) NDG determines that you breached any provision of the Agreement (or have acted in manner
which clearly shows that you do not intend to, or are unable to comply with, the provisions of the
Agreement); or
(b) NDG is required to do so by law (for example, where the provision of the Services to you is,
or becomes, unlawful); or
(c) NDG is transitioning to no longer providing the Services to users in the country in which you
are resident or from which you use the Services.
7. Ownership /Licenses
a. NDG does not claim any ownership rights in any text, files, images, photos, video,
sounds, works of authorship or other materials that users upload to the Sites(s) or transmit via
the Services ("User Content" or your "Content"). However, you understand and agree that by
uploading Content to the Sites(s), transmitting Content using the Services or otherwise providing
Content to NDG, you automatically grant (and warrant and represent you have a right to grant) to
NDG a world-wide, royalty-free, sublicensable (so NDG affiliates or contractors can deliver the
Services) perpetual, irrevocable license to use, modify, publicly perform, publicly display,
reproduce and distribute the Content in the course of offering the Sites(s) and/or the Services.
NDG will treat any User Content as non- confidential and public. Please do not submit
confidential or private information. NDG may distribute your Content, in whole or in part, to third
party sites. You agree that any other user of the Site(s) or any other site on which your Content is
exhibited may access, view, store or reproduce your Content for such user's personal use or
otherwise in connection with use of such site and/or the Services./p>
b. The Sites(s) and the Services contain content, software, and other technologies owned
by or licensed to NDG ("NDG Content"). NDG and its licensors own and retain all rights in the
NDG Content and the Services, including all intellectual property rights. NDG hereby grants you
a limited, revocable, nonsublicensable license to reproduce and display the NDG Content
(excluding any software code) solely for your personal use to view the Sites(s) and otherwise as
necessary to use the Services. Except as set forth above, nothing contained in this Agreement
shall be construed as conferring by implication, estoppel or otherwise any license or right under
any trade secret, patent, trademark, copyright or other intellectual property right of NDG or any
third party. All licenses not expressly granted by NDG are reserved.
c. You agree that even though you may retain certain copyright or other intellectual
property rights with respect to content you upload while using the Sites(s), you do not own any
data NDG stores on NDG's servers (including without limitation any data representing or
embodying any or all of your content). Your intellectual property rights do not confer any rights of
access to the Sites(s) or any rights to data stored by or on behalf of NDG.
8. Copyright. You may not post, modify, distribute, or reproduce in any way copyrighted
material, trademarks, rights of publicity or other proprietary rights without obtaining the prior
written consent of the owner of such proprietary rights. NDG may deny access to the Sites(s) or
the Services any user who is alleged to infringe another party's copyright. Without limiting the
foregoing, if you believe that your copyright has been infringed, please provide our Copyright
Agent with the following information: (i) an electronic or physical signature of the person
authorized to act on behalf of the owner of the copyright interest; (ii) a description of the
copyrighted work that you claim has been infringed; (iii) a description of where the material that
you claim is infringing is located on the Services; (iv) your address, telephone number, and email
address; (v) a written statement by you that you have a good faith belief that the disputed use is
not authorized by the copyright owner, its agent, or the law; (vi) a statement by you, made under
penalty of perjury, that the above information in your notice is accurate and that you are the
copyright owner or authorized to act on the copyright owner's behalf. NDG's Copyright Agent for
notice of claims of copyright infringement can be reached as follows: Copyright Agent, Network
Development Group, Inc.,; Attn: Copyright Agent; and email: copyright@netdevgroup.com. In the
event your content is removed pursuant to this process, you will receive information on how to
file a Counter-Notice. Notices and Counter-Notices are legal notices distinct from regular Site
activities or communications. As such, they are not subject to NDG's Privacy Policy. This means
NDG may publish or share them with third parties at our discretion, and NDG may produce them
pursuant to a legal discovery request.
9. User Disputes. You are solely responsible for your interactions with other users. NDG
reserves the right, but has no obligation, to monitor disputes between you and other users.
10. Privacy. Use of the Sites(s) and Services is also subject to the NDG Systems Inc. Privacy
Policy, located here which is incorporated into this Agreement by this reference. Additionally, you
understand and agree that NDG may contact you via e-mail or otherwise with information
relevant to your use of the Sites(s) or Services. You also agree to have your name and/or email
address listed in the header of certain communications you initiate through the Services. Please
note that any personal data you provide as part of your use of the Site(s) will be accessible to
other users irrespective of the information you may provide as a Program participant. In other
words, you should be aware that you may disclose more personal data on the Site(s) than you
disclose under the disclosure policies selected by your individual academy.
11. Additional Disclaimers.
a. Third Party Content. The Sites(s) may contain links to other websites. NDG is not
responsible for any content, messages or information on such websites. Such websites are in no
way investigated, monitored or checked by NDG. Inclusion of any linked website on the Services
does not imply approval or endorsement of the linked website by NDG. When you access these
third-party sites, you do so at your own risk. NDG takes no responsibility for third party
advertisements which may be posted on the Sites(s) or through the Services, nor does it take
any responsibility for the goods or services provided by any advertisers.
b Technical Errors. NDG assumes no responsibility for any error, omission, interruption,
deletion, defect, delay in operation or transmission, communications line failure, theft or
destruction or unauthorized access to, or alteration of any user communication. NDG is not
responsible for any problems or technical malfunction of any telephone network or lines,
computer online systems, servers or providers, computer equipment, software, failure of any
email due to technical problems or traffic congestion on the Internet or on any of the Services or
combination thereof, including any injury or damage to users or to any person's computer related
to or resulting from using the Sites(s) or the Services.
c. The Site(s) and Services may contain functionality that allows for assessment of users’
mastery of subject matter associated with courses provided as part of the Services. These
assessments are for the personal use of users only, do not constitute grades, and should not be
used for the purpose of providing a course grade to any user. You indemnify NDG for any claims
based on the use or results of any assessments provided as part of the Site(s) and/or Services.
d. "AS IS." TO THE FULLEST EXTENT PERMISSIBLE UNDER LAW, NEITHER
NDGNOR ANY OF ITS LICENSORS SHALL HAVE ANYRESPONSIBILITY FOR ANY LOSS OR
DAMAGE RESULTING FROM USE OF THE SITES(S), THE SERVICES, FROM ANY USER
CONTENT POSTED ON OR THROUGH THE SERVICES, OR FROM THE CONDUCT OF ANY
USERS, WHETHER ONLINE OR OFFLINE. THE SITES(S) AND SERVICES ARE PROVIDED
ON AN "AS-IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS, AND NDGAND ITS
LICENSORS EXPRESSLY DISCLAIM ANY WARRANTY OF MERCHANTABILITY, FITNESS
FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. NDG DOES NOT ASSUME ANY
RESPONSIBILITY FOR RETENTION OF ANY USER INFORMATION OR COMMUNICATIONS
BETWEEN USERS. NDGAND ITS LICENSORS CANNOT GUARANTEE AND DO NOT
PROMISE ANY SPECIFIC RESULTS FROM USE OF THE SITES(S) OR THE SERVICES.
USE IS AT YOUR OWN RISK.
12. Indemnity. You agree to defend, indemnify and hold NDG, its subsidiaries, licensors, and
affiliates, and their respective officers, agents, partners and employees, harmless from any loss,
liability, claim, or demand, including reasonable attorneys' fees, made by party arising out of or
related to: (i) your use of the Services or the Sites(s); (ii) your breach of this Agreement; or (iii)
your Content.
13. Limitation on Liability. EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT SHALL
NDGOR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY,
INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST
PROFIT DAMAGES, COSTS OF REPLACEMENT GOODS OR LOSS OF OR DAMAGE TO
DATA ARISING OUT OF THE USE OR INABILITY TO USE THE SITES(S) OR SERVICES,
EVEN IF NDG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, NDG'S AND
ITS LICENSOR’S LIABILITY TO YOU FOR ANY CAUSE(S) WHATSOEVER AND
REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO: (A)
THE AMOUNT YOU PAID FOR THE COURSE IF A PAID COURSE; AND (B) FIFTY DOLLARS
(USD $50.00) IF THE COURSE WAS PROVIDED FREEOF CHARGE. THIS LIMITATION OF
LIABILITY IS CUMULATIVE AND NOT PER INCIDENT. SOME JURISDICTIONS DO NOT
ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION
OF LIABILITY FOR CERTAIN KINDS OF DAMAGES. ACCORDINGLY, SOME OF THE ABOVE
LIMITATIONS MAY NOT APPLY TO YOU.
14. Disputes. If there is any dispute about or in any way involving the Sites(s) or the
Services, you agree that the dispute shall be governed by the laws of the State of North Carolina,
USA, without regard to conflict of law provisions and you agree to exclusive personal jurisdiction
and venue in the state and federal courts of the United States located in the State of North
Carolina, Wake County.
15. Costs and Fees.
a. Certain Services are available only for a fee, which fee is described on the Site(s) and
may be changed from time to time. You agree to pay all applicable fees for your course and other
Services. All fees paid are nonrefundable, are payable in U.S. dollars, and are exclusive of all
applicable taxes and administrative fees and charges imposed by third party payment services.
b. If your payment method fails or your account is past due, NDG may collect fees owed
using other collection mechanisms. This includes charging other payment methods on file with us
and retaining at your expense collection agencies and legal counsel.
c. You are solely responsible for any costs and expenses you incur as a result of your use
of the Sites(s) or the Services. You acknowledge and agree that NDG may later require users to
pay a fee to continue to use the Services or to use the Sites(s) that are currently provided at no
charge.
16. Trademarks.
The trademarks, logos and service marks ("Marks") displayed on the Sites(s) are the property of
NDG or other third parties. You acknowledge and agree that you have no rights, title, or interest
in or to the Marks and that you will not adopt, use, or attempt to register the Marks or any
confusingly similar mark. Users receive no license to and are not permitted to use these Marks.
17. Feedback. You acknowledge and agree that any questions, comments, suggestions,
ideas, feedback or other information submitted to NDG relating to modifying or improving the
Services ("Feedback"), whether solicited or unsolicited, are non-confidential and shall become
NDG’s sole property. NDG may use Feedback for any purpose, commercial or otherwise, without
acknowledgment or compensation to you. In the event your jurisdiction does not allow rights to
be transferred as described above, you hereby grant to NDG a worldwide, non-exclusive, royalty-
free, perpetual license for the use of Feedback, and in the event perpetual license terms are not
allowed by law, the term shall be for the longest period as allowed by applicable law.
18. International Use. Different countries have different laws and regulations. NDG makes
no representations that the Content or the Services are appropriate or legally available for use in
locations outside the United States. If you are accessing the Services from jurisdictions where
the Content or the Services may be illegal, you are solely responsible for complying with all local
laws regarding acceptable Content and the Services. By submitting any Content in connection
with the Services, you agree that you are submitting it to NDG’s servers in the United States.
19. General. This Agreement constitutes the entire agreement between you and NDG
regarding the use of the Services and the Sites(s). The failure of NDG to exercise or enforce any
right or provision of this Agreement shall not operate as a waiver of such right or provision. The
section titles in this Agreement are for convenience only and have no legal or contractual effect.
This Agreement operates to the fullest extent permissible by law. If any provision of this
Agreement is unlawful, void or unenforceable, that provision is deemed severable from this
Agreement and does not affect the validity and enforceability of any remaining provisions. The
parties are independent contractors under this Agreement and no other relationship is intended,
including a partnership, franchise, joint venture, agency, employer/ employee, fiduciary,
master/servant relationship, or other special relationship. Neither party shall act in a manner
which expresses or implies a relationship other than that of independent contractor, nor bind the
other party.

(B) CINCUENTA DÓLARES (USD $ 50.00) SI EL CURSO SE PROPORCIONA freeof CARGO. ESTA
LIMITACIÓN DE RESPONSABILIDAD ES ACUMULADA Y NO POR INCIDENTE. Algunas jurisdicciones no
permiten la exclusión de ciertas garantías o la limitación o exclusión de responsabilidad por ciertos
tipos de daños. POR CONSIGUIENTE, ALGUNAS DE LAS LIMITACIONES ANTERIORES NO SE APLIQUEN
EN SU CASO.

14. Disputas. Si hay alguna disputa sobre o de alguna manera la participación de los Sitios (s) o los
Servicios, usted acepta que la disputa se regirá por las leyes del Estado de Carolina del Norte, EE.UU.,
sin tener en cuenta el conflicto de disposiciones legales y usted acepta a la jurisdicción personal y
exclusiva de los tribunales estatales y federales de los Estados Unidos ubicados en el Estado de
Carolina del Norte, Condado de Wake.

15. Costos y Honorarios.

a. Ciertos servicios sólo están disponibles por una tarifa, que tarifa se describe en el Sitio (s) y
puede ser cambiado de vez en cuando. Usted acepta pagar todas las cuotas aplicables para su curso
y otros servicios. Todos los honorarios pagados no son reembolsables, son pagaderos en dólares
estadounidenses y no incluyen todos los impuestos aplicables y los derechos y cargas impuestas por
los servicios de pago de terceros administrativos.

b. Si su método de pago falla o su cuenta está vencida, NDG puede cobrar los honorarios debidos
utilizando otros mecanismos de cobro. Esto incluye la carga de otros métodos de pago en el
expediente con nosotros y de retención en sus agencias de cobro de gastos y un asesor legal.
 c. Usted es el único responsable de los costos y gastos en los que incurra como resultado de su
uso de los Sitios (s) o los Servicios. Usted reconoce y acepta que NDG tarde puede solicitar a los
usuarios a pagar una cuota para seguir utilizando los Servicios o para utilizar los Sitios (s) que se
proporcione actualmente sin cargo.

16. Marcas comerciales.

Las marcas comerciales, logotipos y marcas de servicio ("Marcas") que aparecen en los Sitios (s) son
propiedad de NDG u otros terceros. Usted reconoce y acepta que usted no tiene los derechos, título
o interés en o para las Marcas y que no se adopte, el uso, o intentar registrar las marcas o cualquier
marca confusamente similar. Los usuarios reciben ninguna licencia para y no están autorizados a
utilizar estas marcas.

17. Evaluación. Usted reconoce y acepta que cualquier preguntas, comentarios, sugerencias, ideas,
comentarios o otra información presentada a NDG relativa a la modificación o la mejora de los
Servicios ("Feedback"), ya sea solicitada o no, son no confidencial y pasarán a ser propiedad
exclusiva de NDG. NDG puede utilizar comentarios para cualquier propósito, comercial o de otro
tipo, sin reconocimiento o compensación para usted. En el caso de que su jurisdicción no permite
derechos sean transferidos como se describió anteriormente, usted otorga a NDG una licencia
mundial, no exclusiva, libre de regalías, licencia perpetua para el uso de Votación, y en caso de que
no se le permite términos de la licencia perpetua por la ley, el término será por el período más largo
de lo permitido por la ley aplicable.

18. Uso Internacional. Diferentes países tienen diferentes leyes y reglamentos. NDG no asume la
responsabilidad de que el Contenido o los Servicios sean apropiados o disponibles legalmente para
su uso en lugares fuera de los Estados Unidos. Si tiene acceso a los servicios de las jurisdicciones
donde el Contenido o los Servicios pueden ser ilegales, usted es el único responsable de cumplir con
todas las leyes locales con respecto a contenido aceptable y los Servicios. Al enviar cualquier
contenido en relación con los Servicios, usted acepta que usted está enviando a los servidores de
NDG en los Estados Unidos.

19. General. Este Acuerdo constituye el acuerdo completo entre usted y NDG con respecto al uso de
los Servicios y de los Sitios (s). El fracaso de NDG de ejercer o hacer valer cualquier derecho o
disposición de este Acuerdo no constituirá una renuncia a tal derecho o disposición. Los títulos de las
secciones en este Acuerdo son sólo por conveniencia y no tienen ningún efecto legal o contractual.
Este Acuerdo se aplica en la máxima medida permitida por la ley. Si alguna disposición de este
Acuerdo es ilegal, nula o inejecutable, dicha disposición se considerará separable de este Acuerdo y
no afectará la validez y aplicabilidad de las disposiciones restantes. Las partes son contratistas
independientes bajo este Acuerdo y ningún otro tipo de relación está destinado, incluyendo una
asociación, franquicia, empresa conjunta, agencia, empleador / empleado, fiduciario, maestro /
relación de siervo, u otra relación especial. Ninguna de las partes actuar de una manera que expresa
o implica una relación que no sea la de contratista independiente, ni obligar a la otra parte.
