MEMORANDUM OF UNDERSTANDING ‘This Memorandum of Understanding (“MOU”) is entered into this 10" day of January, 2018 by and ‘between Qiong Liu, an individual ("Liu") and the City of North Las Vegas, « Novada municipal corporation, and its divisions, departments and current and former managers, employees, agents, successors and assigns (collectively, the “City” (cach a “Party”, and collectively the “Parties”). RECITALS A. The City and Liu are patties to that certain City Manager Employment Agreement dated December 3, 2014 a further amended on September 6, 2016 (as amended, the “Employment Agreement”), B. The Parties desire to set forth the terms and conditions for Lin's retirement and resignation as City Manager, NOW, THEREFORE, in consideration of the mutual covenants, promises, agreements and representations below, end for other good and valuable consideration the Parti agree as follows: 1, In return for the consideration stated herein, Lin confirms her resignation in support of retirement, effective as of February 9, 2018. 2. The Parties agree thatthe City shall pay Liu the following sums as furtaer consideration of the mutual covenants in this MOU: (@ twelve months of Liu's aggregate salary (including individual PERS contribution by the City 4s detailed below) and health insurance benefits, om the normal payroll schedule following her separation date, ©) 100% of Liu’s accrued annual leave, sick leave, holiday leave, and executive benefits in one Jump sam payment {00044850,000; 1 o0-1ND) 1 (©The City will pay $25,000 in retroactive wages (plus any applicable PERS contributions) for ‘isoal year 2015/2016 to Lin, representing retroactive payment of Liu's November 5, 2015 matt increase. (@) Liu shall receive 6 months of PERS credit purchased within 30 days of execution of formal agreement of this MOU. 3. This MOUs subject to ratification by council in the form ofa formal severance agreement. Upon such ratification, Dr, Liu’s resignation will be accepted, 4, Liu shall relinquish all administative duties and authority asthe City Manager effective as of January 10,2018, Lin will be placed on paid administrative leave from January 10, 2018 until her separation from employment on February 9, 2018, 5. The City shall pay Liu’s February 2018 car allowance. 6. _Inaddition, the City shall provide continued coverage pursuant to COBRA and pay the entire cost of the premiums for health, dental and vision insurance coverage for Liu, her spouse and dependents tmtil the last day of February in, 2019. For the purpose of continuation of benefits under COBRA, the ‘twelve (12) months of health insurance coverage shall apply to the eighteen month maximum continuation period, 7. Liu hereby rescinds the termination of Ryann Juden, 8. Liwhereby rescinds the email from Liu to City directors and council regarding Ryann Juden, dated January 9, 2018. 9. The City agrees not to terminate incumbent directors, assistant directors, and City Clerk, except for cause, up to July 10, 2018, {(00044650.000; 1 co-NFD} 2 10. Lin agrees to enter into a formal Settlement and Release waiving claims against the City, consistent with this Memorandum of Understanding. 11. Inthe eventa third party contacts the City to inquire into Lin's employment, the City agrees to provide a neutral employment reference.
