ACKNOWLEDGMENT OF CONFIDENTIALITY AGREEMENT

WITH TRACFONE WIRELESS, INC.

I acknowledge that my company identified below (the “Company”) has

been subcontracted by a thirty-party (“Contracting Company”) to perform
services for TracFone Wireless, Inc. and that the Contracting Company is a party
to a Confidentiality Agreement or a Non-Disclosure Agreement (the
“Confidentiality Agreement”) with TracFone Wireless, Inc. (“TracFone”) which
governs the use and disclosure of confidential information exchanged between
TracFone and the Contracting Company, including, but not limited to, the
Contracting Company’s employees, independent contractors, subcontractors,
agents, representatives, officers and directors (collectively, “Representatives”).

I further acknowledge that (i) I have been advised by my Company and/or

the Contracting Company of the terms of the Confidentiality Agreement,
including, the terms related to the authorized use and disclosure of confidential
information and (ii) the terms of the Confidentiality Agreement must be adhered
to by all Contracting Company’s Representatives who perform services for
TracFone. Accordingly, I agree that I will not use or disclose any Confidential
Information pertaining to TracFone in violation of the Confidentiality Agreement
and that I will return all Confidential Information belonging to TracFone in my
possession upon demand by TracFone or upon termination or expiration of the
services I am providing to TracFone on behalf of my Company and the
Contracting Company.
