SOFTWARE LICENSE AGREEMENT

IMPORTANT!
READ CAREFULLY BEFORE USING THE SOFTWARE

1. The copyrighted software sold, leased or licensed to Licensee is being licensed by

Licensor to Licensee solely for Licensee's use thereof in, and only in accordance with
and subject to the terms and conditions of this Agreement. Licensee agrees not to
use the Licensed Software other than in, or in support of, it’s normal use of the Product.
The Licensed Software (i) has been developed by Licensor or (ii) constitutes materials
("Licensed Materials") under license(s) with Licensor. Licensee hereby
acknowledges that the Licensed Software and Licensed Materials are commercially
valuable products of Licensor and the Third Party Licensor(s), respectively, which they
each treat as confidential and containing substantial trade secrets, each having
invested considerable time, money and effort in the design and development thereof.
This Agreement does not provide Licensee with any title or ownership to the Licensed
Software or Licensed Materials but only a right of limited use thereof; Licensor and the
Third Party Licensor(s) each respectively have sole and exclusive ownership of all
right, title and interest in and to the Licensed Software and Licensed Materials,
respectively, all modifications and enhancements thereof and all intellectual property
relating thereto.

2. Licensee shall not, under any circumstances, by any method or in any manner
whatsoever, copy, reverse engineer, decompile or "unlock" the code of the Licensed
Software or any portion thereof or disclose the Licensed Software or any portion
thereof to any third party.

3. Licensor assumes all responsibility for the selection of Licensed Materials for use as a
basis for any of the Licensed Software it developed. Licensee hereby agrees that,
subject to any limitations thereon set forth elsewhere in this Agreement, any claims it
may have with respect to the use or functioning, or otherwise relating to, the Licensed
Software may be asserted only against, and shall be the sole liability, of Licensor (and
not of any Third Party Licensor).
