CHATTEL MORTGAGE

KNOW ALL MEN BY THESE PRESENTS:

This CHATTEL MORTGAGE, made and executed by __________, Filipino, of legal

age, married to ___________, and a resident of _______ City, Philippines, herein after called the
MORTGAGOR, in favor of ______________, likewise Filipino, of legal age, single, with postal
address at ___________, Cebu City, Philippines, hereinafter called the MORTGAGEE,
witnesseth:

That the MORTGAGOR does hereby convey by way of chattel mortgage unto the
MORTGAGEE the following described motor vehicle, now in my possession, to wit:

That this CHATTEL MORTGAGE is given as security for the payment to the
MORTGAGEE, for the credit line (a maximum of 500 sacks of rice) of the MORTGAGOR, he,
being a Distributor of the merchandise of the MORTGAGEE.

That the conditions of this CHATTEL MORTGAGE are such that if the said
MORTGAGOR, her heirs, executors, or administrators shall well and truly perform the full
obligation above stated according to the terms thereof, then this chattel mortgage shall be null
and void otherwise, it shall remain in full force and effect and shall be enforceable in the manner
provided for by law.

obligation, and one not entered into for the purpose of fraud.

 That this CHATTEL MORTGAGE is given as security for the payment to the
MORTGAGEE, of a certain promissory note, dated November 4, 1999, for the sum of
SEVENTY THOUSAND (P70,000.00) PESOS, Philippine currency, with interest thereon at the
rate of FIVE PERCENT (7%) per month, according to the terms thereof, and in the words and
figures of the Promissory note dated, November4, 1999, copy of which is hereto attached and
forms part hereof as Annex "A";

That the conditions of this CHATTEL MORTGAGE are such that if the said
MORTGAGOR, her heirs, executors, or administrators shall well and truly perform the full
obligation above stated according to the terms thereof, then this chattel mortgage shall be null
and void otherwise, it shall remain in full force and effect and shall be enforceable in the manner
