Each party warrant tothe other haf that thas, full power and authority to enter into ard perform its obligations under this letter. The licensor warrants thatthe content: A) Will not infringe any thir party’ intellectual property rights: 8} Does not violate applicable aw, statue or subordinate legislation ©) There is no ftigation or pending application before any regetry or court of competent jurisdiction affecting the content ‘The censor shal indemnify and shal keep SFB indemrifid against all and any loss, danages, ability and cost (including reasonable legal expenses) that SFB suffers or incurs as result oF in connection with any breach by the assignor of the warranties in paragraph 2.0 above. At the Fequest of SFB and at the icensor’s own expense, feshall provide all reasonable assistance to enable 58 to resist any claim, action or proceedings brought against SFB as a consequence ofthat breach 3.0 Confidentiality Each party shall Keep secret and confidential: The terms ofthis letter; and any information ofa confidential nature communicated tot by the other party, either preparatory 1, oF as 8 result ofthis letter; and shall not use the same for any purpose except for the purpose of ‘exercising or performing its rights and obligations under this Letter and shall nt disclose the sme to any person other than any ofits officers or employees who need to know such information forthe Purposes of carving out such party's obligations under this Letter or is professional advisors, Provided that prior to disclosure to any such officer, employee or professional advisor it informs such person of the confidentia| nature ofthe information and is responsible for such person's comaiance with the confidentiality obigations sat out in this paragraph 5 and, if necessary, shall promptly enforge such obligations either om its own motion or at the raquest of the ther party.
