NON-DISCLOSURE AGREEMENT ‘This NON-DISCLOSURE AGREEMENT dated December 18 December 2018 (‘this Agreement’) BETWEEN: Benny SP Lumbanraja, whose principal place of business is located at Jakarta, Indonesia, (hereinafter, “Recipient”) and Ht Systems Singapore Engineering Services Pte Ltd whose principal piace of business is located at Singapore 16 Raffles Quay #33-03 Hong Leong Building 048581, (hereinafter, “Company”) {each a “Party” and collectively, the “Parties”) RECITES: ‘A. The Parties intends to disclose confidential information ("Confidential Information”) tothe other party {or the purpose of data center design, implementation and development projects (“the Permitted Purpose”); and B. The Parties wish to define herein the obligations of the Recipient with respect to the usage of Confidential information which may be disclosed by the Company to the Recipient in connection wth the. Permitted Purpose. To ensure the protection of Confidential Information and to preserve any confidentiality necessary under patent andlor trade secret legisiaton, itis hereby agreed that 1. The Recipient agrees not to disciose Confidential Information to any third party (whether individual, corporation or other entity), except to Permitted Parties for use in connection wih the Permitted Purpose, without the prior written consent ofthe Company, 4 The Recipient agrees to take reasonable steps to prevent the disclosure or unauthorised use of Confidential Information to prevent Confidential Information from becoming avaiable inthe public domain or the possession of persons not owing a duty of confidentiality to the Company (“duty of confidentiality”). 5. This Agreement imposes no obligation upon Recipient wih respect to any Confidential Information which: (a) was in the prior knowledge ofthe Recipient prio tothe entering of his Agreement; os o becomes generally avaiable inthe pubic domain through no fault ofthe Recipient; (c) is attained by the Recipient through 2 third party not owing a duty of confidently tothe Company; or) is required by law or by a Competent Authority to be disclosed. 6. The Recipient acknowledges that its obligation relating to its duty of confidentiality owed tothe Company shall survive, notwithstanding the termination of this Agreement, fora period of 3 years from the date ‘ofthis Agreement. The term of his Agreement is 3 years. 7. Nothing in this Agreement shall be construed as creating, conveying, transferring, granting or conferring upon the Recipient any rights (including intellectual property rights), icense or authority in orto the Confidential Information, 8. The Recipient agrees that shal be lable for any breach ofthis Agreement by the employees, agents ‘of consultants of the Recipient and the Recipient's affiliates or subsidiaries. 8. The Recipient agrees Confidential Information shall at all imes remain the property ofthe Company. 10. This Agreement is governed by and shall be construed in accordance withthe laws of Singapore. Lid 11, This Agreement comprises the entre agreement between the Parties with respect tothe usage of Confidential Information by the Recipient.
