PARTNERSHIP AGREEMENT BETWEEN: Done Ela High School (hereinafter called the “Beneficiary”, a school established in Done Ela, Mirab Abaya zone , Ethiopia, represented by Mr. Mesele Mals, school director; AND ‘Arba Minch University (hereinafter called the “Partner’), a university established in Arba Minch, Ethiopia, represented by Mr. Zelalem Girma Giday, Director of renewable energy at the technology research centre; AND ENERGY ASSISTANCE asbl-vew (hereinafter called “ENERGY ASSISTANCE”), established in Brussels, Boulevard Simon Bolivar, 34, 1000 Brussels, Belgium, represented by Mr. Luc Waterlot, Operations Manager and Mr. Marc Janssens De Varebeke, Executive Manager. Hereafter designated individually as the “Party” and collectively the “Parties”. PREAMBLE ‘The Partner is in contact with the Beneficiary and is willing to provide charitable support to the Beneficiary for getting electricity from renewable energy. On behalf of the Beneficiary, the Partner has solicited the Intervention of ENERGY ASSISTANCE for the project described hereunder (hereinafter called the “Project”) (see Application Form dated 31" August 2017 in appendix). ENERGY ASSISTANCE carries out electrification projects on a voluntary basis. The projects are selected based on specific criteria which include the humanitarian nature of the project and the participation of the Partner and Beneficiary in its realization. The Project meets ENERGY ASSISTANCE requirements, which has therefore undertaken to get involved in the Project according to the following partnership agreement (hereinafter called the “Agreement’): NOW THEREFORE, IT HAS BEEN AGREED AS FOLLOWS: Article 1 - Technical description of the Project ‘The Project consists to install, at the Dona Ela school, an autonomous off-grid solar power generation system. The aim is to make available to the students, the teachers and the supporting staff, a safe and reliable electricity supply for (i) the lightning of the classrooms and others rooms of the building and (i) the feeding to the computers, printer, fridge, mobile phones, TV and other devices of the school. The scope of works includes the provision of the following equipment (hereinafter called the “Equipment’) to provide electricity for the school buildings: solar power generation system comprising: PV panels + charger + batteries + inverter; cabling between above equipment; the earthling system; ‘main & buildings distribution panels with protections; the electrical distribution and lightning system {which will include: cabling from distribution panel to consumers, economical electrical light bulbs with corresponding sockets, junction boxes, switches and plugs) Article 2 ~ Resource allocation and obligations of the Parties The Parties have agreed to realise the Project as partners, allocating between them the necessary tasks as follows: 2.1 ENERGY ASSISTANCE ‘© Design the electrification Project and elaborate the Equipment specifications; Page 1 of 4 Supply the Equipment required to carry out and complete the Project; Transport the Equipment to Addis Ababa; Assign volunteer experts to install the Equipment on site. These experts will, amongst others, handle the following tasks: ~ set up the general organisation, = supervise and perform installation works, = train the local technical team to Equipment maintenance; such training will be ensured throughout the mission; Provide electrical hand tools and a drilling machine; and Provide the Beneficiary and the Partner with any additional information he would need in order to operate the installed Equipment. 2.2 The Partner Provide ENERGY ASSISTANCE with all documents and information needed to conduct the studies (this task is already completed); Obtain the necessary authorizations to perform the works, and obtained any required local certification (with the supported documents provided by ENERGY ASSISTANct). The Partner will bear all costs related to these procedures and arrangements; Provide certain tools, as to be agreed before the mission, for the installation of the Equipment (such as a diesel generator and ladders); Allocate workforce and technical staff in order to provide support ENERGY ASSISTANCE volunteers; Perform the custom clearance and pay the duties for the importation of the Equipment; and Transport the Equipment from Addis Ababa to the school 2.3 The Beneficiary Provide to the Partner the information needed to conduct the studies (this task is already completed); Support the Partner to obtain the necessary authorizations to perform the works, and obtained any required local certification. Provide hosting, transportation, accommodation and catering for the volunteers of Energy Assistance during their mission in Ethiopia; Provide access to the school for the execution of the works; Provide certain tools, as to be agreed before the mission, for the installation of the Equipment (such as a diesel generator and ladders); Prepare a safe and secured (covered, ventilated and locked) area for the installation of the batteries, inverter and charger; Allocate workforce and technical staff in order to (i) provide support ENERGY ASSISTANCE volunteers and (i) receive from them the training; the Beneficiary takes at his expense their eventual remuneration; Foresee dry and secured premises to temporary store the Equipment sent by ENency ASSISTANCE; and Ensure then maintenance and the operation of the Equipmentin accordance to the procedures defined in agreement with ENERGY ASSISTANCE. Article 3 ~ Responsibilities Each Party shall remain responsible for, and bear the cost of, its own tasks as defined in article 2, which it undertakes to execute in a satisfactory way. Any conflict relative to the Project completion, execution and contract termination will be resolved under the jurisdiction of the Belgian courts.
