ON THE OTHER SIDE, MAS QUE CARNES, with RUC 0924945207001, duly and legally represented by Ing. Xavier Freddy Ligfia Monta, domiciliad in calle Corazén SIN interseccién Pasaje Florida, Quito, Ecuador. BOTH PARTIES, recognizing reciprocally the character, personality and representation with which they appear, agree to MANIFEST the following: OBJECTIVE ‘The purpose of this Letter of Intention is to establish the bases and lines of joint work between the participants from the moment of the signing of the present document, until the establishment of an agreement, if previously understood and agreed by the parties. DECLARATION OF INTENT FIRST: Both parties declare their intention to establish commercial relations for the distribution and marketing of TENDERLON ANGUS- BULL (LOMO FINO ANGUS) products, with the following characteristics: + Product name: TENDERLOIN ANGUS-BULL (LOMO FINO ANGUS) + Packing 1x10 kg / CIN (cargo Tracking Note) + Category: Grade A - Specifications: 25 kg net per carton of boneless meat, vacuum packed individually, with our label that will be sent from Ecuador. + Price: USD1100 per ton - CIF + Port of deliver: Guayaquil-Ecuador + Payment conditions: 10% of total amount (USD3.000) will be sent by Western Union. The balance will be sent by wire transfer. SECOND: Both organizations will work together to obtain all the permits related to the purchase and commercialization before the regulatory bodies of Ecuador, such as Agencia de Regulaci6n y Control Fito y Zoosanitario -AGROCALIDAD. THIRD: In order to start commercial relations, MAS QUE CARNES undertakes to deposit the amount of US $ 3,000.00 (Three thousand 00/100 US dollars), which will serve two purposes:+ Demonstrate the seriousness of the company MAS QUE CARNES and + Advance payment for the purchase of first container, 27 tons, of the mentioned product. FOURTH: In case that for reasons attributable to TROPICAL LINE GROUP or due to impediments of the internal regulations of Ecuador, the commercial route could not be established, TROPICAL LINE GROUP commits to retum 80% of the value deposited at initial negotiation FIFTH: Once proper commercial relationship have been established and necessary permits for the importation been obtained for commercialization and sale of the product, a new legal ‘work instrument will be defined where the form of work, prices, type of packaging, forms and conditions for the shipment, etc. will be determined.
