GUARANTY AND INDEMNITY AGREEMENT

THIS GUARANTY AND INDEMNITY AGREEMENT (this “Guaranty”) is

executed as of February 25, 2016, by Don Jhonny Walker (“Don”), and Empire
Conglomerate (“Empire”), for the benefit of Ador Fund, Ltd. (“Ador”).

Article 1. Don hereby irrevocably and unconditionally guarantees to Ador the

payment and performance of the obligations of Empire that may arise from the Share
Purchase Agreement between Ador and Empire executed on the 25th day of February
2016, as and when the same shall be due and payable, whether by lapse of time, by
acceleration of maturity or otherwise. Don hereby irrevocably and unconditionally
covenants and agrees that it is liable for the obligations as a primary obligor under those
terms.

 Article 17. Any disputes arising out of this guarantee shall be finally resolved
