After discussion, the Board decided to delay the election of a new Chair until the new members:
have had an appropriate amount of time to get to know GPB. fn the meantime, John
Stephenson will continue to serve in an interim capacity until a new Chair is elected.
Adjournment
Mr. Stephenson shared that the topic of the next board meeting, scheduled for April 17, 2019
would be an overview of the GPB Radio division. With no furthar business, the meeting
adjourned at 12:48 pm.

Vil, WHEREAS FURTHER, os set forth in ATTACHMENT 1 attached hereto and

Anwombly") haw passed and the Governor of the Stato of Georgia (the “Governor” has
signed varlous appropriations acts authorizing amounts from state general funds to be
ppropriated for the purpoe of financing certain capital projects through the issuance ofGeneral Obligation Debt, and such appropriations are more fully set forth in such

VII. WHEREAS FURTHER, GPTC finds an immediate need for certain project
funding for the purposes of financing some or all of the projects and facilities associated
with the appropriations set forth in ATTACHMENT I hereto (the “Projects”) in the
‘aggregate principal amount of $250,000;
IX. WHEREAS FURTHER, GPTC therefore desires to request the Board of
Regents to request the Commission to issue $250,000 in aggregate principal amount of
State of Georgia General Obligation Bonds, the instruments of which shall have
maturities not in excess of the respective appropriations set forth in ATTACHMENT 1
bere (the “General Obligation Bonds”), for the purpose of financing some or all of the
jects;
X. WHEREAS FURTHER, GPTC is aware of the provisions and requirements of
the Intemal Revenue Code of 1986, as amended (the “Code”) and the regulations issued
thereunder respecting arbitrage bonds and private activity bonds, and is aware that the
Projects must proceed with due diligence and be timely completed following receipt of
the proceeds derived from the sale of the General Obligation Bonds (the “Bond
Proceeds”);
XI. WHEREAS FURTHER, GPTC intends to use all or a portion of the Bond
Proceeds for certain purposes which may give rise to “private business use” within the
meaning of Section 141(b)(1) of the Code and thus is requesting that the General
Obligation Bonds be issued as federally taxable bonds,
NOW, THEREFORE, BE IT RESOLVED BY THE GEORGIA PUBLIC
‘TELECOMMUNICATIONS COMMISSION THAT:
SECTION 1.
GPTC hereby approves and authorizes the Projects
SECTION 2,
GPTC hereby requests the Board of Regents to submit a request to the Georgia State
Financing and Investment Commission that the Commission undectake to issue $250,000
in aggregate principal amount of State of Georgia General Obligation Bonds, the
instruments of which shall have maturities not in excess of the respective appropriations
set forth in ATTACHMENT 1 hereto, for the purpose of financing some or all of the
Projects.
SECTION 3.
GPTC intends to use all or a portion of the Bond Proceeds for certain purposes that may
give rise to “private business use”, as defined by Section 141 of the Code, and therefore
GPTC requests that the General Obligation Bonds be issued as federally taxable bonds,

GPTC hereby determines and agrees that with respect to any GPTC project previously
at with proceeds of General Obligation Debt issued by the State with the intent
(@) the interest on such bonds be excludable from gross income for
federal income tax purposes pursuant to Section 103 of the Code; or
(b) such bonds at the time of their issuance were designated by the
State as Build America Bonds under Section S4AA of the Code;
and where any such bonds remain outstanding (including any refunding bonds), GPTC
certifies that such project(s) are not now being used for any private business use within
the meaning of pertinent provisions of the Code, except for those specific instances in
which GPTC has identified to the Commission such use of the project(s) and (i) provision
‘was made so as to retire, redeem or defease any and all then-remaining outstanding bonds
for the project(s) concurrent with such use, or (ji) the Commission has determined that
the aforementioned retirement, redemption or defeasance is not required to maintain the
tax-exempt or Build America Bond status of such bonds.
SECTION 5.
‘The Executive Director of GPTC (the “Executive Director”), the Chairperson of GPTC
(the “Chairperson”), the Secretary of GPTC (the “Secretary”), and their valid delegates
each are hereby authorized and directed to execute any instruments and take whatever
action which may be necessary and incident to purposes related to the Projects, including
but not limited to GPTC’s direct receipt from the Commission of the Bond Proceeds
related to the Projects without further authorization or approval by GPTC or by the Board
of Regents.
SECTION
‘The Executive Director, the Chairperson, the Secretary, and their valid delegates each are
hereby authorized and directed to execute any instruments and take whatever action
which may be necessary in connection with the issuance of the General Obligation Bonds
by the Commission, including, but not limited to, the preparation and execution of
answers in connection with any legal proceeding as to the validity of any action by GPTC
with respect to the issuance of the General Obligation Bonds by the Commission. The
Attorney General or any Assistant Attomey General of the State are authorized to execute
Acknowledgment of Service and Waiver of Process in such legal proceedings.
SECTION 7.
All attachments, exhibits and schedules attached hereto or referenced in this resolution
(the “Resolution”) are hereby incorporated herein and made a part hereof.This Resolution is hereby adopted this 17th day of April, 2019.

Not a problem! We've had several folks respond that they car't make the meeting due to summer

| spoke with Alison this afternoon, and I'm sorry for the late notice on this. Generally, a
PowerPoint presentation is helpful, but don't feel the need to creste tons of slides. Graphics is
happy to put the presentation together and do anything needed there. 1'd lke to have the
presentation on Tuesday to ensure that everything is good to go on Wednesday.
‘The Commission board is appointed by the Governor and has nina members who represent the
state of Georgia. They're excited to hear what you have to say aid learn more about GPB, If
