SECTION 5. ‘The Executive Director of GPTC (the “Executive Director”), the Chairperson of GPTC (the “Chairperson”), the Secretary of GPTC (the “Secretary”), and their valid delegates each are hereby authorized and directed to execute any instruments and take whatever action which may be necessary and incident to purposes related to the Projects, including but not limited to GPTC’s direct receipt from the Commission of the Bond Proceeds related to the Projects without further authorization or approval by GPTC or by the Board of Regents. SECTION ‘The Executive Director, the Chairperson, the Secretary, and their valid delegates each are hereby authorized and directed to execute any instruments and take whatever action which may be necessary in connection with the issuance of the General Obligation Bonds by the Commission, including, but not limited to, the preparation and execution of answers in connection with any legal proceeding as to the validity of any action by GPTC with respect to the issuance of the General Obligation Bonds by the Commission.
