I, Liza Soberano, Filipino, of legal age, with postal address at Rivervalley,

Canduman Mandaue City, Cebu, Philippines, after having been sworn to in
accordance with law, do hereby depose and state, that:

1. That I am the duly elected Corporate Secretary of SAMBAG

MULTIPURPOSE COOPERATIVE, a cooperative duly organized and existing under
and in accordance with the laws of the Republic of the Philippines located at
the above stated address;

2. That on a Special Meeting of the Stockholders/Board of Directors of the

said corporation held in its principal office located at the above stated address
on July 23, 2018 the majority of the Stockholders/Directors pursuant to the By-
Laws of the corporation unanimously approved the following:

“RESOLVED, That the Cooperative’s Chairman and Member of the Board,

JOSE DE LA CRUZ respectively, are hereby authorized to sign, enter and
execute the said Promissory Note for and in behalf of the Cooperative in
the amount of FOUR HUNDRED THOUSAND PESOS (Php 400,000.00)
Philippines Currency with KOPIKO GLOBAL INC., as well as the other
pertinent documents required in order to effect the said transaction;”

“RESOLVED FURTHER, to authorize and empower the said officers to

execute and sign any and all other documents and instruments relating to
the said transaction, and likewise perform such other acts and deeds
required to effectuate his foregoing authority."

GIVING AND GRANTING unto the said Attorney’s-in-fact full power and
authority to do and perform every act whatsoever requisite and
necessary to be done in and about premises, as fully to all intents and
purposes as it might or could do if personally present, hereby ratifying and
confirming all that its Attorneys- in fact shall lawfully do or cause to be
done by virtue of these presents.”

RESOLVED FURTHER, that all things/acts done and documents executed

and entered into by the Directors’ signatory pursuant to and in
accordance with the foregoing authority are hereby confirmed, affirmed
and ratified;

RESOLVED FINALLY, that this resolution shall be valid and subsisting and
shall remain in full force and effect unless otherwise revoked or amended
in writing.
