claims, demands, damages, losses, expenses, costs, charges, litigations including legal costs, lawyer's fees tnade by The Producer or by any third party, including the Central Board of Film Certification, inthis regard Other Charges: s , 4. Censor Certification: Upon request from the Producer, QCT shall render services for creation of the DCP. for submission for Censor Certification, at a consolidated charge of 50,000. This includes up to a maximum Gf 3 DCP changes / Corrections (including the Censor DCP) & one Censor show. Post finalization of the DCP, any further changes required in the DCP, arising out of the Censor Certification process would be charged at the rate of 750/- per version per screen (as evidenced by the KDMs issued for such version), subject, in each instance, to a minimum of 25,000/- ». DCP Modifications: Any modificaljons to & DCP, of whatever nature, would be additionally charged a consolidated fee of 25,000/- per modification. i Applicable taxes would be extra in all cases. Jn this regard, itis agreed and acknowledged that dny trimming of the Content or any inclusions, would be facilitated at QCT’s convenience, and only inthe presence of an authorised representative of The Producer, solely at the risk and responsiblity of The Producer and the indemnity provided to QCT vide Clause 3 above shall apply. ‘The Producer will provide QCT the list of Distributors authorized for specific territories (“Authorized Distributor”, “AD” / “Authorized Distributors”, “ADs"). However, once a defined teritory (as understood in common industry parlance) has-been assigned to an AD, QCT shall not, thereafler, take cognizance of any change in the AD for a particular teritory or any changes, modifigations of any ‘carve-out’ of the territory ‘signed to an AD unless such changes / modifications are confirmed in writing by the AD to whom it has been originally assigned. QCT shall be indemnified pursuant to the provisions of Clause 3 above against any lsims, actions, costs or liabilities it may incur as a result of having so acted, The Producer agrees to allow QCT to ¢xecute tie censor corrections for the overseas territories atthe request ofthe AD for that region and also issue licenses for the censor screening based on the AD’s authorization, The Producer also agrees to allow QCT to issue licenses to its vendors / technical partners for the purpose of quality checks only at its discretion. The Producer indemnifies QCT against any claims, demands, damages, losses, expenses, costs, charges, litigations including legal costs, lawyer's fees made by the Producer and/or by any third party, ineluding any government body, in this regard. Unless otherwise intimated in writing by The Producer, which shall be done at the time of first issue of AD list to QCT, QCT will deem that the distribution right conferped on the ADs is irrevocable for their territory, for a period of 5 years from FRD (“Term”). It is also deemed that the derived right of the ADs for their territory is assignable to any thind party during the Term. During the Term, QCT will, at the request of ADs, facilitate delivery of the DCPs of the Content and its related promotional material, including trailers to theatres through wired or wireless data downloads and/or through any physical data storage media. The Producer shall, whether by himself or through the AD, make appropriate arrangements with the theatres concemed for ensuring playback of such Content or promotional material, ‘QCT will take instructions only from tye ADs or their authorized representative(s) for the number and the list of theatres the Content is to be screeited in, and the date range of playback permitted per theatre, In this regard, it is agreed and acknowledged by The Producer (and the Producer shall keep all ADs suitably informed) 2. that the aforesaid list of theatres would be made available to QCT not less than 2 days prior to the FRD; b that QCT will generate all licenses across all regions from 12.00 AM. IST on the FRD. Any requests for ‘calier or later vatidation of licenses for any specific theatres will be entertained only with due authorization of The Producer and only if communicated at the time of the list of theatres being made available, as aforesaid;
