A. BASIC CONCEPTS
The late Chief Justice Manuel V. Moran defined legal ethics as “the embodiment of all
principles of morality and refinement that should govern the conduct of every member of the
bar.”
2. Bases:
a) The Constitution - SC prerogative to promulgate rules on the
admission to the Bar, integration of the Bar and legal assistance to
the underprivileged (Art. VIII, Sec 5 (5)

Art. 1491 (5) - lawyers cannot acquire properties and rights which may be the
object of litigation in which they may take part by virtue of their profession (Ramos v. Ngaseo
445 SCRA529)

THE LAWYERS OATH - encompasses all the ethical
obligations of a lawyer:

3. Common Terms
c) Quantum meruit - “as much as he has deserved”; authorized when (i) there is
no express contract (Pineda vs . de Jesus, 499 SCRA 608; (ii) although there is a contract,
the fees stipulated are found unreasonable or unconscionable (Mambulao Lumber
vs.PNB, 22 SCRA 355); (iii) when the contract for attorney’s fees is void due to purely

formal matters or defect in the execution; (iv) when the lawyer is unable to finish the
case; and (v) when both lawyer and client disregard the contract
Void contract. Exception: lawyer may advance some expenses in good faith as
a matter of convenience but subject to reimbursement.
g) Contingent fee arrangement - counsel does not undertake to bear all the expenses
of litigation; fees dependent on the success of the case (Rayos vs. Hernandez, 515 SCRA
517)

Loyalty - lawyer must keep the confidences and secrets of his client
even after the termination of lawyer-client relations.
