MEMORANDUM OF ASSOCIATION

PICK & CHOSE PRIVATE LIMITED

I. The name of the Company shall be “PICK & CHOSE PRIVATE LIMITED”
II. The Registered Office of the Company will be situated in the State of Punjab.
Ill. The objects to be pursued by the Company on its incorporation are as follows:
A. The main objects of the company to be pursued on incorporation are:-
a) The principle line of business shall be to carry out the sale of Children garments.
b) To import children garments from china and Thailand.
c) Directly Sale to consumer on Retail Basis.
d) To carry on the business of retail Children cloths, Toys, diaper, Feeder, cycles and under
garments etc.
e) Except for the businesses mentioned in sub-clause (iii) hereunder, the company shall
engage in all the lawful businesses and shall be authorized to take all necessary steps and
actions in connection therewith and ancillary thereto.
B. The objects incidental or ancillary to the attainment of the main objects
are:
a) To develop, establish and maintain and aid in the development, establishment and
maintenance of customer relationship.
b) To open bank account(s) which are necessary to do day to day business activities of the
company.
c) To purchase, take on lease, or otherwise, acquire any land, Warehouse and building for
Storage which may deemed essential for the main business of the company.

IV. The liability of the members is limited.

V. The Share capital of the Company is Rs. (10 Millions)
We, the several people whose names and addresses are subscribed, are desirous of being formed
Into a Company in pursuance of this Memorandum of Association and we respectively agree to
take the number of shares in the Capital of the Company set opposite our respective names.
