We are pleased to submit our proposal for the material, fabrication, testing and coating of spool pieces as described
in Items 1 and 2 below, and in the Spool Piece Notes below. Tubing, fittings, gaskets, and bolting required to
install the spool pieces, regulators, valves, transmitters, gauges, strainers, other equipment, etc. are not part of
this proposal. Note also that spool piece installation is not part of this proposal. Strainers, ball valves, pressure
gauges, and pressure transmitters are proposed per Item 3 below.

PROPOSAL
Item 1, Quantity 1 ea: three 2" X 8" 600# Regulator Pipe Spools for 2 inch EZH’s (working monitor) per attached
sketch, attached BOM and Spool Piece Notes below

Shipment: 14-16 weeks After Receipt of Customer Approved Drawings, allow 2-3 weeks for submittal of drawings
for approval, plus 2 weeks transit time. Holds for inspection will increase lead time.

Inspection:
Authorized customer inspectors will be granted access to all parts of contractor's, subcontractor's, or sub-supplier's
plant engaged in the manufacture or testing of the equipment specified herein during reasonable business hours.
Holds for inspection may result in extension of required shipment time.

Delivery: 14-16 weeks After Receipt of Customer Approved Drawings, allow 2-3 weeks for submittal of drawings
for approval, plus 2 weeks transit time.

Should this quotation result in an order, CAC reserves the right to utilize our established source subcontractors in
support to our own manufacturing facility in meeting the order requirements. In any such event, CAC will remain
responsible in fulfilling the contractual obligations and quality of the furnished products. By issuance of this
quotation, CAC has to the best of our ability complied with all specifications and requirements, except those
specifically listed as "Exceptions". However, if this quotation should result in an order, and a conflict exists between
an approval drawing and a specification, the approval drawing shall govern. The price and delivery quoted is
based upon the best information available at the time of issue and is subject to review before order acceptance.

**IMPORTANT NOTES**
1. Due to the current volatility of the world steel market, Control Associates Caribe reserves the right to review
material costs after receipt of order.
2. Prices are subject to increase to compensate for any increase in seller's costs INCLUDING new or
increased taxes or governmental regulatory measures.
3. We shall be excused and not liable for delays in shipment caused by customer's request, labor troubles,
shortages of materials, damage in plant, governmental regulations, or other causes, similar or otherwise,
beyond our control.

4. Merchandised fabricated is warranted to be free from defect in material or workmanship. Our liability is
limited to the purchase price of any merchandise upon its return to us after making a prorate charge for
services rendered.
5. One (1) hard copy of data books including MTR's, x-ray reports, hydrotest chart, etc., will be supplied
with each order. Any additional copies must be requested and will be charged $25.00 per book. An
electronic copy will be sent through ShareFile.
6. Products are warranted free from defects in material and workmanship for a period of (12) months from
the date of shipment. The warranty on components shall not exceed the component manufacturer’s
warranty.
7. If a defect under this Warranty appears, CAC, at its option, will repair or replace the defective part or
product, or refund the purchase price, less an allowance for services rendered by product prior to claim
and in no event will CAC assume responsibility for damages, consequential or incidental.
8. Claims for breach of warranty must be made in writing immediately upon discovery and sent by
registered mail to CAC. Defective equipment must be held for inspection by CAC or at CAC’s fabricator
or sub-contractor.
9. This warranty shall not apply to any product or component which has been repaired or altered by anyone
other than CAC’s fabricator or sub-contractor, or has become defective due to misuse, negligence or
casualty, or has not been operated or maintained properly.
10. Remedies available to an owner for breach of this Warranty are expressly limited to an action to recover
for the value of repairs or replacements due hereunder and CAC’s liability for incidental or consequential
damages are hereby expressly excluded to the full extent permitted by applicable law.
11. Price and lead time are based on information provided. Recommended Carboline coating for "Tropical"
environment. Pricing includes seaworthy export packaging, ocean freight and handling from the spool
piece fabrication facility in the USA to (CFR) Puerto Caucedo, Dominican Republic.

Additional Notes:
Sales tax or any type of tax or importation charge if applicable are not included.

Cancellation Charges:
 25% upon submittal of approval drawings.
 75% upon purchase of material.
 85% upon start of fabrication.
 100% upon completion of fabrication.

Progress Payments:
 20% upon receipt of purchase order
 30% upon receipt of approved drawings
 25% upon purchase of material
 15% upon start of fabrication
 10% upon readiness to ship from fabricator

Price: $227,443.00 USD

Shipping: $16,449.00 USD

Prices quoted are firm for thirty days and are based upon the quantities requested. Cancellation or construction
changes made after order entry may be subject to additional charges. Minimum billing is $100.00. All orders are

subject to credit approval. Any orders resulting from this quotation will be governed by the invoicing entity's
standard terms and conditions of sale.

This quotation does not include any taxes. If your order is tax exempt, please provide a sales tax exemption
certificate based upon the ultimate equipment destination. For orders whose ultimate destination is outside the
United States, a written statement of ultimate destination and end use will be required prior to processing. We
look forward to receipt of your order.
