I.- ABSTRACT

The present research work "How to create a small business", consists of


the development of a market planning specifying various aspects such as
business idea, market analysis, and production plan, to see the
importance in a study of how to start a small company with a goal of
studies, strengths and weaknesses to face different challenges in our
country. Also, know if the company is going to be constituted as a natural
person or as a legal entity and the steps and procedures of the creation of
a company. In addition, the importance of going to the Public Registry
(SUNARP) for the search, reservation of name and registration of the
company; to the Superintendency of Tax Administration (SUNAT), for the
formality of the company and issuance of payment vouchers and to the
Municipality, to obtain an application for the license of operation.
II.- INTRODUCTION

The present research work has been developed jointly by the students of
the Professional Accounting School of the I semester, for the English
course. The topic to investigate is "how to create a small business" with all
the steps and procedures to follow in a company constitution.

Through the accomplishment of the work, it carried out to us like


promoting the integration of activities of our professional qualification and
the process of academic investigation, according to the curricular
requirement on the part of our professors.

On this occasion, we know that the English language is a fundamental tool


for our comprehensive training in Accounting and that should help us to be
part of the globalized world.

This gives us a different perspective to create a work that is not


necessarily in our native language (Spanish) and at the same time,
promotes a culture of new knowledge through English.

We have developed within the content of the information work various


accounting issues of how to create a company, where perhaps many
people do not know how to do it. For this reason, this work will be a tool to
help anyone who accepts to read this material and have knowledge of
English, through a simple and clear language about the importance of
accounting in the hands of English and its globalized context.

Finally, we appreciate the support provided by our teacher based on the


indicators for the integral content of this monograph, as well as the
teamwork of the members of the course to obtain this final product.

III.- DEVELOPMENT
To start a business, we must first evaluate, and make decisions in
various aspects of planning.

1.- Business Idea


- Be clear about the type of business that will be undertaken and the
positioning that the company wants to achieve.

- Define the reason for its creation, what justifies its incorporation into the
market.

2.- Market Analysis

- Carry out the internal and external analysis of the business (SWOT
ANALYSIS)
- Determine potential customers and anticipate future sales.
- Define the products or services that will be offered.
- Define innovations in products or services, presentation, quality and
prices.

3.- Production Plan


- Determine if it is going to produce and sell, and what will be the
distribution channels of the products.
- Determine how much will be produced and / or bought, how much will
be sold, the type of equipment and how much is required to invest.
- Carry out the respective budgets (calculate income and expenses)

DEFINITION OF THE CREATION OF A SMALL BUSINESS IN PERU

You must consider whether you will constitute the company as a natural
person or as a legal entity. With natural legal status, only
UNIPERSONAL COMPANIES can be constituted; On the other hand,
with legal personality, there are different types: The INDIVIDUAL
LIMITED LIABILITY COMPANY (EIRL), forming some type of company:
LIMITED LIABILITY COMPANY (SRL) or ANONYMOUS COMPANIES
that can be of two types: CLOSED ANONYMOUS COMPANY (SAC) or
OPEN ANONYMOUS COMPANY (SAA), this last one does not meet the
requirements to establish a micro or small business.

If you decide to establish it as a natural person you will be compromising


your personal assets in the business, while, as a legal person, the
company responds for its debts and obligations.

STEPS AND PROCEDURES FOR THE CONSTITUTION OF COMPANY

✔ Steps for the constitution of a sole proprietorship


It is constituted by personally managing the following documentation:
1) Process the single taxpayer registration (RUC) in the Sunat. (Includes
tax regime selection and request to issue tickets, tickets and / or
invoices).
2) Enroll workers in Es salud.
3) Request permission, authorization or special registration before
the respective Ministry in case your economic activity requires it.
4) Process the Municipal License of Operation with the Municipality
where your business will be located.
5) Legalize accounting books with a Public Notary. (Depending on
the type of tax regime).

✔ Steps for the Constitution of a company with legal status

1. Search and Reserve the name of the Company


In this step we need a name for the company we want to create, it can
not be names of companies already created, we must go to the Public
Records Office (SUNARP), and verify that there is no name or
business name on the market equal to the one we want for our
company. We will have to fill out the respective forms and then we
have to make the RESERVATION OF COMPANY NAME.

2. Prepare the Constitution Minute

In this step, the Minute should be drawn up, which is a document in


which the members of the company show their willingness to set up
the company, and where all the respective agreements are indicated.
It is advisable to do so with the help of a trusted lawyer.

The Minute consists of the social pact and the statutes, in addition to
the inserts that can be attached to it.

The fundamental elements of a minute are:


- The generals of law of each partner (their personal data, names,
ages, identification documents, etc.).
- The turn of society.
- The type of company or society (E.I.R.L, S.R.L, S.A, etc.).
- The duration of the company (fixed or indeterminate term).
- The date on which the commercial activities will begin.
- The place where the company will operate (commercial address).
- The name of the company.
- The place where the agencies or branches will work (if there were
any).
- The person who is going to manage or represent society.
- The contributions of each partner. Which can be: money goods,
money and its substitutes such as checks, promissory notes, bills of
exchange, others.
- Non-monetary goods: real estate or furniture such as desks, tables,
chairs, others.
- other agreements established by the partners.

3. Raise the Minute to Public Deed

In this step once the minutes have been drafted, we must take them to
a Notary Public for a Public Notary to review it and upload it to a public
deed.

The documents that we must take along with the minutes are:
- The proof of deposit of the capital contributed in a bank account in the
name of the company.
- A detailed and valued inventory of non-monetary assets.
- The Commercial Search certificate issued by the Public Records
Office of the absence of a similar business name.

Once the Minute have been raised, they can not be changed. In the
end, the Public Deed, Testimony of Society or Social Constitution is
generated, which is the document that attests that the Minute is legal,
which must be signed and stamped by the Notary.

4. Registration in Public Registries


In this step once we have obtained the Public Deed, we must take it to
the Office of Public Records where the necessary procedures will be
performed to register the company in the Public Registries.
The Legal Person exists as of its registration in the Public Registries.
5. RUC Registration
In this step, the single taxpayer registration (RUC) must be processed
in the SUNAT. (Includes tax regime selection and request to issue
tickets, tickets and / or invoices.

The RUC number is unique and consists of eleven digits. Its use is
mandatory in any declaration or procedure that is made before the
SUNAT

The requirements for this last step are:


- Public Deed, Testimony of Society or Inscribed Social Constitution.
- Service receipt (electricity or water), no more than two months old.
- Form N ° 2119: Application for registration or communication of
affecting taxes.
- Form 2054: Legal Representatives, Directors, Members of the Board
of Directors.
- ID or valid passport.

6. Register the Workers in ESSALUD

In this step we register our Workers before the Social Health Insurance
(Es Salud) through a form that we can obtain in the same SUNAT, with
ACCESS of the CLAVE SOL.

This registry allows workers to access the benefits granted by said


entity.

7. Process the Municipal License of Operation with the Municipality


where your business will be located

In this step we must go to the municipality of the district where our


company is going to be physically located, and we process the
obtaining of the operating license.

The documents that we must present are:


- A photocopy of the RUC.
- The Zoning certificate (industrial zone, commercial zone, residential
area)
- A sketch of the location of the company.
- A copy of the rental agreement or title to the premises.
- A copy of the Public Deed.
- The receipt of payment for license fee.
- The application form.

8. Proof of Payment and Accounting Books

In this step we buy the necessary Accounting Books depending on the


tax regime we have received and take it to a Notary to be legalized by
a Notary Public. You can also receive from the beginning of activities
in carrying electronic books, as well as proof of payment can be
physical or electronic.

- Locate a printing company authorized by the Sunat, submit the print
authorization completed and signed there (form 816)
- The printing will validate online with the SUNAT your information:
active and existing Ruc, last 6 statements presented and contact
details updated in the ruc file.
- The printing will proceed to the issuance of proof of payment required,
you can now issue your payment vouchers.

How do I obtain my electronic payment vouchers from the SUNAT


Portal:

- Enter SUNAT online operations using your username and password.


- Select the electronic voucher option that you want to issue.
- Complete the required information and issue your voucher.
IV. - CONCLUSIONS

- At the time of setting up a company, a series of requirements


established by the state must be met in order to attest to a good legal
functioning. To not affect the development and growth of the company
in training.
- The process of creating a company is complex because it depends on
several factors to be able to form it. Once established, it combines the
techniques and the resources to elaborate products or provide
services with the objective of placing them in the market to obtain
profits.
- The company is based on the economic resources it has to be able to
be implemented, as well as having to be in line with the technological
advances of the moment, in order to start a better business
development and take better management of the company.
