Website development and digital marketing contract

This agreement for website development is between Mr. Ajesh Patel (Developer), with its place of
business at 6th Floor, Tech Park, Magarpatta, Pune, Maharashtra, 411028 and Ms. Shikha Rani (Client),
with its place of business at Eclipse Production, New street, Bandra, Mumbai, Maharashtra, 400051
This contract is aimed to state the terms and conditions that will furnish its services to the client

This contract states that the client i.e. Ms. Shikha Rani, has agreed to allow the Developer to develop a
website for the eclipse production, film production company for display of companies overview and
promotion. In addition, the developer has agreed to develop the website as per the terms of the
agreement and client’s requirement.

The owner i.e. the client and the developer agree as follows:

1. Developer’s Responsibility: Developer accepts to design a website with following specifications:

a. It should contain the overview of the organization that would include brief
company’s background and history as well as of the scope and target market
b. A list of decision makers highlighted. For example: CEO, partners, managers
c. A brief description of the goal of the company
d. Industry taxonomy
e. Contact including map must be included
f. Summary of the entire website
g. Market share and success measures and recent headlines of the company must
be highlighted
h. Must be supported in all the popular browsers like, Chrome, Firefox, Safari, Edge

Development Schedule should provide a timeline and procedure for the following:

a. Delivery of an initial prototype of the website by the developer to the client

b. Time period for completion and final delivery of the development of the website
c. Time period for website review by client
d. Time period for acceptance and uploading of the final website
2. Website Design: the client in any form of soft format must supply all the materials, graphics and
content required for the website to be developed by the developer. Also, the client agrees to
provide all the required contents within the given time frame. The client throughout the
development can access the website and until the client approves the website, the end users
cannot access it. The domain name of the website will also be assigned and registered by the
client.
3. Fees: The client agrees to pay Developer the amounts as per the payment guidelines agreed upon
by both the parties. In case of dispute, the amount in dispute will not be due until the dispute is
resolved.
4. Developer should bear all the expenses incurred for developing the website on its own and client
shall stand no obligation to provide any facilities for office space or equipment
5. Confidential information: Developer agrees that the client may have some confidential
information, which may be shared with the developer for the development of website purpose.
Therefore, the developer agrees to protect the confidentiality of the information and prevent it
 from any unauthorized access or disclosure. He must also inform the client as soon as he discovers
any unauthorized use
6. Trademark: client allows the developer to use the trademark of the company solely for use of
website and exactly in the form asked by the client
7. Termination: This agreement will continue to be in effect until the development of website is
operational except there is any default in the occurrence of the material by the client. Client may
immediately terminate the agreement on written notice to the developer.
8. Jurisdiction: This contract shall be governed with the laws of the state of Maharashtra
