Mr. Cycle,

After doing some research I have determined that Build a Better Tomorrow
Fund (“BBTF”) should be eligible to submit a shareholder’s proposal. I drafted a
proposal and am welcome to any feedback that you may have. I will note that there
are a few sections which cannot be changed as they are required for every
shareholder proposal. The language that must be kept is:

“BBTF is qualified to make this proposal as it has invested $500,000 in SSI


continuously for two and a half years, which places it well above the required
continuous investment threshold to submit a proposal. BBTF intends to
continue holding their securities in SSI through the date of the meeting of
shareholders.”

To ensure there are no issues with this proposal you must submit the
proposal by the deadline. The deadline may be in last year’s proxy statement. If it is
not, then BBTF’s proposal must received by Solar Systems, Inc.’s (“SSI”) principal
executive offices 120 days before their proxy statement is released to shareholders
from last year’s annual meeting. The sooner we can get this sent in the better. If
SSI believes that the proposal does not meet the required standards, they must give
you notice within 14 days of receiving the proposal. We will be able to make any
corrections/changes and resubmit it.
Finally, either you or a qualified representative must present the
shareholder’s proposal at SSI’S annual meeting. Let me know of any concerns or
questions you may have.

Build a Better Tomorrow Fund (“BBTF”) is submitting this shareholder


proposal to encourage Solar Systems, Inc. (“SSI”) and its board of directors to
engage in better and more environmentally friendly practices. BBTF is qualified to
make this proposal as it has invested $500,000 in SSI continuously for two and a
half years, which places it well above the required continuous investment threshold
to submit a proposal. BBTF intends to continue holding their securities in SSI
through the date of the meeting of shareholders.
SSI currently employs faulty and inaccurate environmental practices in their
“solar” toys, which account for fifteen percent of SSI’s sales. The toys use batteries
for power, and only use the solar panels to power the name of the toy car. However,
the toys are marketed as “Solar Toys for Girls and Boys,” which inaccurately
portrays how environmentally friendly the cars are. SSI needs to either create a
completely solar powered toy or not promote this toy as an environmentally friendly
toy at all. BBTF urges SSI to hold itself accountable on the environmental impact
these toys create, and how this toy goes against the values of the company.
Additionally, SSI produces these toys in an overseas factory that has very
bad working conditions and is creating pollution in the factory’s province. This
negative environmental impact goes against the marketing that SSI has done when
the toys are described as “environmental toys.” If the toys are produced in a way
that is causing pollution, these toys are not environmental toys. Additionally, from
a humanitarian standpoint, these production practices are inhumane and should
not meet SSI’s standards. Production of the toys needs to be moved to an
environmentally friendly and human production facility.
BBTF is calling SSI and its board of directions to make a change. The
inaccurate marketing, environmentally damaging policies, and poor production
environment for workers do not meet the standards which the shareholders expect
the company to meet. SSI needs to hold itself accountable for their faulty business
practices and rise up to meet the standards which they promote. If these changes
are not met, it will impossible for BBTF to morally support and fund SSI because
these faulty practices go against everything BBTF moralizes. A change is needed,
and BBTF encourages SSI to make a change soon.
