THE GUESS STORY


GUESS was established in 1981 by the Marciano brothers, who left the
south of France in pursuit of the American dream.
About the brothers,
Paul Marciano the CEO of GUESS? company r. Paul Marciano is a
Executive Chairman of the Board, Chief Creative Officer of Guess ?,

Inc. He joined the Company two months after its inception in 1981.
Since that time, he has served in a number of senior executive
positions with the Company, including his current role as Executive
Chairman of the Board and Chief Creative Officer, positions he has
held since August 2015. From 2007 until August 2015, Mr. Marciano
served as Chief Executive Officer and Vice Chairman of th e Board,
and between 1999 and 2007, he served as Co -Chairman of the Board
and Co-Chief Executive Officer. Mr. Marciano has also served as a
director of the Company since 1990. His present term as a Class II
director will expire at the 2019 annual meeting o f shareholders. Like
his brother, Maurice Marciano, Mr. Marciano brings to the Board a
vast amount of knowledge and experience accumulated over the life
of the Guess brand. Mr. Marciano’s leadership as Executive Chairman
and Chief Creative Officer provides a direct and valuable link
between management and the Board and his creative and strategic
vision for the brand help to guide the Board’s overall approach.

company, Mr. Maurice Marciano is a Chairm an Emeritus of Guess ?,
Inc. Mr. Marciano was one of the founders of the Company in 1981.
Since that time, he has served in a number of senior executive
positions with the Company, including his role as executive Chairman
of the Board from 2007 until Janua ry 28, 2012. Between 1999 and
2007, he served as Co-Chairman of the Board and Co-Chief Executive
Officer, together with his brother, Paul Marciano. Mr. Marciano retired
as an employee and executive of the Company in January 2012.
Following his retirement a nd until January 28, 2015, he provided
consulting services to the Company under the terms of a consulting
agreement originally entered into in connection with his retirement.
Mr. Marciano has served as a director of the Company since 1981
(except for the period from January 1993 to May 1993) and currently
serves as Chairman Emeritus of the Board. His present term as a Class
I director will expire at the 2018 annual meeting of shareholders. As a
co-founder and leader within the Company for over 30 years, Mr.
Marciano brings a wealth of both Company -specific and industry-
wide knowledge and experience to the Board. His strategic vision
and global approach have been instrumental in helping the Board to
effectively oversee the overall business and direction of th e
Company.
Inspired by a European influence, the Marcianos redefined denim.
One of their initial designs was a stonewashed, slim -fitting jean, the 3-
zip Marilyn. Bloomingdale's was the first department store to welcome
the brand by ordering two dozen pair s of jeans. They disappeared

from the shelves in just hours. This was the beginning of a long success
story.
GUESS quickly became a symbol of a young, sexy and adventurous
lifestyle. Throughout the decades GUESS invited people to dream with
its iconic and timeless advertising campaigns that turned unknown
faces into famous models. In 2004, the company expanded with a
new retail concept for its contemporary collection called Marciano.
The Marciano brand offers a fashion -forward collection designed for
trend-setting women and men. In 2007, the G by GUESS retail
concept was born, gaining its Southern California aesthetic from the
Marciano brothers' personal passion for the young, California lifestyle
they so enjoyed when they first moved to America.
Today GUESS is a truly global lifestyle brand with a full range of
denim, apparel and accessories offered in over 80 countries around
the world.

OPERATIONS
Guess divides its business into five reportable segments: Europe, Americas Retail,
Asia, Americas Wholesale, and Licensing.

The Europe segment comprises its wholesale and retail operations in Europe and
the Middle East. The Americas Retail segment consists of retail and e-commerce
operations in North America and its retail operations in Central and South
America.

The Asia segment includes the company's wholesale and retail operations in
Asia. The Americas Wholesale segment focuses on both wholesale operations in
North America and export sales to Central and South America. And lastly, the
Licensing segment comprises Guess' worldwide licensing operations, which have
15 domestic and international licenses.

Guess directly operates roughly 945 retail stores in the Americas, Europe, and
Asia. The company's licensees and distributors operate through roughly 735
additional retail stores in 100 countries worldwide.

Guess' retail operations in the Americas account for more than 40% of its
revenue. Europe accounts for around 35% of total net sales.
