1.

That the Second Party want to take loan to purchase the above said property, in any case if
First Party will not provide sufficient/satisfactory papers for loan approval in that case the said
agreement stands cancel and First Party return the advance money to Second Party.

2. That First Party will not responsible for the Transfer Permission in any case the Transfer
Permission stands cancel due to any reason than First Party return the advance money only to
Second Party and Second Party will not claim the First Party in Court of India.

3. That all the Keys, documents, receipts, papers etc. to the above said property shall be handed
over to the Second Party by First Party at the time of registration of sale deed.

4. That the First Party has & will not entered into a similar agreement with any other party prior
to this agreement and pending completion of the sale, the First Party neither shall enter into
any agreement of sale in respect of the said property (Upper Ground Floor with Entire
Basement).

5. This agreement shall be construed in accordance with the Indian law and the Parties to submit
themselves to the exclusive jurisdiction of District Courts at Gurugram with respect to any or
all matters arising out of this Agreement.

6. That due to specific unforeseen circumstances like riots, flood, act of god or other natural
disaster, war etc., not attributable to the fault of the party in performing their obligations
under this agreement, then performance of such act shall be excused for the reasonable
period of the delay and the period of the performance of any such act shall be extended for a
period equivalent to the period of such delay.

7. That the First Party and the Second Party both confirm & declare that this Agreement is
irrevocable and shall be final and binding on both the parties, their heirs, successors,
nominees, executors, administrators and assigns.

8. Any agreement or receipt signed prior to this agreement will automatically stand cancelled.
