Dear (Name of Reviewer),

We are pleased to inform you that we are engaging your services effective (Effectivity
Date) until (End of Review), under the following terms and conditions:

1. Appointment. Your official designation in the Center will be as Reviewer.

2. Professional Fee. Your professional fee is Php1,000/hour for 45 hours. The fee is
allocated evenly throughout the review period (i.e. 6 months) and is payable twice
a month. Any substitution or absence that would result to an increase or decrease
to or from the 45-hour period will result to adjustments at the end of the review
period.

3. Work Hours. You will report to work on the scheduled days assigned to you.

4. Non-Competition Clause. You are not to assist, aid, or encourage any competing
business, company or firm by the furnishing of information, advice, or suggestions
of any kind, save and except after obtaining the prior written consent of the Center.
You are not to seek employment from or offer your services to other Review Centers
during and after one year from the date this contract ends.

5. Confidentiality. You agree that all matters becoming known to you through your
work will be held in strictest confidence even when you are no longer in the employ
of the Center. This means that you shall not pass on, convey or disclose to any
person, organization, or entity, any information disclosed or made available to you
during your engagement or make similar disclosures on recommendations
submitted, except with prior written consent or instructions of the Center.

You agree that all records and documents of the Center and all information
pertaining to its affairs and that of its students are absolutely confidential and
unauthorized disclosure or reproduction of the same will not be made by you at
any time during or after your engagement. You agree that any breach of
confidentiality will constitute sufficient ground for immediate termination of your
engagement for cause and/or civil and criminal liability.

You agree to keep your professional fee confidential and, as such, will not discuss
it with anyone within and outside the Center.

6. Non-Indemnification. You agree to keep the Center, both during and after your
engagement with the Center, fully and effectively indemnified against any and all
lawsuits, losses, damages, injuries, deaths, expenses, actions, proceedings,
demands, costs and claims, including but not limited to legal fees and expenses,
that are brought against the Center or any third party, where such lawsuits, losses,
damages, injury or death is/are the result of your wrongful actions, negligence or
employment, or improper, unlawful, or irresponsible actions or the use or violation
of any copyrighted work or literary property or patented invention, process,
software, formula, design, plan, or system, and other similar properties.

7. Non-Binding Contracts. You shall not enter into any contractual agreements on
behalf of the Center with any third party; negotiate or sign side letters, memoranda
of understanding or similar documents that will legally bind the Center, or issue
instructions or orders in the name of the Center, or amend, revoke, modify, or
change any contract or agreement signed by the Center, or modify any policy of
the Center regarding the management of our projects or policies affecting
personnel administration, financial management, or similar aspects except with
prior written consent or instructions of the Center. Any actions by you which are in
violation of the foregoing stipulations will be considered by us as null and void and
non-binding; and as, appropriate, we will exercise the discretion to take legal action
against you.

8. Duties and Responsibilities. You are required to comply with all existing rules,
regulations and policies of the Center as well as those which may hereafter be
issued, including but not limited to those governing order and discipline, honesty,
safety and security, work assignments and standard operating procedures, use of
the Center’s properties and access to matters of confidentiality, and such other
rules deemed necessary in the conduct of the Center’s affairs.

9. Severance of Employment. You agree that in case you decide to leave the Center,
you will give prior notice of not less than thirty (30) days or one (1) month and that
you will pay in lump sum before resignation, your accountabilities with the Center
which may include but are not limited to outstanding loans, unliquidated advances,
and penalties related to any supplementary contract that may be entered into in
the course of your employment.

The Center reserves the right to terminate your engagement for reasons in
accordance with the violation of existing rules, regulations and policies of the
Center and those that may be promulgated thereafter and the provisions of the
Labor Code, upon compliance with pertinent legal requirements.

All records, documents, information and company property in your possession will
be immediately turned over to your immediate supervisor in the event of
separation for whatever reason.

Please indicate your acceptance of the terms and conditions of this contract by signing
in the space below.

We welcome you to the Center. We trust that with your decision to work with the Center,
you will make your contribution to our mutual success.
