MEMORANDUM OF ASSOCIATION
OF
“SOCIETY OF AIRCRAFT ENGINEERS OF PAKISTAN”

PREAMBLE

The Society of Aircraft Engineers of Pakistan is a non-profit-making organization and formed for the
improvement, development and promotion of safe, efficient and organized system of air transportation in
general aviation engineering and maintenance in particular, through the protection of the interests of aircraft
engineers and/or equivalents.

Before joining this Society each member agrees to the following:-

a) The dignity and honor of all the members is the utmost consideration.
b) The common interests will be achieved through unity, mutual trust, cooperation and devotion.
c) The commands, instruction and guidelines issued, from time to time, by the elected body will
be respected and followed.
d) Nothing will prevent us to speak, loud and clear and without any fear, which seems harmful to
the best interests of member engineers/ equivalents.
e) Each member will rise above the politics, race, color or creed when it comes to the pursuance
of best interests of the Society.
f) The provision of the Constitution as now adopted and as hereafter amended will be followed
dutifully and with loyalty.
g) Any member may quit or withdraw from its obligation under this agreement, and hence from
the membership of the Society, at any time by giving sixty days written notice of such
intention to the executive body of the Society. Executive body has the right to except or reject
the request.
h) The rules hereunder given in Articles of the Constitution will remain in effect until amended
or the Society is dissolved in accordance with its constitution.

1. NAME OF SOCIETY

The name of the Society is "Society of Aircraft Engineers of Pakistan" hereinafter called "Society".

2. ADDRESS OF SOCIETY
The registered address of the Society shall:

3. AIMS & OBJECTIVES

The objectives for which the Society is established are as follows: -

a) The general advancement of aeronautical engineering and more particularly to promote that
species of knowledge, which distinguishes the profession of Licensed/ Approved Aircraft
Engineer and or equivalent including Engineer Instructors.

b) To enable Licensed/Approved Aircraft Engineers and or equivalents who are professionally


engaged in commercial aviation industry of Pakistan, or retired there from, for the time being or
from time to time, to federate or co-operate by becoming Members of the Society.

c) To facilitate the interchange by Members of the Society of there views with regard to matters of
common interest and to promote the consideration and discussion of all questions affecting the
same, and to undertake the direction or supervision of such other matters whether of a legal nature
or otherwise, as may be deemed of interest or importance to the Society or its Members or to the
profession generally.

d) To enable the experience of members concerning aircraft, engines, equipment, processes, etc. and
the relevant data, to be made available to manufacturers and operators of aircraft.

e) To improve and elevate the technical and general knowledge of Members engaged in or about to
engage in the profession or in any employment manual or otherwise in connection therewith, to
provide for the delivery of lecture and the holding of classes, to test by examination or otherwise
the competence of Members or other persons employed in or about to be engaged in the
profession, to award certificates, distinction or prizes, to institute and establish scholarship, grants,
rewards and other benefactions, to arrange with manufacturers and others for courses of
instructions for Members, and to run technical information service.

f) To encourage the adoption of standardized and other forms of contracts and other documents used
in connection with the profession and to encourage the settlement of disputes by conciliation or
arbitration and to act as, or nominate arbitrators and umpires on such terms and in such cases as
may seem expedient, and to assist in the formation development and maintenance of boards of
conciliation and arbitration.

g) To make from time to time investigation into and furnish assistance and advice as to any matter
affecting the profession or any particular branch thereof, and to carry out or promote any company
or association for the purpose of carrying out any research and other scientific work in connection
with the profession, and for that purpose to establish, form, equip, and maintain laboratories,
schools, workshop or factories, and to conduct and carry on experiments and to provide funds for
such work and for payment to any person, or persons engaged in research work or tuition whether
in such laboratories or elsewhere, and to carry out any of the above mentioned research or other
scientific work and to do all or any of the above mentioned things, whether affecting the whole of
the profession or any particular sections thereof or in connection with the business of any
particular Member or group of Members of the Society, and in the case of work not affecting the
whole of the profession or the said Members to make such arrangements as to special payment by
such particular section or, Members or groups of Members engaged in any such section aforesaid
as may be expedient.

h) To establish, form and maintain a library and collection of literature, statistics and information
relating to the profession or to matters of interest to Members engaged in profession, and to
compile collect, publish, lend, sell and endeavor to secure or contribute to the compilation,
collection and publication by parliament, Government departments and other bodies or persons, of
any literature, statistics and information relating to the profession.

i) To maintain an employment register and endeavor by co-operation with employers to make this a
recognized medium for obtaining the services of qualified engineers; hence acting for the
protection of the interests of its members in seeking suitable employment/ placements.

j) To advise and assist the members in obtaining insurance cover on the terms best possible.

k) To undertake and execute any trusts which may be conducive to any of the objectives of the
Society.

l) To regulate and promote cordial relations between the Member-employees and the employers.

m) To work for the uplift of the Members of the Society academically, professionally, culturally and
economically.

n) To negotiate on behalf of the members with their employers for seeking the best possible terms
and conditions of employment and to settle the differences between the Members and their
employers by the best possible means.

o) To help in the establishment of a fair seniority list and to establish uniformity of grades in the
services of the Members in their relative concerns.

p) To consider and discuss all questions affecting air transport and its trade or business in Pakistan or
elsewhere and also to protect the interests of Members engaged therein by providing necessary
guidelines.

q) To consider, originate, promote and support improvement in any laws, bye-laws or regulations
affecting the interests of the Society and to promote, support or oppose by all constitutional means
the passage through Legislature of any bill or bills and the making of any bye-laws or regulations
by any competent authority which may seem to affect the interests and objectives of the Society or
its Members.

r) To consider, originate and promote and support improvements in any bye-laws or regulations
whenever necessary and to take up matters arising thereof with the Pakistan Civil Aviation
Authority to amend and/or to improve any legislation affecting the Engineers in the country.

s) To constitute a body of experienced members who may be appointed by the Executive Committee
of the Society to act as members of, or to hold seats on, or give evidence before a Commission,
Courts of Enquiry, Committees or Boards of any description whatsoever, or governing,
examining, or other bodies, official or other wise, and who will be available for advice or
consultation and/or representation on all questions affecting the interests of the Society as a whole,
and/or the business of its Members and Associates in relation to Commercial Aviation or judicial,
commercial, scientific, educational, technical, professional matters relating thereto.

t) To promote honorable practice to depress malpractice and to settle disputed points of practice and
to decide all questions of usage of courtesy between or among the Members of the Society or
those interested in air transport.

u) To promote strict adherence to all laws, rules and regulations framed for the promotion of safety
of life and equipment.

v) To federate and/or co-operate with other Societies or federation of Societies having similar
objectives as those of this Society, to get this Society affiliated with other bodies if it may be
essential for and beneficial to this Society.

w) To do all other things as may be incidental to or conducive to the attainment of the above
objectives.

x) Society shall be run on non-commercial and non-political basis.

y) Promoters, officer bearers and Members shall not be the paid employees of the Society.
z) To secure, receive, accept and manage funds, donations, grants endowments and any other
moveable property or properties from lawful sources within the country and utilize them for
furthering and promoting the aims and objectives of the Society.

aa) The Society shall confine its activities only to the aims and objectives of the Society and the
income and property of the Society from whatever source derived shall be applied solely towards
the promoting of the objectives of the Society and no portion thereof shall be paid by way of
dividend, profit, bonus to any member, office bearer of the Society or otherwise violation of this
condition shall be personal responsibility of the office bearers or member concerned.

ARTICLE 1. MANAGEMENT

a) The management of the Society shall be vested in the Executive Committee which shall be constituted
in the manner provided by the Constitution and Rules for the time being, and all powers of the Society
shall be vested in and exercisable by the Executive Committee except so far as the same are by these
Constitution and Rules required to be exercised by the Society in the Annual General Meeting of the
General Assembly.

ARTICLE 2. OFFICE , SEAL AND MOTTO

a) The registered offices of the Society shall be at such places as the Executive Committee of the Society
shall, from time to time, determine. Notice of any changes of the registered Offices shall be sent to the
Registrar of the Joint Stock Companies, Sind.

ARTICLE 3. MEMBERSHIP

a) Voting membership shall be confined to those persons recorded upon the Society's Registrar of
Members.

b) The categories of Membership (inclusive of those which may be opened by the Society in future) the
qualifications for, mode of elections of, and respective rights of Members shall be regulated by the
Rules.

i. Members:- All Pakistanis who hold a Pakistani Aircraft Maintenance Engineer's License,
Class-I Approval/ equivalent issued by CAA or its approved organization. Engineer
Instructors holding Proficiency Certificate issued by CAA or its approved organization. Those
Pakistanis, who hold a current A.M.E or equivalent License of some other ICAO contracting
state and are preparing to get the Pakistani License, are eligible to become Members of the
Society, with the exception of those, who, having the above qualifications, are employed
and/or are the Supreme Head of an Aviation Concern.

ii. Associates Members:- Non-Pakistanis who are serving in Pakistan and hold Pakistan A.M. E.
License can become Associates Members, with the right to cast their votes but will not have
the privilege to hold an office in the management of the Society.

iii. Honorary Members:- Such membership who may not be Aircraft Engineers/ equivalent and
be conferred on Dignitaries or persons whom the Executive Committee deems fit, shall be
honorary members of the Society and/or its Executive Committee. They shall be exempted
from paying the usual admission and monthly subscription fee. They shall not have the voting
right and shall not be entitled to any benefits provided by the Society.

iv. Lifetime Members:-

a) Any member retired from services or otherwise not involved in a economically gainful
aviation career may become a Lifetime Member by paying such subscription as the executive
committee may determine from time to time. They shall not have the voting rights.
b) Any lifetime member involved in a gainful aviation career may seek right to cast their vote
subject to payment of monthly subscription as determined by Executive Committee of the
Society, but will not have the privilege to hold an office in the management of the Society.
Executive member/s from their combined membership will represent such members in
Executive committee. A separate register shall be maintained for such members. Such
members shall not contribute to or get benefit from Deceased Fund and Compensation.

c) DECLARATION OF MEMBERS NOT IN GOOD STATURE: The Executive Committee of the


Society shall inform the membership whenever an Aircraft Engineer/ equivalent is declared "Member
not in good stature” subject to the procedures laid down in Article-9(n). Such declaration will be
according to the following criteria:-

i. Any outstanding dues against the Member.


ii. If any Member willfully works against the interest of the Society.
iii. Found involved in any misconduct, breach of discipline and spreading disinformation related
to the Society as a whole, its executive committee or its membership.

d) TERMINATION OF MEMBERSHIP: Membership of the Society may be terminated by:

i. Expulsion from the employment


ii. Voluntary withdrawal.
iii. Criminal declared by the court.
iv. Death.

ARTICLE 4. ADMISSION OF MEMBERS:-

a) Every application for membership must be submitted upon the Society's Official Application form
(See Appendix A). Such application must be proposed by a voting Member and seconded by another
member and shall be accompanied by admission fee and monthly subscription. The signature on the
form shall deem to be an undertaking by the applicant to be bound by the rules and regulations of the
Society.

b) All application for membership shall be submitted to the General Secretary of the Society and shall be
put for consideration in the next agenda of the meeting of the Executive Committee. The Executive
Committee shall have complete discretion as to acceptance or non-acceptance of all the applications
for membership or for renewal of the lifetime members (if he/she involves in gainful aviation career)
with or without giving reasons. In case of non-acceptance of any application the amounts paid shall be
refunded by the Society.

ARTICLE 5. RIGHTS AND OBLIGATIONS OF MEMBERS.

Except as hereinafter laid down, the rights and obligations of Member or Members shall be governed and
regulated by the Rules (herewith, and which may be framed from time to time) and the Constitution of the
Society.

a) Voting rights shall be vested in Members, Associate Members and Life Time Members (registered in
voting list).

b) Every Member shall have one vote at General Meeting of the Society, in the election of the Executive
Committee, and/or during the voting over any type of referendum, election, amendments or additions
to the Rules, or on such other matters as from time to time the Executive Committee or the General
Assembly may deem necessary.

c) No person other then a Voting Member, who shall have paid every subscription and other sums, if
any, which shall be due and payable to the Society in respect of his membership, shall be entitled to
be present or to vote on any question at any meetings of the Society or on any ballot held and/or
directed by the Society.

d) The rights of a Member as such shall be personal and not transferable. They shall cease on his death.

e) Every Member shall be unflinchingly loyal and obedient to the Society and will always keep in mind
the interest of the Society.

f) Shall not join, federate, co-operate and/or take an active part in any organization set up in Pakistan or
elsewhere having similar aims and objectives as those of this Society without the permission of the
Society.

ARTICLE 6. INCOME AND SUBSCRIPTIONS

a) The income of the Society shall be applied solely towards the promotion of its objectives as set forth
in these Rules and no portion thereof shall be paid or transferred directly or indirectly by way of
profits to the Members of the Society.

b) The monthly subscription of members shall be of such amount as may from time to time be
determined by the Society in AGM, and until further determined shall be Rs. 500/-. All Members as
defined above shall pay an admission fee of Rs. 1500/- (One Thousand Five Hundred Rs. Only)
except where otherwise is specifically mentioned. This fee structure shall be applied to Associate
members also.

c) Subscription and admission fee shall be payable when applying for Membership and subsequent
subscriptions shall be due and payable on or before the 7th day of every month.

d) A Member whose subscription is overdue shall forfeit all rights and privileges of membership whilst
such subscription is unpaid. The Executive Committee shall have power to determine the Membership
of a Member whose subscription is in arrears, with due consideration to those Members who are at
out-station and in foreign countries.

e) Subscription for Life time members is Rs. 5000/ (Five thousand Rs. Only) one time. They are
exempted from the monthly subscription, if not involved in a gainful aviation career.

f) However, Lifetime members may opt to pay monthly subscription and until further determined shall
be Rs. 300/-. (Three Hundred only) per article 5. Subscriptions of lifetime members, involved in
gainful aviation career, shall be payable by cash/crossed cheque on quarterly basis and the executive
member(s) from the combined membership will ensure to deposit the subscription of membership to
SAEP account with in 15 days of collection.

ARTICLE 7. EXECUTIVE COMMITTEE AND ITS POWERS

a) The Executive Committee of the Society shall consist of following executives. All posts of the
Executive Committee are honorary and voluntary in nature subject to the prescribed rules.

1) President.
2) Vice President
3) General Secretary.
4) Technical Secretary.
5) Joint Secretary (General).
6) Joint Secretary (Technical).
7) Treasurer.
8) Ten Executive Members.

b) The election for the positions from 1 to 7 will require voting by all members of SAEP, however for
election of ten Executive Members; area wise voting will be carried out. The area wise quota is
given hereunder. The General Assembly may opt, from time to time, to review and change this
distribution as per existing organization structure of the PIA Engineering& Maintenance
Department.

c) In addition to the above, the Executive Members (normally one but maximum up to three) from the
combined membership working in other airlines operating in Pakistan, aviation concerns etc. shall
be appointed. This will help exchange of industry best practices and norms. The selection of these
executive members shall be made by of Executive Committee from the candidates nominated by
various organizations.

d) The Executive Committee may, in accordance with the objectives of the Society, at stations having
more than 10 Members and/or where other conditions warrant, may form such branches represented
by a Branch Secretary, who will be responsible for the correct functioning of the branch. Executive
Committee will nominate the Branch Secretary.

e) All voting Members except the Associate Members, Life Members and Honorary Members are
eligible for election to the Executive Committee.

f) The Executive Committee shall be elected by the ballot once in two years from amongst the voting
members of the society.

g) Meetings of the Executive Committee.

i) The quorum of the meeting of the Executive Committee shall be minimum nine members.

ii) A meeting adjourned for want of quorum twice shall not require a quorum.

iii) A meeting of the Executive Committee shall be held at such time and place as shall be fixed
by the General Secretary of the Society, but at least once in every month.

h) In case of emergency, the Committee Meeting shall be called by the President of the Society if a
requisition signed by four or more Executive Committee Members is received by him with a notice
of at least three days prior to the meeting will be desired to be held.

i) All the affairs or questions before the Executive Committee shall be decided by simple majority of
votes.

j) The General Secretary of the Society shall convene the Meetings of the Executive Committee by
communication in writing or by such other means as the Executive Committee shall decide and
except for emergency meetings not less then two days notice there of shall be given to the Members
of the Executive Committee.

k) Executive committee may form a committee to scrutinize all resolutions, proposals and appeals etc.,
raised by the membership. This sub-committee will present its report to the Executive Committee 5
days before the Annual General Meeting.

l) No member of the Executive Committee can accept any permanent administrative position in the
Management of the Corporation / Employer, during his/her term of office in the Executive
Committee.

m) Any member, who resigns from a post in the Executive Committee during his /her term of office,
shall not be allowed to accept any permanent administrative position in the Management, till the
next election.

n) OATH OF OFFICE:

i. The Executive Committee of the Society, on being elected, shall be administered the Oath of
Office by the Election Commissioner.

ii. The elected member of the Executive Committee who is not present in person on the day of
the General Oath taking shall be administered the oath of office by the new elected President
of the Society at the first available opportunity in any Executive Committee Meeting. All
members of the Executive committee shall also sign the oath of office, which shall be retained
in the Election file.

iii. The Election Commissioner or its Representative administering the oath of office shall call the
newly elected committee to stand out, and after handing over one oath form to each newly
elected member, shall read out the following oath in short sentences which are to be repeated
by the elected Executive Committee Members.

"I do solemnly swear that I will bear true faith and allegiance to the Society
of Aircraft Engineers of Pakistan. That as a member of the Executive
Committee and realizing the solemnity of the duty that has been entrusted
to me by those who elected me and my responsibility for performing that
duty in the best interest of the members and aviation engineering activities
in the country. That I will discharge my duties and perform my functions
honestly, to the best of my ability, faithfully in accordance with the
constitution and the law and always in the interest of the solidarity,
integrity, well-being and prosperity of the Society’s membership. That I
will not allow my personal interests to influence my official conduct or my
official decisions. That I will preserve, protect and defend the constitution.
And that, in all circumstances, I will do right to all manner of people,
according to law, without fear or favor, affection or ill will.”

o) Powers:

i) Subject to the rules herein laid down, the control and administration of the affairs, business and
the property of Society shall be vested in the Executive Committee.

ii) The decision of the Executive Committee, on all matters dealt with by them in accordance
with Rules, shall be final and binding on all Members of the Society.

iii) With the exception of the limitations provided in these Rules, the Executive Committee shall
have powers to do all such things, including expenditure of money, as they, in pursuance of
the objectives and general interest of the Society as may be deemed expedient and conducive.

iv) To levy affiliation fees, annual subscriptions and charges upon its members to provide the
funds with which to achieve and maintain the objectives of the Society, including the payment

of certain expenses, emergency or otherwise, relating thereto and to establish an ample reserve
fund for contingencies.

v) Shall have authority to construe and interpret the Constitution Rules and to determine on all
matters wherein the Constitution and Rules are silent, and its construction and determination
shall remain in operation until reversed by the decision taken in the Annual General Meeting
of the Society.

vi) May delegate any of its powers (other than the power of suspension or expulsion or fining) to
any Sub-Committee as the Executive Committee deem fit.

vii) To warn, censure, fine, or suspend a Member if by his conduct, behavior, writing or speech he
creates dissension, discord or disharmony among Members of the Society, subject to the
provision of sub Para (x) herein below.

viii) Suspension of membership for one month or a fine Rs. 3000/- max (payable within 30 days),
is final and non-appeal able. In case of suspension for longer periods and fines exceeding the
above amount, the matter can be reconsidered by a tribunal set-up in accordance with the
Constitution and Rules.
ix) Reserves the right to expel a Member if he deliberately disobeys any orders or instructions or
directives of the Society and/or if he commits anything subversive of the Law and Order of the
Country, or when his conduct and behavior is proved to be detrimental to the interests of the
Society.

x) To ask a Member to represent his case personally and/or otherwise in writing if any allegations
are made against him, and to provide all possible facilities for him to explain, justify and
defend his case before a verdict is passed by the Executive Committee. In case of his
abstention and/or non-submission of his statement or explanation, the Executive Committee
shall have a right to fine, suspend or expel the Member from the Membership of the Society or
to take whatever action it deems fit.

xi) Shall have powers at its sole discretion to remove any disqualification imposed on any
Member under the Constitution and Rules. The duration of disqualification shall be at the
discretion of the Executive Committee.

xii) To fill up a vacancy in the Executive Committee of a Member who ceases to be so due to any
circumstance for the remaining tenure of the Executive Committee.

xiii) To discharge a Member who loses the requisite qualifications for Membership, after giving
him an opportunity of being heard.

xiv) Member shall not lose the right of being defended in respect of his employment and
financial aid through the Fund of the Society if he has been affected in accordance with the
corporate rules; the nature or extent of this aid being a matter at the discretion of the Executive
Committee. In case of expulsion from employment, a Member loses all rights of Membership
and shall have no claim on the Society.

xv) A Member shall be entitled to apply to rejoin the Society if he has been expelled. The
Executive Committee is empowered to reject or accept such application subject to the
imposing of a fine not exceeding the monthly subscription for the current month and
admission fee or any other penalty as it may deem fit.

ARTICLE 8. POWERS AND DUTIES OF THE OFFICE BEARERS

a) PRESIDENT

i. He shall be the Head of the Society and shall preside over all the meetings of the Society.

ii. He shall enjoy the right of a Casting Vote when the votes for any question are equal in
number, otherwise his vote shall be counted as a single one.

iii. Shall set up an impartial tribunal for hearing an appeal by a Member who might be on charges
and/or punished under the Rules provided he is requested, in writing by the Members
concerned to do so.

iv. Shall be authorized to sign bank cheque jointly with the Treasurer.

v. All other documents except bank cheque shall be valid on the signature of the President alone.

vi. Shall be authorized to maintain order and discipline in the meetings of the Society and may, in
view of this, ask any Member to quit the House.

vii. Shall be authorized to table any resolution or put up any suggestion before the Executive
Committee or in the Annual General Meeting/ Special General Meeting.

viii. Shall be authorized to check the property of whatsoever nature and the documents of the
Society and will certify the correctness or incorrectness of the same on the relevant papers etc.

ix. Shall be authorized to call the normal or emergency meeting of the Executive Committee or
the General Assembly as per Constitution and Rules.

x. Shall be authorized to assign duties and allocate jobs to any of the Members, who will fulfill
the same to the best of his/her capabilities.

xi. Shall be authorized to approve vouchers or receipts for expenditure submitted by the General
Secretary.

xii. Shall be provided with an impress of Rs. 25,000- (Twenty Five Thousand Rs. Only) per
month, which he can utilize as essential petty expenditures and for which he can submit the
account to the Treasurer.
xiii Shall be authorized to setup impartial tribunal/ committee to resolve any type of issues.

b) VICE PRESIDENT
i. Shall be authorized to exercise all the powers vested in and carry out all the duties assigned to
the President in his absence.

ii. Shall do all other thing for which he may be assigned by the Executive Committee and or the
President.

iii. In case the office of the President falls vacant and is anticipated to remain as such for a period
of more than three months, the vacancy will be filled up by the Vice President, who will hold

the office for the rest of the current term. On the expiry of the term the permanent President
will be elected in the Annual General Meeting as laid down in the Rules.

c) GENERAL SECRETARY

i. Shall take charge of all correspondence connected with the affairs of the Society.

ii. Shall issue notice as may be required.

iii. Shall be authorized to sign bank cheque jointly with the President or the Treasurer.

iv. Shall be in charge of the property of whatever nature and the documents of the Society and
will certify the correctness or incorrectness of the same on the relevant papers.

v. To keep minute books of the proceedings of the Executive Committee and the Annual General
Meetings/Special General Meeting jointly with the assistance of Joint Secretary (General).

vi. To assure the preparation of annual report and balance sheets through the Treasurer.

vii. Shall be provided with an impress of Rs. 10,000- (Ten Thousand Rs. Only) per month, which
he can utilize as essential petty expenditures and for which he can submit the account to the
Treasurer after the sanction of the President.

viii. For higher expenditures he shall furnish details and put up requisition before the Executive
Committee.

ix. Shall be responsible for the efficient functioning of the Branch in accordance with the
Constitution and Rules and instructions of the Executive Committee.

x. Shall call meetings and maintain Minutes Book.

xi. Shall look after all affairs affecting the working of the Society.

xii. Shall do all other thing for which he may be assigned by the Executive Committee and or the
President.

xiii. Shall do all such things as are reasonable and incidental to his duties and responsibilities.

d) TECHNICAL SECRETARY

i. Shall take charge of all correspondences connected with Technical and professional matters.

ii. Shall be authorized, in case of emergency, to sign bank cheque jointly with Treasurer.

iii. Shall be provided with an impress of Rs.5000/-(Rupees Five Thousand Only) per month which
he can utilize as essential petty expenditures and for which he can submit the account to the
Treasurer after the sanction of the President.

iv. Shall do all other thing for which he may be assigned by the Executive Committee and or the
President.
v. Shall do all such things as are reasonable and incidental to his duties and responsibilities.

e) JOINT SECRETARY (GENERAL).

i. Shall work as Assistant to the General Secretary.

ii. Shall officiate as General Secretary in his absence.

iii. Shall do all other thing for which he may be assigned by the Executive Committee and or the
President.

iv. Shall do all such things as are reasonable and incidental to his duties and responsibilities.

f) JOINT SECRETARY (TECHNICAL).

ii. Shall work as assistant to the Technical Secretary.

iii. Shall officiate as Technical Secretary in his absence.

iv. Shall do all other thing for which he may be assigned by the Executive Committee and or the
President.

v) Shall do all such things as are reasonable and incidental to his duties and responsibilities.

g) TREASURER

i. Shall receive subscription, admission fees contributions and other money for Society and keep
record for the same.

ii. To keep a proper account of all moneys received by him and to pay in such money to the bank
and to withdraw from as and when directed by the Constitution and Rules and the Executive
Committee.
iii. Shall be authorized to affect payments to parties concerned as and when required.
iv. To prepare statement of accounts and the Balance Sheet of the Society.

v. Shall do all such things as are reasonable and incidental to his duties and responsibilities.

vi) Shall do all other thing for which he may be assigned by the Executive Committee and or the
President.

h) BRANCH SECRETARY.

i. Shall be responsible for the efficient functioning of the Branch in accordance with the
Constitution and Rules and instructions of the Executive Committee.

ii. Shall call meetings and record minutes of his branch.

iii. Shall co-ordinate with the General Secretary on all matters affecting the working of the Society.

iv. Shall do all other thing for which he may be assigned by the Executive Committee and or the
President

v. Shall do all such things as are reasonable and incidental to his duties and responsibilities.

ARTICLE .9 AUDITORS.

The incumbent executive Committee shall complete the requirement of financial audit for the financial year
(01st January to 31st December) at least a month before the AGM. Audit shall be done by a qualified auditor
to whom the Secretary and Treasurer shall produce all books and papers necessary for the complete
examination of Society's accounts. Such auditors shall be appointed by the Executive committee of the
Society.

ARTICLE 10. DETERMINATION OF BALLOT

The Members shall vote by ballot in the following manner:

a) The ballot paper shall be issued to every member by the Election Commissioner.

b) The question under voting shall be put down on ballot paper.

c) The last date for return of ballot shall be given therein.

d) The date and place of opening the ballot shall be given on it.

e) A space for the marking/ signature of the voter shall be provided.

f) No ballot will be accepted after the expiry of fixed date and time.

g) The ballot will be opened at fixed time and date and only the candidates/ their nominees shall have the
right of examining them.

h) Only the Candidates/ their nominees have the right to attend the meeting when the ballot paper shall
be opened for counting.

i) Except when otherwise provided the vote of majority of more then half of the voting Members of the
Society on that date shall decide the matter or the question and shall be binding upon the Executive
Committee and on the Society.

j) Members who intend to cast their vote and proceeding on official duty / leave may cast the vote in
person before three working days before the balloting. Date and timing for such voting will be
decided by the Election Commissioner and announce through circular.

ARTICLE 11. ANNUAL GENERAL MEETING

a) All the voting Members shall be eligible to attend and participate in the Annual General Meeting
(AGM) which will be held once a year on second half of February, at such time and place as the
Executive Committee shall have selected.
b) Annual General Meeting may terminate or extend the duration of an elected body (for subsequent
year) if deemed necessary and useful in the interest of Society.

c) Elections shall be held within 45 days after the AGM of the Assembly.

d) A Notice for the AGM together with the Agenda shall be forwarded by the General Secretary, through
a circular displayed on SAEP Office notice board and SMS/ email, not less than 15 days before the
date of the Annual General Meeting.

e) Resolutions, proposals and appeals for assistance or against the verdict of the Executive Committee or
Tribunal, any suggestion useful in the interests of Society etc. should reach the General Secretary at
least 10 days before the date fixed for the AGM.

f) The quorum for the AGM shall be minimum 40% of Members at Karachi; once adjourned due to
requirement of quorum, it will need 30% when held a second time.

g) The majority of votes, through show of hands, shall be the basis of any action to be taken in the
Annual General Meeting except where other method for such decision is mentioned in these rules.

h) Appointment of Election Commissioner.

i) Annual General Meeting shall be presided over by the President. The Election Session of an
Assembly shall, however, be presided by the appointed Election Commissioner.

j) The AGM shall have full powers to alter, amend, add or set aside any Rule, bye-law or clause of the
Constitution or any verdict or decision made by an Annual General Meeting or by the Executive
Committee or tribunal set up by the President under the Constitution and Rules.

k) Handing over/ Taking over shall be carried out within 10 days of holding the office by newly elected
body.

l) Order of the Proceeding: The House in Annual General Meeting will consider and discuss on the
following:

i. The report, balance sheet and statement of account, duly approved by the Auditors for the
preceding years submitted by the Executive Committee.
ii. Any resolutions or proposals duly put up and submitted to the House, as mentioned in the
Constitution and Rules.
iii. Extension in the tenure of the existing body for the subsequent year.
iv. Appointment of an Election Commissioner when the election of the office bearers is to be
held.
v. Levy of any contribution or altering of any fee etc. if needed.
vi. Consideration of appeals against verdicts passed by Executive Committee or Tribunal
appointed under the Constitution Rules when a Member appeals for the same.
vii. To do all such other things, as may be necessary or desirable in the interest of the Society or
its members.
viii. The order of items may be changed at the discretion of the President, with the concurrence of
the meeting.

m) PROCEDURE AT THE ANNUAL GENERAL MEETING:


i. The President of the Society or failing him, the Vice President, or failing both, any member of
the Executive Committee, present at the meeting, shall take the Chair at the Annual General
Meeting of the Society.
ii. Each speaker shall address solely to the Chairman.
iii. No member(s) shall interrupt another while speaking.

n) VOTING:

i. All questions properly brought before the Annual General Meeting shall be determined by a
simple majority vote with show of hands unless otherwise specifically stipulated in the
Constitution.
ii. Matter of importance shall be decided by 2/3rd majority show of hands/ballot/signatures of
Members present.
iii. Any member of the Society whose subscription is more than 60 days in arrears shall be
disqualified from voting at any meeting of the Society or Committee

ARTICLE .12 SPECIAL GENERAL MEETING

a) If 20% of the Members at Karachi submit to the General Secretary a requisition demanding the
cancellation or revision and/or amendment of any decision or direction of the Executive Committee
with a request that a Special General Meeting of the Society should be called for this purpose than a
Special General Meeting will be called in at the time and date fixed by the Executive Committee but
not later than 15 days of the receipt of the requisition subject to the same provisions regarding the
agenda and notice as in the case of a normal Annual General Meeting. All the decisions made in this
Special General Meeting will be as good as those of a normal Annual General Meeting, provided that
such decisions are favored by more than 50%, by show of hands, of the persons attending the meeting.
If the attendance is below 40% of Members at Karachi, the meeting shall be regarded as dissolved.
b) The Executive Committee may call the Special General Meeting to decide matters which need to be
decided during the Annual General Meeting.

c) For the purpose of Special General Meeting no other matter shall be taken into consideration except
the ones put in and included in the agenda. Except permitted by the Chair if informed before the
proceedings of the meeting

ARTICLE 13. DECEASED FUND

a) At the time of acquiring membership of SAEP, individuals agree to contribute to Deceased Fund by
submitting the applicable form. This fund is for the members working in PIA only. However, efforts
may be made to create such arrangements for members working in other airlines if their combined
membership desired so. Accounts shall be maintained separately for this purpose.

b) This fund is for the welfare of the family of a deceased member who was a contributing member of
Deceased Fund and died during the tenure of his service (before superannuation).

c) Member, working in PIA shall pay towards the Deceased fund at the rate of 5% of his gross salary on
the demise of a serving member of SAEP, working in PIA and whose age was not greater than 60
years.

d) The accounts of the Deceased fund shall be kept separate from those of other funds but may be
opened in the same Bank.

e) The enforcement and utilization when expedient shall be decided upon by the Executive Committee.

f) The cheque shall be issued in favor of legal nominee of the deceased member as per PIA record.
(See Appendix B).

ARTICLE 14. SPECIAL FUNDS

As per powers delegated to the Executive Committee, it may create a special fund to cater for any exigency,
contingency, emergency or any time the Committee deems fit for the benefit of the membership and to a
achieve and maintain the object of the Society. The contribution amount will be decided by the Executive
Committee and shall be mandatory to pay on part of the membership. This fund shall be operated separate
from the General Fund.

ARTICLE 15. MINUTE BOOK

a) All the proceedings and voting of the Meetings of Executive Committee along with the names of the
persons attending the meeting shall be recorded in a Minute Book. The entries thereof shall be made
by the General Secretary and confirmed by the President.

b) All the proceedings of the Annual General Meeting and the results of proceedings/ voting shall be
recorded in a Minute Book. The entries thereof shall be made by the General Secretary and confirmed
by the President. The Minute Book will remain in the custody of General Secretary.

ARTICLE 16. SAEP ACCOUNT

All income/ expenditure/ balance will be maintained by the treasurer. Good accounting practice shall be
adhered to and for this purpose the services of financial consultant/ chartered accountant may be obtained
with the approval of Executive Committee. Annual financial closer shall be on 31st December at 23.59 hours
of each year and the audit report after being prepared and signed by the treasurer will be verified and signed
by both the President and General Secretary and then presented in the Annual General Meeting. The record
will be open to all members for inspection.

ARTICLE 17. INSPECTION BOOK.


All Registered Members shall be entitled to inspect Membership Register, Accounts Book and Minute Book
of the Society, such inspections, when carried out, shall be recorded in an inspection book, maintained by the
General Secretary. The names and signature of the persons inspecting will be legibly put down in the end of
each inspection note in the said Book.

ARTICLE 18. LEGAL ADVISOR.


The Society may have Legal/ Tax Advisor on salary or on payment, commensurate to the market rate in any
financial year.

ARTICLE 19. COMPENSATION.


When a Member working in PIA, acting under the advice of the Society in order to further the interest of the
society, will sustain any loss e.g. his/her services are dismissed or terminated by the management of PIA

and/or he/she suffers a loss of terminal benefits, the Executive Committee or an impartial committee shall
establish the eligibility of the said member of the Society for being beneficiary of said compensation,
provided the said member is not found guilty of any criminal act.
a) The impartial committee for this purpose shall be set up by the President (if required so) by the virtue of
powers vested in him by this constitution. It shall comprise of a minimum of two Executive Committee
members and three SAEP members.
b) In such cases of victimization all members of the Society working in PIA will contribute an amount
equivalent to 10% of their gross monthly salary in the favor of victim.
c) In case the said member is reinstated to service with no financial loss incurred, he/ she shall deposit back
the total amount paid to him/ her in SAEP fund.
d) The amount received back shall be returned/ refunded to all contributing members.
e) Similar arrangements may be made for the members of the Society working in other airlines subject to the
collective approval/consent of those members. See Appendix- C

ARTICLE 20. DISSOLUTION


a) The Society may, at any time, be dissolved by consent of 75% of the Members and such consent shall
be obtained by Ballot. . In such dissolution, the members shall appoint a committee comprising not
less than three representatives, chosen from the executive committee who shall act as agents for the
members and dispose of all its assets, physical or otherwise, by public auction, private sale, or
otherwise, and any and all questions relating thereto shall be decided by a majority vote of these
agents.
b) Upon such dissolution of the Society its assets shall be realized and debts and liabilities thereof
satisfied there out and subject thereto, the assets shall be divided among the existing Members in
proportion to their subscription paid by them during their period of Membership. Such distribution
shall be carried out by the committee appointed under paragraph here above.
