LEASE AGREEMENT

The agreement is made on this 20th day of Jan 2019 at Bhubaneswar.

Between

Sri Purnachandra Das, aged about 56 years, S/O of Sri Dhirendra Das, residing at Mohan
Niwas, Palace Line, Bolangir,Odisha-767001 (hereinafter to be referred as LESSOR) Which expression
unless repugnant to the meaning or context thereof shall include all its successors and assigns of THE
FIRST PART.

AND

M/s Inductus Consultant(P) Limited(hereinafter to be referred as LESSEE), REPRESENTED BY


Mr. Sanjaya Kumar Sahoo, Authorised Signatory, Head Offices at C-127, First Floor, Noida Sector-2,
UP-201301(INDIA) hereinafter referred to as LESSEE(Which expression unless repugnant to the
meaning or context thereof shall include all its successor and assigns) of THE SECOND PART.
WHEREAS

1. Inductus is into the business of Consulting, Outsourcing & Project Management and have
been awarded a Skill Development Project Govt. Of DDU-GKY in Odisha. In order to take up
the assignment and execute & complete the project as per the guideline issued by Govt. Of
Odisha, Inductus is desirous to hire an infrastructure which can be used for Office purpose.
2. Purnachandra Das is the lawful owner of property situated at Revenue Plot Number K-7/187
Kalinga nagar, Bhubaneswar, Pin-751003, Khurda (hereinafter referred to as the “Premises”),
to enter into agreement and to let out the said Premises to the “LESSEE”, on leave and lease
basis, initially, for a period of 24(Twenty Four) Months, effective from 1st Jan, 2019, and will
be renewed of each 11 months completion, on both party agreed in mutual understanding
for continuation of this said lease.
3. The LESSEE has requested the LESSOR to allow the LESSEE to use entire infrastructure
including constructed/ unconstructed areas and building area for office & Training purposes.
The approximate area of aforesaid property is 1200 Sq. Ft.

4. The LESSOR has agreed to allow the LESSEE as aforesaid to use and occupy the said premises
for a period of Twenty Four (24) months w.e.f 1st Jan, 2019.
5. This rent agreement will be renewed on each completion of 11 months with a rise of 10% in
the rent payable, although the tenure of tenancy will be for 24 months as said above.
6. The aforesaid premises will exclusively be used by the LESSEE during the course of
occupancy or agreement in between the LESSOR and the LESSEE. The LESSOR shall not rent
or sell out the aforesaid property either fully or partially during the period of the agreement.
7. The rent payable by the LESSEE to the LESSOR for use and occupancy of the said premises is
Rs. 8,000/-(Rupees Eighty Thousand) only per month, inclusive of all applicable taxes, if any,
excluding Electricity bill and payable by 7th day of succeeding month w.e.f from 7th February
2019.
8. The LESSEE will pay monthly rental in advance of Rs. 8,000/- with security deposit amounting
to Rs. 24,000/- to be deposited as per agreed value of the agreement and will not carry any
interest on the same, and refundable after suitable vacant of the building and adjustable for
any rental due and other dues, repair and renovation if any, duly agreed by both parties.
9. The LESSOR shall be deemed to have the ultimate and full control over the possession of the
said premises and the LESSEE shall not claim any right by way of tenancy, sub-tenancy or any
other right in any manner whatsoever in the said premises.
10. The LESSOR also agrees to pay municipal taxes to be levied by the Municipal Corporation.
The LESSEE shall not be responsible for any outstanding arrears both present and future, in
relation to any tax, statutory demands levied or to be levied on the Land Owner.
11. That, the “LESSOR” hereby covenants that all major repair and maintenance work, for
normal wear and tear including the periodical painting of the interiors and exteriors, in
respect of the said premise, shall carried out by the “LESSOR”, at its own cost and labour.
12. That, the “ LESSOR” hereby covenants that, all repair & maintenance work of minor nature,
including the periodical cleaning the septic tank and soak pit, in respect of the said Premises,
shall be carried out by the “LESSOR’, and cost of the same may be released from the LESSEE.
13. It is also agreed that the Electricity, Water Bills & Telephone Bills of the said premises will be
paid by the LESSEE only which pertains to the company use and such duly paid bills will be
submitted to the LESSOR for his/her information and record.
14. The LESSOR shall facilitate the suitable space for hanging signboards of the company and
ongoing Project in the said premises, will also allow structural changes if required, which
includes partition of hall etc. And necessary permission for the same has to be obtained from
the authority by the LESSEE with fees if any payable.
15. The LESSEE hereby also agrees to keep always clean the said premises and will be maintain
throughout the tenancy period.

THE LESSEE HEREBY COVENANTS WITH THE LESSOR AS FOLLOWS:

 The LESSEE, his staff members, servants and agents will abide by the rules and
regulations framed by the owner of the house, the LESSOR.
 The LESSEE shall ensure to pay a monthly rent amount after deduction of TDS at the
applicable rate of income tax act. The same will be paid on or before the 10th day of
every calendar month.
 The LESSEE shall provide TDS certificate to the LESSOR for the tax deducted on rent as
per the applicable guideline of the income tax act.
 The monthly compensation/rent will be transferred by LESSEE in LESSOR’s Bank Account
thru RTGS/NEFT Transfers by 7th of the succeeding month.
 To permit the LESSOR and his representatives to enter the said premises for inspection
as and when necessary.
 The LESSEE shall inform the local Police Station and other Govt. Authorities as required
under law for doing the business.
 The LESSEE agrees to use the said premises strictly for his business related activities,
only.
 The LESSEE shall obtain required permission from statutory authorities to carry out his
business as required under various law.
 The LESSEE agrees to NOT TO ASSIGN, transfer, sublet or part with possession of the said
premises or any part thereof at any time during the continuance of the said agreement
or any renewal thereof.
 That, on expiry or earlier termination of the leave and license agreement, the LESSEE
shall deliver vacant and peaceful possession of the said premises together with LESSOR
fittings and fixtures.
 The LESSEE hereby admits and acknowledges that it is the express intention of the
parties to this agreement that the relationship of the LESSOR and LESSEE shall not be
deemed to be created hereby or otherwise between them under any circumstances
whatsoever. This agreement merely confirms bare permission of tenancy and does not
create any interest into or upon the said premises or any part thereof in favour of the
LESSEE. It is not intended by this Agreement to create any lease, sub-lease or any other
rights, titles and interests into or upon the said premises or any part thereof in favour of
the LESSEE and the LESSEE hereby agrees that under no circumstances the LESSEE shall
claim any right to tenancy, sub-tenancy, sub-tenancy or any other right any nature into
or upon said premises.

16. THE LESSEE FURTHER CONVENANTS WITH THE LESSOR AS FOLLOWS:

 Not to do any activity/business, which is not permissible under law of the land. The
Tenant shall obtain all required permission from the authorities to carry out such
business activity. He or his agents will be solely responsible for any activity carried
out by them in the premises and Land Owner shall not be responsible in any manner
for nay of his act or deed while carrying out his business activity.
 Not to do any such act(s) or use(s) the said premises in such manner which is
prejudicial to safety or structural stability of the said flat.
 Not have the right to make any structural alternation in the said building and shall
not use the said building in such a manner which may impair the safety of the multi-
storied building or cause any damages to the same or which may affect the right and
interest of other tenants in the building and the owner.
 Not to store in the said building any goods, which are of hazardous, combustible and
dangerous in nature or which may cause any damage to the said flat or apartment or
storage of which is not permissible under law or is an offence.
 Not to do or cause to be done any act or things which is not permissible in law or
which constitute and offence under any law in force.
 Not to throw any dirt, rubbish and garbage at any other place of the complex except
places earmarked for this purpose as garbage containers.
17. THE LESSEE FURTHER COVENANTS WITH THE LESSOR AS FOLLOWS

 Either party can terminate this agreement by giving two months prior notice to the
other party in writing , and in case of termination of the agreement the security
deposit paid in advance will be refunded within 7 days or the same will be adjusted
in the rest accordingly.
 That notwithstanding anything hereinabove contained to the contrary, if the LESSEE
fails to use the said premises for bonafide and legitimate business purpose, the
LESSOR will be free to ask for vacations of the building adhering to the termination
clause as above.
 That, the “LESSEE” hereby further covenants, not to commit nay unlawful act on the
said ‘Premises’ which may cause nuisance or annoyance to the persons staying in the
neighbourhood of the said building.
 Both parties hereto unconditionally agree to submit to the exclusive jurisdiction of
the competent courts in Bhubaneswar with regards to any question or matter arising
out of this agreement and any other documents that may be executed by the parties
here or any of them in pursuance here of or arising here from.
WHEREOF THE LESSOR & LESSE HAS SET THEIR OWN HANDS ON THIS RENT AGREEMENT
ON THE DAY, MONTH & YEAR WRITTEN ABOVE IN THE PRESENCE OF THE FOLLOWING
WITNESSES./
