FACT:

1. Everything Online, Inc, is a corporation that offers Internet services nationwide

through franchisees.
2. Smart Communications, inc. is a mobile phone service provider.
3. Petitioners Nolasco and Maricris were the CEO and Member of the BOD of EOL.
4. EOL sought the help of SMART for its expansion
5. The Parties determined that EOL would be needing 2,000 post paid lines with
corresponding cell phone units.
6. Inview of this, EOL’s corporate President SAMACO III, signed two corporate
service applications for the 2000 post paid lines with corresponding cell phone units.
Also, a letters of undertaking that the President, directors and officers of the
corporation shall be held solidarily liable in their personal capacity with the
SUBSCRIBER.
7. Another two letters were executed; Letter of Agreement and EOL Undertaking,
which agreed to assume full responsibility for the charges, incurred on the use of all
these units, which was signed by SAMACO III & Petitioner NOLASCO.
