CONTRACT OF LEASE-Apartment

_____________________________________, a domestic
corporation organized and existing under under and by
virtue of Philippine laws and represented in these act by its
President, ______________________________ hereinafter
referred to as the LESSEE.
WITNESSETH
That the LESSOR hereby allows for lease and tenancy unto the LESSEE a residential
unit located at __________________________ under the following terms and conditions:
1. Restriction of Use. That the LESSEE hereby agrees that the leased unit shall be
used exclusively as a staff house for his employees only and other services
relative to its agricultural chemicals business.
a. That the monthly rental does NOT include the cost of utilities and other
services incurred by the LESSEE.
b. That the monthly rental is due every 1st day of the month & the
succeeding months therein. Should the LESSEE fail to pay the monthly
rental on the due date, the LESSEE hereby agrees to pay an additional
surcharge-penalty of five percent (5%) per month. However, the failure
of the LESSEE to pay two (2) monthly rentals, whether successive or
accumulated shall give the LESSOR the right to prohibit the LESSEE
any access and entrance to the rented unit and the non-payment shall be a
cause for the LESSOR to terminate this contract.
c. That the LESSEE shall pay the monthly rent by depositing it to the BPI
Account of the LESSOR (Account No.: ___________; Account Name:
______________________) without the necessity of demand, verbal or
written, express or implied. Such payment shall be without delay on any
ground whatsoever.
3. Security Deposit & Advance Rent. That upon signing of this contract, the
LESSEE is required to pay the LESSOR the equivalent of three (3) months
SECURITY DEPOSIT and three (3) months advance rent. The advance rent
will be used as first month rent and last two months rent when the contract will
no longer be renewed provided that three (3) months advance written notice is
given by the LESSEE regarding the non-renewal of the contract.
4. Security & Maintenance. That the LESSEE is under obligation to take charge
of the SECURITY, SAFETY and SANITATION of the leased premises and its
surroundings. The LESSEE is also under obligation to see to it that the property
is well maintained. ALL MAINTAINANCE REPAIRS whether due to calamity
or natural wear and tear are the obligation of the LESSEE.
5. Compliance with Laws. The LESSEE also agrees to comply with all laws,
ordinances or regulations of the National Government and the pertinent Local
Government Unit arising from and regarding the use and occupancy of the leased
property. The LESSEE shall not allow the use of the leased unit as a venue for
violating any law, ordinance and regulations promulgated by the government.
6. Business Permits & Insurances. The LESSOR shall not be accountable and at
all times be free from any liability, whether civil, criminal or administrative
should the LESSEE fail to secure the necessary licenses/permits relative to the
operation of its business.
a. Should the LESSEE fail to secure at its own expense a Fire Insurance or
All Risk Insurance to cover the goods and equipments contained in the
rented unit; and Public Liability Insurance for the protection of third
persons, the LESSEE hereby expressly agrees to fully, completely and
exclusively pay such injured third persons for damages and further agrees
that in no manner and at no time shall the LESSOR be held liable for the
damage or injury caused to such third persons, or for the loss of the
contents of the leased premises and/or for the loss of the business of the
LESSEE.
7. Repairs & Improvements. That the LESSEE hereby agrees and binds itself to
undertake at his own exclusive expense the necessary improvements, repair and
the connection of utility and other services in the leased unit in order to meet the
needs and requirements of his agricultural chemicals business. The LESSOR is
under NO obligation to reimburse the LESSEE on the expenses incurred in the
aforementioned improvements and repair. The LESSEE however shall not start
nor proceed with any repair work, introduce improvements or make alterations,
nor secure the installation of utilities and other services without the written
consent and approval of the LESSOR or its representative.
8. Utilities & Other Services. The LESSEE shall promptly pay its consumptions
for water, electricity, telephone and other services used in the leased premises.
To ensure that the utilities and other services are being paid on time, the LESSEE
shall furnish the LESSOR each month a photocopy of the official receipts
pertinent to the utilities and other services paid.
a. The LESSOR shall not be liable for the failure of electric supply and/or
water, or any utility or service in the leased property.
10. Presence of Rodents & Vermin. The LESSOR shall not be liable for the
presence of termites, bugs, vermin, ants, or other insects if any, in the leased
premises. Damages to the leased property due to the presence or growth of these
insects shall be the liability of the LESSEE and is under obligation to pay actual
damages to the LESSOR.
11. Fire Hazards. The LESSEE shall not deposit any highly inflammable or
explosive matters in the leased premises. The LESSEE expressly agree that the
use of candles or any device whereby naked flame is used shall be strictly
prohibited. The LESSEE hereby agrees and expressly warrants the installation of
adequate and effective fire fighting equipment and fire extinguishers to be on
hand at all times in order to prevent any fire-related accident.
12. Residential Use. The LESSEE and/or his employees is hereby permitted to use
the leased premises for dwelling or sleeping purposes, at anytime of the day or
night whatsoever, whether during normal business hours or at the closure thereof.
Family members of the employees are not allowed to reside in the leased
property.
13. Subleasing. The LESSEE shall NOT directly or indirectly sublease the leased
premises or any portion thereof under any circumstances whatsoever. Any
contract that may be made in violation of this clause shall be null and void.
14. Duration of Contract. The term/duration of this lease shall be four (4) years
commencing on January 1, 2013 until December 31, 2016 subject to renewal
and upon agreement of both parties. Should the LESSEE find it necessary to
vacate the premises before the expiration of the contract or decide not to renew
the contract at the end of the four (4) year period, the LESSEE shall give the
LESSOR (three) 3 months advance written notice. Likewise, the LESSOR is
also under the obligation to give the LESSEE (three) 3 months advance written
notice in case of non-renewal of contract.
15. Effectivity Clause. Upon signing of this Contract of Lease, the LESSOR shall
cede and vest in the LESSEE the right of occupancy on the leased property. As
such, the LESSEE shall have the right to make the necessary improvements and
repair on the leased property to suit his business requirements and needs.
16. Repealing Clause. It is hereby agreed and understood that any revision or
modification in any of the conditions, agreements or stipulations herein shall be
made in writing and executed by both the LESSOR and the LESSEE before such
revision or modification may take effect.
17. This Contract of Lease shall be respected and obeyed by the LESSOR &
LESSEE’S heirs or representatives, assigns and successors in the interest of both
parties.

BEFORE ME, on the date and place first mentioned above personally
appeared the above named persons, their Identification Nos. shown below their names
known to me to be the same persons who executed the foregoing instrument and they
acknowledged to me that the same is their own free will and voluntary acts and deeds.
This instrument consist of five (5) pages, including the page on which this
acknowledgement is written, has been signed on the left margin of each and every page
thereof by the parties and their witnesses and sealed with my notarial seal.
