MEMORANDUM OF UNDERSTANDING BETWEEN INDIAN INSTITUTE OF TECHNOLOGY MADRAS AND TATA CONSULTANCY SERVICES This Memorandum of understanding (Mou) made at Chennai the 29" day of January 2001 between the INDIAN INSTITUTE OF TECHNOLOGY MADRAS, Chennai hereinafter referred to as “IITM’ (which expression shall, unless repugnant to the context or meaning thereof, include its successors in interest and permitted assigns) of the ONE PART And. TATA CONSULTANCY SERVICES, Mumbai, a division of Tata Sons Limited, Mamnbal hereinafter referred to as “TCS” (which expression shall unless repugnant to the context o meaning thereof, include its sucressors in interest and permitted assigns) of the OTHER PART Whereas IITM is an Institute of National Importance, hhaving been established and declared as such by the Parliament of the Republic of India, to provide for a suction and research in various branches of engineering, technology, scientes rey humanities for the advancement of learning and dissemination of knowledge in such branches Aad Whereas TCS a division of Tata Sons Limited, a leading organisation working in the areas of consultancy, software and information technology, with its office at the Air India Building, Nariman Point, Mumbai. ©. Page 1 of 4 OAM iecs ie And Whereas IITM and TCS are jointly interested in manpower: development through 4 User-Oriented M.Tech. programme in the area of Computational Engineering at the postgraduate level Now therefore, in pursuance of the above premises the following broad understaning is mutually agreed to between the parties 1a.TCS, with a view to promoting the development of trained manpower in the area of Computational Engineering, will support the Centre for Finite Element Analysis and Design (CFEAD) at IITM as an Academic Centre ‘of Excellence in Computational Engineering. As part of the programme, TCS will sponsor an User Oriented M.Tech programme’ in Computational Engineering, TCS will provide an initial grant of Rs.75 lakhs to provide the infrastructure for conducting this M-Tech Programme and the details are as follows: (TCS will donate 5 Unix workstations, 10 high end NT workstations and two high speed switches for an estimated outlay of Rs.33 lakhs. Gi) TCS will place orders for supply to IITM the software packages at prices as applicable to educational and research purposes and the estimated cost of the packages given in the Annexure is Rs.28 lakhs. Gi) Tes will provide a grant of Rs.4 lakhs for procurement by IITM the software packages given in the Annexure. (iv) TCS will provide a grant of Rs.2 lakhs for procurement of books. () TCS will assist in infrastructure enhancement for the items given in the Annexure to the extent of Rs.8 lakhs. 1b.TCS will donate to ITM a sum of Rs.7.5 lakhs each year to meet the annual maintenance fees for hardware and software upgradation. 2. TCS will sponsor 10 to 15 candidates each year for the first three years. Sponsorship fee of Rs.1.5 lakhs per candidate will be paid. These candidates will be employees of TCS, its subsidiaries or other Tata Group Companies. Page 2 of 4 3, The candidates nominated as per item 2 will be selected for the M.Tech. Programme in Computational Engineering based on the Test and interview to be conducted at IIT Madras. The Selection Committee will be constituted by IITM and TCS representative/s will be invited to serve as member/s on the Committee. 4, At the end of two years, based on the costs prevailing at that time, IITM will prepare an estimate for the funding required for the continuation of the User Oriented Programme. If TCS agrees to fund the revised amount to IITM, the programme will be continued for another three years beyond the initial period of three years. 5, In the event of the two parties deciding to discontinue the manpower development programme after submission of the cost estimate as described above, annual payment and sponsorship of candidates as per item 1(b) and 2 ‘will continue for one more year to provide for the completion of the programme for the first three years as agreed to in this MOU. Payment of the penal amount shall cease from the subsequent year. The balance amount (if any) of the annual grants will be returned to TCS, after providing for the expenses already committed by IITM. 6. The computational facilities set up at ITM with the grants received under this MOU will be called the “Tata Consultancy Services Academic Centre of Excellence in Computational Engineering”. Ea | IITM shall furnish to TCS, by the 31% December every year, an account of the utilisation of the amount received, and a report of the activities of the sponsored M.Tech. Programme in Computational Engineering. 8. Both the parties will work out a management structure and review process for the M.Tech. programme and there will be joint annual reviews. DMSaps Mr. S.
