RETAINER AGREEMENT

KNOW ALL MEN BY THESE PRESENT:

This RETAINER AGREEMENT made and entered into by between:

ATTY. MAY CHRYSALIZ E. PARGAS, a Filipino citizen, of legal age, single and a
resident of 55 Lt. Col. D. Atienza Street, Batangas City, hereinafter referred to as
“ATTORNEY”;

-and-

MLD DYNAMIC CONSTRUCTION CORP., a corporation duly registered under the


laws of the Republic of the Philippines with principal office of address at Bloomfield
Subdivision, Lot 26, Block 5, Barangay Balimbing, San Pascual, Batangas, herein represented by
its President MS. YOLANDA DAGAMI MARANAN, hereinafter referred to as “CLIENT”;

WITNESSETH:

WHEREAS, the CLIENT desires to safeguard its rights to file the case of COLLECTION OF
SUM OF MONEY against SAKAMOTO ORIENT CHEMICALS, and avail of such other legal
actions as may be necessary in furtherance thereof, and the CLIENT is willing to retain the legal
services of the ATTORNEY by the law of this RETAINER AGREEMENT:
1. ENGAGEMENT – The Client retains the Attorney to represent it relating to the
filing of case against SAKAMOTO ORIENT CHEMICALS;
2. ATTORNEY’S SERVICES – The ATTORNEY shall represent the Client in
executing/enforcing the Client’s legal actions as the Complainant on the said
Complaint;
3. CLIENT’S DUTIES – The Client shall be truthful and shall cooperate with the
Attorney, follow Attorney’s legal instructions, promptly returns the Attorney’s
phone calls, emails, letters and other form of communication, inform the Attorney of
any development and any change in the Client’s address, phone and whereabouts,
abide by this Agreement, and pay Attorney’s bill promptly. The Client shall also
deliver promptly all the papers and documents necessary for the filing of the
Complaint in court and for evidentiary purposes.
4. FEE and TERMS OF PAYMENT – For the legal services above, the Client agrees to
pay following Fees, plus costs (if applicable).

a. Acceptance Fee – The Client agrees to pay a fixed amount of ONE


HUNDRED THOUSAND PESOS (Php100,000.00), Philippine Currency, in
consideration of the agreement of the Attorney to accept and study the Client’s
case and for accepting to represent the Client in filing the necessary
documents/pleadings in the said case. This fee is payable in full on or before 02
March 2020, even if later there will be withdrawal or discontinuance of the case
for whatever reason.

b. The Attorney shall charge the amount of THREE THOUSAND PESOS


(Php3,000.00) Philippine currency for every appearance in court. Any other
expenses such as TAXES, which the Attorney normally incurs in handling cases
are separately chargeable to the client.

c. OTHER EXPENSES- Legal and filing fees, sheriff and summons fees, xerox,
representation and miscellaneous expenses shall be for the account of the
CLIENT;

5. ADVISEMENT- No Attorney can make any promises regarding to the final outcome
of the case. The Attorney may consult or use other Attorneys to advise and assist
with Client’s case (at no additional cost to the Client) and the Client agrees to such
representation. The Client may seek an independent Attorney to review this
agreement to ensure that this is fair;
6. FILE RETENTION- The Client’s file is at all times the property of the Client. After
services conclude, upon the Client’s written request, the Attorney will deliver the file
to Client. If the Client does not request the file, the Attorney has no further
obligation to retain the file and may destroy it without any notice to the Client.
7. TERMINATION OF AGREEMENT- it is important that the Client is continually
happy with the Attorney’s services. Thus, Client may discharge the Attorney for any
reason. The Client acknowledges that the Attorney may also terminate this contract
for good cause or if the Client breaches any of the Client’s duties. In such event, the
fees detailed above shall all at once become due and demandable. This Agreement
shall take effect upon signing thereof and shall terminate upon conclusion of the case
or upon written notice served personally by either party at least thirty (30) calendar
days before the intended date of termination.

THE PARTIES READ, UNDERSTOOD AND AGREED TO THE ABOVE TERMS


AND WILL USE BEST EFFORTS TO COMPLY.

IN WITNESS WHEREOF, the PARTIES have hereunto signed these presents at


Batangas City, Philippines, this February 12, 2020.
