Search Committee of Pipe Oil and Gas Limited Pty, we are pleased to
offer you a position as the “HSSE Coordinator, after screening and
verification of your resume which you have submitted for screening) at
Pipe Oil And Gas Limited, South Africa. We trust that your knowledge,

starting date will be (Tuesday 20th September 2018). On that date,
please report at 8:00 a.m. to the Human Resources Department, where you

TERMS OF AGREEMENT

This Agreement is made between Pipe Oil and Gas Limited Pty and the
Employee as second party.

ARTICLE 1.

1.1 EMPLOYEE AND CONSULTANT represents to Pipe Oil And Gas Limited Pty:
that it has the technical competence necessary for carrying out all the
services, duties and obligations specified in this contract on the part
of EMPLOYEE to be assumed and performed and has agreed to carry out the
same in accordance with the terms and conditions hereinafter set forth.

ARTICLE 2: CONTRACT PERIOD


The contract period shall be for Contract duration: The contract shall
last for duration of (2) two consecutive years and could be renewed
only if employer is satisfied with employee's services.

ARTICLE 3: FEES FOR SERVICES AND TERMS OF PAYMENTS

3.1 PIPE OIL AND GAS LIMITED PTY shall pay all of the fees in Article
in US dollars and or Euros equivalent depending on employees’ home
country and shall be paid; 75% to an offshore account provided by
employee and 25% locally.
The employee will be reimbursed by the employer for reasonable moving
expenses incurred only as a result of relocation or early termination
of leases, storage charges; procurement of travel documents (flight
tickets), immunizations etc. Reimbursements shall be made before
employees embark on journey not later than Seven (7) working days after
submission of employee’s expense report and receipts, this after the
acquisition of relevant traveling papers through their local
representatives assistance from the Principal Immigrations
Attorney/Internal affairs ministry in South Africa.
Employer for each intercontinental trip shall pay USD $ 8,520.00 flat
rate travel/entertainment allowance to employee. Travel shall be by
business class/first class. However for the purpose of commencement,
the cost of travel ticket shall be paid in addition to
travel/entertainment allowance. Cost shall be substantiated and shall
be the rate charged at the Period/time of purchase.
Employer shall also take care of employees' travel ticket including
that of employees' family only on employees' early notification to
employer and as shall be requested by employee.

3.2 COMFIRMED EMPLOYEES


Confirmed employees are those employees that have successfully acquired
and forwarded his/her necessary permits clearance papers to the
employer’s Management-duly certified by the Company Official Principal
Immigrations Attorney (Dara Michael Trading Association &
Solicitors/Federal Ministry of Foreign Affairs of South Africa). Then
they shall be entitled to article 8.0 above.

INSURANCE: Employer will provide Employee with coverage under a policy


of hospitalization and major medical insurance at no cost to the
Employee.

Such of Employee's dependants may be covered under such insurance


policy, subject to the terms of such policy, at the expense of
Employer.
Employer will provide life insurance coverage in amount of not less
than $850,000 and short term disability insurance coverage in an amount
to be determined by the company.
Services of Chauffeurs, gardeners, stewards and butlers are available
upon request by employees at the expense of the employer. Privacy
rights are strictly observed and will “NOT BE VIOLATED”;
TERMINATION AND COMPENSATION: In the event that Employer elects to
terminate Employee from employment prior to the expiration of a two (2)
years initial term, or renewal term, of this Agreement for any reason
other than termination for cause as expressly provided for in
(Termination and Cause) then, and in that event, Employer shall pay to
Employee, on the effective date of such termination, the following
compensation:
(1) A lump sum payment equal to five (5) month’s base salary.
(2) A lump sum payment equal to five (5) month’s automobile allowance.
(3) Shall continue the payment of premiums for
Hospitalization and major medical insurance for the lesser period of
either four (4) months or the date on which Employee secures full time
employment that affords equivalent medical coverage

ARTICLE 4: GENERAL ADMINISTRATION AND MANAGEMENT/OTHER BENEFITS


4.1 Unless otherwise stated in a superseding document, the Contract
Administrator of PIPE OIL AND GAS LIMITED PTY shall maintain general
administration and management of the project and all progress reports
should be addressed to PIPE OIL AND GAS LIMITED PTY.

ARTICLE 5: ASSIGNMENT
5.1 The EMPLOYEE shall not assign or transfer any or all of its rights,
responsibilities or obligation under this Agreement without the prior
written consent of PIPE OIL AND GAS LIMITED PTY, which consent shall
not be unreasonably withheld. However, PIPE OIL AND GAS LIMITED PTY LTD
shall be entitled without such consent to assign the transfer of any or
all of its rights, responsibilities, obligations and liabilities under
this Agreement to any affiliate of PIPE OIL AND GAS LIMITED PTY or its
co-venture subject to prior written notification.

ARTICLE 6: INDEMNITY
The EMPLOYEE agrees to indemnify and hereby indemnifies PIPE OIL AND
GAS LIMITED PTY in respect of all third party claims arising from the
performance of this contract.

ARTICLE 7: FORCE MAJEURE


7.1 Not withstanding any thing herein stated, neither party should be
considered in default in the performance of its obligations under this
Agreement as a result of Force Majeure.
The term "Force Majeure" shall include but not limited to Act of God,
War, Nation wide strike, Lockout, Riot and Civil commotion. A strike or
Lockout embarked upon by only the EMPLOYEE’S personnel shall not be
deemed to be included in this term.
7.2 If an interruption of work occurs as a result of "Force Majeure"
for up to Ten (10) days, 75% of the basic daily fees shall be paid as
standby.

However, if such suspension results in EMPLOYEE not being able to


perform its duties for more than ten (10) days, then PIPE OIL AND GAS
LIMITED PTY may at its option elect to continue the implementation of
this Agreement at adjusted standby rates to be negotiated by PIPE OIL
AND GAS LIMITED PTY and EMPLOYEE or to terminate the contract.

ARTICLE 8: TERMINATION
8.1 This Agreement may be terminated: -
(i) If the services stated in Article 1 and are not rendered
satisfactorily.
(ii) If the duration of the Agreement stated in Article 2 expires and
no extension has been given.
(iii) Under Force Majeure as stated in Article 7.0
ARTICLE 9: DEFAULT OF CONTRACTOR
9.1 In the event of default by EMPLOYEE or non-compliance by EMPLOYEE
with the terms and conditions of this Agreement, PIPE OIL AND GAS
LIMITED PTY shall give notice to EMPLOYEE specifying areas of default
and EMPLOYEE shall have Twelve (12) calendar days to rectify to PIPE
OIL AND GAS LIMITED PTY, the said default(s). If EMPLOYEE does not
rectify to PIPE OIL AND GAS LIMITED PTY satisfaction, the said
default(s) within Fourteen (14) days of receipt of the notice, PIPE OIL
AND GAS LIMITED PTY may proceed with termination of this Agreement
subject only to settlement of all payments due and outstanding at the
time of termination.

IMPORTANT INFORMATION: PIPE OIL AND GAS LIMITED PTY will arrange your
visa and working permit without any cost from the employee but the
Employee must first procure his or her Oversea and Security Clearance
before PIPE OIL AND GAS LIMITED PTY will provide above benefits listed
in 8.0 in line with United Nations world security clearance.

3. Flight Ticket: Your flight ticket shall be sent to you, a week


before your departure. You are to provide a working and valid postal
address where your ticket shall be delivered through a courier service
agent, inclusive of your Hardcopy of Offer Letter and Certificate of
Employment.

4. Accommodation: Pipe Oil and Gas Limited Pty provides accommodation


to all foreign national at the Government Reserved Area at Sandton
Housing Estate, Johannesburg with maximum security and Coastal Estate
in South Africa.
5. Interview: Pipe Oil and Gas Limited Pty has already offered you a
