CONCEPT: Section 110 of the Companies Act, 2013 deals with ‘Postal Ballot’. A postal
ballot is a system of voting in which person send their votes by post when they cannot be
present. It enables the as many voters as possible to participate. It can assist people who may
not be able to attend the General Meeting.Provisions regarding postal ballot are primarily
contain in section 110 of Companies Act, 2013 read with rule 22 of Companies (Management
and Administration) Rules, 2014.

AIMS AND OBJECTIVES: the researcher intends to find out the following during the
course of research:

i) The voting through postal ballot.


ii) The procedure prescribed for postal ballot.
iii) The applicability of postal ballot system.
iv) The postal ballot notices.

HYPOTHESIS: The researcher has formulated the following hypothesis, the validity of

which will be tested in the course of research work. The hypothetical statement is:

i) Postal ballot is an important step to encourage corporate democracy and promote

good corporate governance.

LIMITATIONS: The researcher has undergone time limitation.

RESEARCH QUESTIONS: The researcher has formulated the following research

questions, the answer for which has been found during the course of research:

i) What is postal ballot in Companies Act?

ii) How does postal ballot work?

iii) What is the procedure for conducting postal ballot?

iv) What are the matters that can be transacted only by postal ballot?

RESEARCH METHODOLOGY: The researcher will use only doctrinal method of

research.
