COPYRIGHT ASSIGNMENT AGREEMENT

This AGREEMENT is made between:

Nathalie Marga Gheorghiu, (hereinafter referred to as “The Assignee”) residing in Bucharest, 11 Elena
Vacarescu St, bl.21/3, sc.A, 2nd floor, unit 11, district 1, identified with ID serial number RT 515061,
personal numeric code 2740503221206

and

SC Bis Music SRL (hereinafter referred to as “The Assignor”), a firm based in Bucharest, 20 Poligrafiei
Blvd., 4th floor, room 34, sector 1, identified with no.J40/19374/2007, CUI RO 22581516 in the Trade
Register, represented by its Administrator, Mr. Ion Victor Minea.

The parties have agreed to execute this copyright ownership transfer agreement.

PREAMBLE

Taking into account that:

- The Assignor carries out activities leading to the creation of a work for the purposes of Article 7
of Law no. 8/1996 on copyright and related rights;
- The Assignor is willing to assign and transfer the proprietary rights to the Assignee,

The parties have decided to execute this copyright ownership transfer agreement.

I. RELEVANT PROVISIONS

1.1. The present agreement has been executed in accordance with the provisions of the Civil Code, the
Commercial Code and the article 39-47 of Law No.8/1996 on copyright and related rights.

II. DEFINITIONS:

2.1. The unaccustomed words and phrases in this contract have the following meaning:

a) “reproduction” is the process of making one or more copies of a work in any material form, including
the recording of any sound or image and its temporary or permanent storage by electronic means;

b) “distribution” is the action of distributing to the public the original work or copies of a work through
sale, rental, loan or any other form of transmission with or without a consideration;
 c) " communication to the public " is any communication of a work, made in an area that is open to
the public or in any place where the number of people gathered exceeds the normal circle of a family
and their acquaintances, regardless of whether the members of the audience receiving such
communication can or cannot do it in the same place or in different places, at the same time or at
different times;

d) "secondary distribution" is any communication to the public of a work, subsequent to the first
distribution by means of sound emission, transmission, sound or audiovisual recordings, re-transmission
or presentation in a public place;

e) "in public" means:

- in a place which by its nature or scope is always accessible to the public, even though there is no one
there;

- in any other location accessible to the public, if there is at least one person;

- in a place inaccessible to the public, but with the intention of being heard or seen and if this took place
in front of at least one person;

- in an Assembly or meeting of two or more persons, with the exception of meetings which may be
considered as family gatherings, due to the nature of the relationships between attendees;

- by any other means likely to share with the public the behavior or the manifestation in question;

III. OBJECT OF THE AGREEMENT

3.1. The object of this agreement is the exclusive assignment of copyright ownership and related rights
made by the Transferor as a producer, copyright sound resulting from the making of sound recordings
for the following compositions: Culorile/ "Colors ", " 1, 2, 3 ... ", “Vrabiuta”/ "The Sparrow”, “10
degetele”/ "10 little fingers ", “Gazele”/“The Insects", "Toba”/”The Drum", “Chipul meu”/"My face", “Sar
intr’un picior”/"I’m jumping on one leg", “Fuga jucariilor”/"The Flight of the Toys ", "Chit, Chit,
chit"/”Squeak squeak squeak”, “Arici Poginici”/ Hedgehog Bog ", “Primavara”/ "The Spring",”Prietenii
mei”/ "My Friends", ”Cea mai scumpa”/ "The Most Precious" ( compositions found on the album
”Jucarii”/ " Toys - vol.1") , “Buna dimineata” / "Good Morning" , “Papa tot”/ "Eat all!”, “Cioara si
vulpea”/"The Crow and The Fox",”Imi cer iertare” / "My apologies", “O poveste … mica” / "A little

"The Christmas Star" (compositions found on the album “De-a iarna”/ "It’s Winter"),”Pui de brad”/
"Little Fir Tree”, “Vrabiutele-n zapada”/ "Little Sparrows in the Snow", Bunicutul Mos Craciun”/
"Grandpa Santa", “La colindat”/ "Christmas Caroling", “Emotii de papusa, emotii de fetita”/ "Doll
Emotions, Girl Emotions", “Cu Labus la sanius”/ "Sledding With Labus", “Nu-s prieten cu hapciu”/ "I'm
not Sneezy’s Friend", “Seara sfanta”/ "Holy Night", “Sorcova copiilir”/ "Children’s Wishing Carol”
( compositions found on the album “Clipe de poveste”/ “Fairytale Moments") .

IV. OBLIGATIONS OF THE ASSIGNOR

4.1. “The Assignor” unconditionally, immediately and with no geographic limitations conveys to “The
Assignee” all of their ownership rights as an author/producer in the hypothesis of creating a work for
the purposes of Article 7 of Law no. 8/1996 regarding copyright and related rights, regardless of whether
the work has been created for the making, reproduction, distribution etc. of the audio visual recording
of the album “Jucarii – vol. 1 ”/"Toys - Volume 1", “Jucarii – vol. 2 ”/"Toys - Volume 2", “Jucarii – vol.
3”/"Toys - Volume 3", “Elefantul Cici”/ "Cici, The Elephant", “De-a iarna”/ "It’s Winter ", “Clipe de
poveste”/ “Fairytale Moments" or any other compilation or any other audio or video material. "

4.2 .

4.2.1. The following exclusive proprietary rights are included in the provisions of the copyright
assignment agreement under the terms outlined hereinabove:

a) The right to decide if, how and when their work will be used or utilized, including the right to
authorize the use of their work by others;

b) The right to authorize complete or partial reproduction of the work;

c) The right to authorize distribution of the work;

d) The right to authorize imports of copies of the work for marketing in Romania;
 e) The right to authorize any form of public performance or direct presentation of the work to
the public and the right to authorize the showing of their work to the public;

f) The right to authorize the broadcasting of their work by any wireless transmission of signals,
sounds or images, including satellite;

g) The right to allow broadcasting to the public via wire, cable, optic fiber or using any other
means;

h) The right to authorize public communication of the work through sound or audiovisual
recordings;

i) The right to authorize the unaltered, simultaneous and complete retransmission of the work
by any of the means quoted hereinabove at point g ) and h ) by a body other than the Assignee;

j) The right to authorize secondary distribution of the work;

k) The right to authorize the presentation in a public place by any means of communication to
the public;

l) The right to authorize the translation, adaptation and any other transformation of their work
leading a derived work for the purposes of article 8 of Law No. 8/1996 on copyright and related
rights;

m) The right to authorize rental of the original and of the copies of the work, even subsequent
to their broadcast;

4.2.2. The rights mentioned hereinabove apply to the work as a whole as well as to excerpts, fragments
and segments of the work;

4.3. The duration of the assignment presented at art.3.1. is equal to the duration of the legal protection
granted by law in accordance with art.25 under paragraph 1 of Law No.8 /1996 on copyright and related
rights.

4.4 . The Assignment of rights assumed under Article 4.1. is exclusive in the sense that:

a) The Assignor will no longer use the work himself, in any way, during any period of time and
on any ground;

b) The Assignor can no longer convey these property rights to another person.

4.5. The Assignor, unconditionally, immediately and with no geographic boundaries conveys to The
Assignee all the ownership rights they may have as a performer, for the purposes of Article 95 of Law
No. 8/1996 provided that the performance occurred within the fulfillment of their duties as a music
performer.

4.6. The duration of rights assignment under Article 4.5. is unlimited, beginning with March 11, 2009.
4.7. The Assignment of the rights stipulated under Art.4.5. is exclusive in the sense that:

a) The Assignor will not be able to use their performance for themselves in any way, in any
period and on any ground;

b) The Assignor no longer can convey the rights herein above stipulated to another person;

4.8.

4.8.1. The following exclusive ownership rights in particular are the object of this copyright assignment
under the provisions hereinto above:

- The right to authorize fixing in any way (audio and / or video) the Assignor’s performance;

- The right to authorize distribution of the stipulated performance by sale, lease, loan or any
other means of broadcasting, whether or not for a consideration, to any other legal person,
including to another audiovisual communication company;

- The right to authorize the presentation in a public place or the public communication of the
performance whether it has been fixed or not fixed on a support;

- The right to authorize the adaptation of the stipulated performance;

- The right to authorize the issue or transmittal by wireless means, wire, cable, satellite or any
other similar means;

4.8.2. The rights stipulated in the previous paragraph concern the performance as a whole as well as
excerpts, fragments or segments of this performance.

V. AGREEMENT PRICE

5.1. The Assignor conveys free of charge the copyright stipulated by Article 4.2 of this agreement and
related rights stipulated by Article 4.7.

VI. STATEMENTS AND WARRANTIES

6.1. The Assignor guarantees that they hold the hereby conveyed rights, for the purposes of Article 4.2
and 4.7 and has not signed previous exclusive agreements for the assignment of copyright ownership for
this object.

VII. ASSIGNMENT OF CONTRACT

The Assignee is entitled to assign the rights granted in this Agreement under the provisions contained
herein.
 VIII. DISPUTES

8.1 Any dispute arising from or in regards to this Agreement, including its conclusion, execution or
termination, shall be settled amicably.

8.2 Should the parties fail to reach an amicable settlement, the dispute will be submitted to a competent
court for resolution.

IX. FINAL PROVISIONS

9.1 IN WITNESS WHEREOF, the parties hereto have executed this Agreement in duplicate, each party
taking one copy; the agreement becomes effective today, this 11th of March, 2009.
