Closure Agreement

M/s Green House Agro Products Management, North Rajupalem, Kodavalur Mandal, SPSR Nellore,
represented by Mr. OK Reddy Hence forth referred Manufacturere Exporter and M/s Popular
Exports, 27-4-1058, Balaji Nagar, Extension Revenue ward No. 27-II,SPSR Nellore represented by
Managing Director Thomas Daniel as Merchant Exporter, were accepted to close the below mented
detailed agreements with following terms and conditions.
Agreeemnt -1 Enclosed as annexure -1

Agreement -2 Ecnlosed as ennexure-2

The details of the terms accepted to close the agreement are as follows

a. The Agreement is stand closed as on dated 31.12.2019 and As per your bill 1,74,00,000
outstanding due amount payable by popular exports. out of that we kindly adjust
1,50,00,000/- towards advance. The balance of 24,00,000/- payable you are agreed to write
off. However you are agreed to pay 25,00,000/- towards reimbursement of 6 months
discount price on merchant exports agreement on monthly minimum payable. That
calculated amount 24,00,000/- refundable by GHAP to Popular.
b. With respect to The dispute of GST to be paid actual deducted amount of 5% and to the
GST under discussion of 18%, M/s Popular Exports and GHAP mutually agreed to keep
24,00,000 advance amount as security deposit until the dispute on the rate of GST Finalised
and GHAP accepted to pay back to Popular Exports in case GST was finalised for 5% or the
actual balance amount after calculating GST @ 18%
c. The M/s GHAP accepted to return the balance stock mutually signed and accepted by both
party as enclosed as Annexure-3 on submission of Letter of acceptance for closing
agreement letter to MPEDA to the M/s Green house.

The terms and Conditions are accepted on mutual discussion and will be stand guaranteed between
M/s GHAP Managing Director Mr. O.K Readdy and M/s Popular Exports Ms till the period of all the
terms are closed.
