The provisions of this letter agreement apply to Westcon Group Inc (hereinafter
referred to as the "Distributor" or "you") purchase of the Digi International Inc
(hereinafter referred to as the "Manufacturer") products and software
(hereinafter referred to as the "products") for resale in Indonesia. The Distributor
has the unrestricted right to unilaterally determine the resale price of the
products.

New products may be made available to the Distributor from time to time,
provided that the Distributor meets the Manufacturer’s requirements. In addition,
Manufacturer reserves the right to change or exclude any present or future
Manufacturer products from availability to any particular sales channel.
As a distributor, the Distributor will be entitled to certain benefits for a period of
one (1) year from the date this letter is signed by the Distributor. Manufacture
may, in its sole discretion, continue to provide these benefits for additional one-
year periods. Please note, however, that during the one-year term of this
Agreement, either party may terminate this Agreement for any or no reason upon
giving thirty (30) days' written notice. After the initial one-year term, this
Agreement shall be automatically renewed for successive one-year renewal
periods, unless and until it is terminated by either party upon giving thirty (30)
days' prior written notice. Manufacturer may terminate this Agreement
immediately if the Distributor becomes insolvent or engages in illegal practices.
