Introduction
Effective July 1, 2010, McAfee has enhanced its Deal Registration Program (“Program”) to provide additional
benefits to the McAfee SecurityAlliance™ Reseller Partner (“Partner” or “Partners”) in a number of exciting ways.
Global Alliance (GA) partners are expressly excluded from this program unless approved in writing by McAfee.
As part of our continuing commitment to provide rich Partner program benefits and offerings that help drive
Partner profitability and protection, McAfee offers Opportunity (“Deal”) Registration eligibility to its Partners of all
statuses. This program provides generous financial incentives to reward Partners for the pre‐sales investment
associated with securing and pursuing new sales opportunities, while additionally protecting registering Partners
from competing resellers by allowing for exclusivity on the deal registration margin enhancements outlined in this
document – refer to the McAfee Deal Protection Policy for details.
McAfee SecurityAlliance Opportunity (‘Deal’) Registration Program Summary
ELIGIBILITY
Partner Eligibility Program available to all McAfee SecurityAlliance Partners in North America
Traditional deal registration eligibilities: Any new opportunity brought to McAfee by the Partner that is a new
account for McAfee or any new opportunity within an existing McAfee account.
Additional deal registration eligibilities:
Opportunities discovered by McAfee and provided to the partner at the earliest possible sales stage, as long
as the partner then performs all necessary tasks to pursue, develop, add value, and bring the opportunity to
closure.

Program Overview
The purpose of this offering is to provide financial incentives to protect and enhance Partner margins for
identifying and closing new McAfee sales opportunities. Opportunity registration (or “deal” registration) is
available to the Partner who registers and adds value to a new business opportunity. Then, upon closure of an
approved registered opportunity, McAfee will provide the distributor, on behalf of the registering Partner, a
margin enhancement on the qualifying products. If a registered opportunity is closed by another McAfee partner,
the Partner that registered the deal will be eligible to be paid a Finders’ Fee from McAfee. Terms and conditions
apply as outlined in this document. In consideration of the financial incentives offered to Partner hereunder,
Partner acknowledges and agrees to abide by all terms and conditions set forth in these Guidelines.
Additional Program Rules
The following program terms and conditions also apply:
Registering Partners must be enrolled and in good standing in the McAfee SecurityAlliance reseller
partner program.
Registering Partners must meet all authorization requirements to sell the product(s) being registered.
Exceptions are rare, and must be approved in writing by McAfee to apply to any opportunity.
By registering an opportunity with McAfee, the Partner asserts its intention to fully pursue the
opportunity for McAfee in good faith. Partners are expected to proactively work with customers on an
ongoing basis and progress through a standard sales cycle in a timely manner with the ultimate goal of
bringing a registered opportunity to closure within a reasonable time frame. Failure by the Partner to

adequately pursue a registered opportunity may result in a retraction of McAfee’s prior approval on a
registration, as described below.
McAfee reserves the right to retract a prior deal registration approval for any reason and modify the deal
registration program as necessary. McAfee may, for example, retract a prior approval to a deal
registration due to a registering Partner’s lack of involvement in pursuing the opportunity with the
customer.
Partners are required to have completed, at a minimum, a customer call or meeting prior to a deal
registration submission for a particular opportunity. McAfee reserves the right to contact the customer
regarding the registered opportunity in order to verify that this requirement is met. Failure to adhere to
this term constitutes program misuse, which may result in corrective action by McAfee, as described
below.
Intentional misuse of the McAfee Deal Registration Program may subject a Partner to corrective action by
McAfee, including, but not limited to, a 30 day suspension from deal registration eligibility, suspension
from the McAfee SecurityAlliance program, or other corrective action by McAfee.
McAfee’s discretion, on all terms, is final. McAfee reserves the right to modify these terms to the extent
permitted by applicable law.
All program opportunities must be registered online via one of three available registration options.
Details outlined in the Deal Registration Submission Instructions section below.
The registration incentive is available to the Partner who is first to submit the business opportunity into
McAfee Insight or any other deal registration submission mechanism. Exceptions are rare, but possible,
based on McAfee’s sole discretion, thus, McAfee suggests that Partners submit registrations as soon as
possible after the initial sales call or meeting with the customer. If the same opportunity is submitted by
two different resellers, the first submission will be eligible for the registration approval unless a reseller
can provide evidence of either their discovery of the opportunity or any value they have provided to the
customer relating to the opportunity in question.
For deal registration margin enhancement to apply, the deal registration submission process and quote
approval process outlined in this document must be followed.
Any applicable deal registration margin incentive enhancement will be made available to distribution on
behalf of the McAfee reseller and will be applied to qualifying products on the quote and subsequently
when the Partner places an order for a registered opportunity.
There is no limit to the number of Deal Registration submittals that a McAfee Reseller can submit.
Expansions to existing customer installations are now eligible for deal registration, however, the partner
must have: 1) discovered the opportunity for expansions, and 2) register the opportunity for expansion.
McAfee reserves the right to audit any and all deal registrations, and misuses of the program may impose
consequences from McAfee.
The following scenarios are eligible for registration:
Opportunities at new customer accounts
Opportunities within an existing account
The following scenarios are not eligible for registration:
Opportunities already identified by McAfee directly or other parties where pre‐sale value‐add is
complete
Opportunities submitted or registered by other parties
Opportunities with teaming plans applying to them with another party
Opportunities for products listed in the Exclusions section of the Program Summary table

A registered opportunity submission will also be denied if:
It is already registered by a different Partner
It is submitted by an unqualified partner
There is not a history of Partner involvement in the opportunity
Any other condition indicated in this document is not met
Registrations are effective for one hundred twenty (120) days from the date of the deal registration
approval by McAfee in Insight. Extensions are permissible. Refer to Extension section. For margin
enhancements to apply, the registration must be in effect.
Only initial support purchases are eligible for deal registration, thus, any support purchase must be made
on the same purchase order as the related hardware or software in order to be eligible for deal
registration incentives.
Promotion (‘promo’) code, promotional SKU, and promotionally priced products are often eligible for
opportunity registration. Refer to the terms of each promotion to determine if deal registration benefits
may be stacked on top of the promotional offer.
If an opportunity is expected to be valued at over $100,000 USD, a teaming plan is recommended. Ask a
McAfee Channel Account Manager for details. Often, teaming plan benefits may be in addition to deal
registration benefits.
Note that per the McAfee Quoting Handbook, system security competitive upgrade SKUs are intended for
competitive environments where McAfee is installed on less than 50% of the available nodes. These
deals may be registered.
Competitive Displacement SKUs are to be used solely to replace McAfee competitors. McAfee has the
right to audit the sale of these product SKUs. Inappropriate or unauthorized use of these SKUs may result
in suspension or de‐authorization as a Partner.
Any new program margin enhancement levels can apply to all active, previously registered deals.
However, a quote request with the new margin enhancement must be resubmitted for approval.
An opportunity is only considered “registered” after it has been accepted and confirmed back to the
Partner in writing by the McAfee Channel Account Manager (CAM) and/or an automated email from
McAfee.
Margin Enhancement
If registering Partner and McAfee win the deal
A margin incentive enhancement may be applied for by the registering McAfee Partner prior to order placement.
The margin incentive will be made available to distribution on behalf of the McAfee reseller to be applied to
qualifying products when the Partner places an order for a registered opportunity per the margin enhancement
schedule outlined in this document. Registered deals where special pricing, promotional pricing, or quote
exceptions (‘DAFs’) are applicable will receive the ‘Special Pricing’ margin incentive referenced in the table above.
However, this incentive is calculated based upon the end user’s discounted price as requested by the reseller, as
estimated in calculation of the discount for such line items. Registered transactions must be processed through the
standard McAfee discount authorization process. In other words, a McAfee approved quote is required to obtain
deal registration margin enhancement and/or any other discounts. Additional McAfee discounts, promotions, or
concessions can only be offered with prior written McAfee approval, and an approved quote must be in place
before any non‐standard‐priced order will be accepted. Note, however, that orders with only a promotion code
applying do not require a quote prior to an order being accepted by McAfee. Refer to promotion code details for
further information.

Extensions
An opportunity registration expires one hundred twenty (120) days from the date it is fully approved by McAfee,
unless extended in writing by McAfee. Requests for an extension beyond the one hundred twenty (120) day time
limit should be submitted to the responsible Channel Account Manager (CAM) or
DealRegSubmission@McAfee.com at least seven (7) days before the registration expiration date so that proper
approvals may be obtained before the expiration. Expired deal registrations may be at risk of being registered by
another channel partner if not extended before the expiration date.
The McAfee CAM/iCAM that is processing an extension request must obtain a special permission from a Channel
Director or Vice President in order to obtain an approval for the extension. An extension may be requested from
the CAM or by emailing the request with a justification for the need for extension to
DealRegSubmission@McAfee.com. Extensions will last for a period of an additional one hundred twenty (120)
days, and upon expiry, an additional extension request must be submitted.

Protection Suites are existing

variety of other suites can be upgraded as well, including current users of Active VirusScan SMB Suite Edition (SVM,
SVS), Active Virus Defense SMB Suite Edition (ADM, ADS), Total Virus Defense (TVD), Active Threat Protection
(ATP), VirusScan Suite (VSE), and Active Mail Protection (AMP). Upgrades to the Endpoint Protection Suites from
McAfee Total Protection are additionally eligible for deal registration.

Secure Computing Subscription Migration Terms
Secure Computing subscriptions that are being moved to perpetual licenses at the time of renewal are considered
new business and are eligible for deal registration.
SECURE COMPUTING SUBSCRIPTION MIGRATION PATHS
When converting Secure Computing subscription licenses to McAfee’s replacement perpetual licenses, Partners may
request deal registration benefits. This table outlines the migration path of each Secure Computing subscription‐based
product line to the new McAfee perpetual license product lines.

One‐Year Registration Benefits
The Deal Registration Margin Enhancement will be honored for one (1) year after the date of the initial registered
sale where the initial sales price is $15,000 USD MSRP or more.
For follow‐on orders, the Partner, CAM, or field rep must submit the quote request from the initial registered
opportunity, and must note the first order number and order date in the notes field. This rule will be enforced by
the deal desk.
Deal Registration Submission Instructions
McAfee has created an online deal registration approval process in the McAfee Insight system. This process is
available to eligible Partners and uses a proven deal registration methodology equipped with multiple checks and
balances. In order to register new opportunities, Partners must provide specific details including information
about the decision maker, the budget, and project specifications. McAfee will then, at its sole discretion, approve
the registration based on the criteria outlined in the program rules. Opportunity registration submissions will be
approved or denied within a timely manner.
McAfee is reinvesting into this process to provide the best deal registration system possible, but in the short term,
please leverage one of the deal registration submission options available.
There are three means of submitting a new deal registration to McAfee:
1. Submission Directly into Insight (formerly MAX) – This is the most complete submission methodology
although it may not be as user friendly as the other options. McAfee is working to resolve this, but
prefers this option as partners generally get the best response time using this system.
2. Submission into the Insight Partner Portal Deal Registration Web Interface – This is an easy‐to‐use
interface, but there are fewer fields within this interface, which may require a McAfee iCAM to email
submitters with additional questions about the opportunity, which may slow down the approval process.
Be sure to put your email address and phone number in the Comments field with this method.
3. Submission via Excel file to the McAfee Partner support team ‐ This is a very manual means of submitting
a deal registration, as it requires an iCAM to manually enter registrations into Insight on behalf of
Partners. Please use this methodology only when the systems above are unavailable or if you have
difficulty using the system. Note that approvals may be slower using this methodology.

To use this methodology, an Excel spreadsheet must be filled out. The fields of data requested in this form closely
mirror the fields of data requested in the Insight Opportunity interface (per deal registration submission option
#1). Excel forms should be completed and emailed to DealRegSubmission@McAfee.com. The latest version of the
deal registration submission Excel form can be obtained by emailing a request for the form to the same mailbox.
To Inquire About the Registration Status of a Submitted Opportunity
The deal registration submitter will be notified by email of deal registration Acceptance or Rejection. Alternatively:
Visit Insight and select My Opportunities as directed above.
One can scroll through your list of opportunities to find your registration or select All Registered Deals on
the Saved query in the upper right to see just submitted registrations, or query on end user name.
When McAfee has approved your registration, the Registration Status field will change to “Accepted”.
The Partner is requested to regularly update the following information in Insight: “Win Probability %,”
“Close Date,” and “Sale Stage.” When the transaction is won, lost, or is no longer a viable sales
opportunity, the opportunity status should be updated to indicate this changed status.

14. Click on Submit to McAfee for Approval.
15. Once the quote has been approved by McAfee, provide the approved Quote Number upon order submission
to your Distribution partner, and reference “Deal Registration” to distribution.
Alternatively, McAfee can create a quote on the Partner’s behalf. Simply send an email to
dealregsubmission@mcafee.com with the following pieces of information: Opportunity ID, SKUs and nodes/
quantities of each, and preferred distributor. McAfee will soon respond per the standard quote delivery method
(via Insight for MSRP, and via the selected distributor for actual reseller pricing). Partners can additionally have
McAfee add quote line items or make quote changes by sending an email to the same mailbox. Please include the
Quote ID and description of changes required in the email. The assigned McAfee sales representative can also
assist.

If a registered opportunity is closed by another McAfee Partner
If the registered opportunity is closed by another McAfee Partner selling the same McAfee solution, the Partner
that registered the deal may claim the incentive rebate for registering the deal, calculated per the terms outlined
in the program summary table of this document. The finders’ fee percentage offered will be multiplied by the
MSRP for all qualifying McAfee products sold with the registered transaction. Note that if the closed deal was
discounted more than 50% off of MSRP, a reduced finders’ fee will be available to the registering reseller, as
outlined in the program summary table in this document. No finders’ fees are paid if the McAfee opportunity is
not closed by McAfee.
The finders’ fee is only offered to the registering Partner on one purchase, defaulting to the initial purchase unless
otherwise agreed upon in writing with McAfee. Finders’ Fee payments are limited to $20,000 USD per registered
deal closed by a reseller that competes with the reseller that held the approved deal registration.
Finders’ fee claims must be submitted to McAfee per the instructions below within 45 days of deal closure,
which is determined by the date of McAfee’s invoicing to the distributor for the relevant deal.
The registering Partner must submit the Finders’ Fee claim to be eligible for payment. Claims received from
McAfee personnel on behalf of the Partners will be rejected due to financial policies. Claims shall be reviewed and
approved or denied within forty‐five (45) days after claim acceptance. Payments will be made within 30 days after
claim approval unless McAfee needs to obtain any tax documentation that may be required by law prior to
payment. (For example, in US, a W9 tax form or in Canada, a W8Ben form).
PARTNER PROCESS FOR SUBMITTING A FINDERS’ FEE CLAIM
Follow this simple process below if a competing McAfee Partner closes your registered transaction. Note that Finders’
Fee claims must be submitted to McAfee per the instructions below within forty‐five (45) days of deal closure, which is
determined by the date of McAfee’s invoicing to the distributor for the relevant deal.
Registering Partner must send an email to McAfee at: McAfeeDealRegClaim@McAfee.com
Subject Line: Deal Registration Claim
Within the body of the email, send the following information relating to the registration and closed deal:
Opportunity ID # of the registered deal
Reseller name (No abbreviations please)
Name, phone number, and email of Partner point of contact on the claim
End‐user company name (No abbreviations please)
Products purchased (or at least product line or product type if specific SKUs are unknown)
Approximate date of deal closure
McAfee reserves the right to review paid claims. If deals are refunded, McAfee reserves the right to reclaim any
Finders Fees paid.
If additional information is required on a deal registration Finders’ Fee claim submission, administration will submit
no more than two requests for any needed additional information to the original claim submitter. The Finders’ Fee
claim will expire thirty (30) days after the second request for additional information if no response is received.
Note that the registering Partner must have added value to the sales process, therefore McAfee reserves the right
to modify the finders’ fee amount as appropriate or retract a prior approval on a deal registration at any time (and

therefore eliminate all finders’ fees relating to the opportunity) dependent on the level of engagement and value
that has been added by the registering Partner.
If the circumstances require that your approved Registered Opportunity be converted to a direct engagement
with McAfee:
This is extremely rare, but sometimes customer purchasing requirements force the sales transaction to be made
directly with the manufacturer. McAfee recognizes the valuable contribution of the Partner and so offers the same
finders’ fee described above for situations when a registered McAfee deal is closed by a non‐registering reseller.
To claim this finders’ fee, refer to the same process to submit a standard finders’ fee claim. Please note that the
deal was taken direct on the claim submission.
