SPECIAL POWER OF ATTORNEY

3) To accept and collect, in full payment, the proceeds of the sale, either in

sale of the afore mentioned property/ies and sign for the receipt thereof;

4) To pay expenses for capital gains, real property taxes and any and all such
expenses that may be agreed upon between such Attorney-in-Fact and the
buyer;

5) To engage the services of a reputable real estate broker, a lawyer, a tax

professional and such other professional real estate practitioner, if
necessary, to ensure the expeditious and smooth sale of the property/ies
and to pay their respective fees and/or commissions from out of the
proceeds of sale of the same; and

6) To do and perform any and all other lawful act and deeds necessary or
incidental to undertake the execution and finalization of sale, transfer or
conveyance of the said property/ies and to carry out effectively any and
all of the purposes for which this authority is hereby given.

HEREBY GIVING AND GRANTING unto the said Attorney-in-Fact full

power and authority to do and perform all and every act and thing whatsoever
requisite and necessary to be done in and about the premises, and hereby
ratifying and confirming all that said Attorney-in-Fact shall lawfully do or cause
to be done by virtue of this Special Power of Attorney.
