Water and Sanitation Corporation “WASAC Ltd” is a Government owned Company established
under company law No 07/2009 of 27/04/09 amended to date relating to companies and Officially
Registered in RDB number 103370539, from 01/04/2014.
The Board of Directors was nominated on the 29/07/2014 and has governed for two years. In the
aim to build the capacity of the board, the Administration of WASAC Ltd invites the qualified
consulting firms to submit your best proposal to carry out a board evaluation exercise and training
needs analysis for the members. Detailed terms of reference can be found on WASAC Ltd website
(www.wasac.rw).
The well typed proposals (technical and financial, in separate envelopes), appropriately bound and
presented in four copies being one original and three copies, must reach in sealed envelopes at the
Secretariat of the Manager of the Procurement Unit at WASAC Head Office at Gishushu, KN 5RD,
Rukiri I, Gasabo District, Kigali City, Rwanda on or before 30/01/2017 at 9:30 a.m local time.
The Outer envelope should clearly indicate the tender number and title
Bidding will be conducted in accordance with the WASAC Procurement Manual under the QCBS
selection method.
The opening of bids will take place on 30/01/2017. at 10:00am local time in the conference room of
WASAC in public session.

TERMS OF REFERENCE FOR RECRUITMENT OF A CONSULTANCY FIRM TO
CARRY OUT A BOARD EVALUATION EXERCISE AND TRAINING NEEDS
ANALYSIS.
1. Background
Water and Sanitation Corporation “WASAC Ltd” is a Government owned Company established

on the 29/07/2014 and has governed for two years. In the aim to build the capacity of the board, the
Administration of WASAC Ltd invites you to submit your best proposal to carry out a board
evaluation exercise and training needs analysis for the members.
The Board performs three major roles in the company – it provides direction (i.e. sets the strategic
direction of the company), it controls (Monitoring and evaluation) and provides support and advice
(advisory role). Board evaluation typically examines these roles of the Board and the entailing
responsibilities, and assesses how effectively these are fulfilled by the Board.
Regular board performance evaluation helps ensure that board standards are maintained and the
organization is capable of ensuring long-term viability and credibility
It is against this background that WASAC through its capacity building is seeking to hire the
services of a qualified consultancy firm to carry out a board performance evaluation exercise and
training needs analysis and elaborate the terms of references for the consultant firm to conduct the
trainings
2. Objectives
The aim of this evaluation is to assess the performance of WASAC’s 7 Board of members within
the last financial year in line with their terms of reference and to identify the present training
gaps/needs and therefore elaborate terms for references for the consultant firm to conduct the
required trainings. This will lead to improved performance and efficiency of the board in terms of
corporate governance.
Note: The consultant is expected to clearly state the methodology that they will use to
carry out the above tasks to achieve the best results.

The duration of the contract is in total of Two and half (2.5) months, this includes anticipates time
inputs for preparation and review.

Technical Requirements
1. General experience of the firm should be a minimum of five years (10 point)
In charge of the coordination and supervision of all the activities planned in the framework of
these terms of reference:
i. Qualification: A Master’s Degree in corporate governance or its equivalent (attach the
notarized copy of the Degree);
ii. Seven years of experience
iii. Specific Experience: to have worked as team leader on two assignments for companies of
WASAC’s nature;
iv. Good understanding of corporate governance issues and company law in Rwanda
v. Good communication skills and fluency in English.
vi. Computer literacy.

The Consultant may propose other additional support staff (will not be taken into consideration
during evaluation) necessary for successfully for project execution
