The Registered Office of the Company will be situated in the State of Maharashtra i.e. within the jurisdiction of Ragiswar of Companies, ‘Maharashtra at Mumbai. ‘The objects for which the Company ig established are: MAIN OBJECTS OF THE COMPANY TO BE PURSUED BY THE COMPANY ON ITS INCORPORATION ARE: ‘To undertake and carry on all or any of the trades and business of freight contractors, carriers, shippers, shipping agents, ship owners, ship brokers, freight brokers, underwriters, ship managers, tug owners, agents for owners / charterers of all types of ships including tankers, bulk carriers, containers, agents of operators of shipping lines, consolidation and ‘multimode! transport operations. OBJECTS INCIDENTAL OR ANCILLARY TO THE ATTAINMENT OF MAIN OBJECTS: To enter into, make and perform contracts of every kind and description, agreements and arrangements with any person, firm, association, ‘corporation, municipality, country, state body or Government or colony or dependency thereof. To buy, exchange, alter, improve, manipulate, prepare for market and otherwise deal in all kinds of plant, machinery, apparatus, tools utensils, receptacles, substances materials, articles and things, necessary or convenient for carry on any of the business or processes of the Company usually dealt in by persons engaged in the like business or processes. ‘To procure recognition forthe Company in any part of the Country. To amalgamate with any Company or Companies having objects altogether or in part similar to those as this Company or any other Company subject to the provisions of Sections 391 to 394 of the Companies Act, 1956. ‘To open branches in India and to get the Company registered in any foreign country and adopt such means of haking known to the public the business or the products of the Company as may seem expedient and in particulars by advertising in the press, by circulars, and publication of ‘books and periodicals. ‘To camry on business in India'as that to Agent and/or License holder of an ‘any domestic and/or any intemational shipping companies, airlines of ‘world and to collect money on their behalf. ‘To own steamer ship, containers, trucks, cars and other transport vehicles for business of Company and to give them on rent or on lease for its profitability. a To acquire and undertake the whole or any other part of the business, ‘goodwill, and assets of any person, firm or Company carrying on or proposing to carry on any of the business which the Company is authorised to carry on. Toremunerate any person, firm or Company rendering services to this ‘Company, either by cash , payment or by the allotment to him or them of shares or securities of the Company credited as paid up in full or in part, cor otherwise, as may be thought expedient, To promote any other Company for the purpose of acquiring the any part of the business or property and undertaking any of the i of this Company, or of undertaking any business or operations ‘which may appear likely to assist or benefit this Company or to enhance « the value of any property or business of this Company, and to place or ‘guarantee the placing of, underwrite, subscribe for, oF securities of any such Company as aforesaid. To sell or otherwise dispose off the whole or any part of the business or property of the Company, either together or in portions, for such ‘consideration as the Company may think fit, and in particular for shares, debentures, or securities of any Company purchasing the same. Subject to the provisions of Companies Act to subscribe or contribute any ‘money for any national, charitable, benevolent, public, objects of any exhibitions, or for any other purpose including contributions, which may be considered directly or indirectly to further the objects of the Company ‘or the interests of its members or its profitability. To carry on the business which may seem to the Company capable of being conveniently carried on in connection with the above objects, or calculated, directly or indirectly to enhance the value of or render more profitable any of Companys propery. ‘To open an account or accounts with any individual, firm or Company or with any Bank or Bankers or Shroffs and to pay into and to withdraw from such account or accounts. To take part in the formation, management, supervision, or control of the business or operations of any Company or undertaking and for that ‘purpose to act as administrators, receivers or in any other capacity, and to ‘appoint and remunerate Directors, administrators, managers or ‘accountants or other experts oF agents. To purchase, take in exchange, charter, hire or otherwise acquire, build ‘and hold ships or vessels and to maintain, repair, improve, alter, sell, ‘exchange or let out, hire or otherwise deal with, dispose off any ships. To enter into any arrangement by way of a tumkey project involving supply of technical, civil, financial, administrative, plant and merchandise, n, knowledge and experience and as such, undertake for and on behalf ofa client to setup plant or project or outside India, To act as a service organisation or bureau for providing réndering and/ or undertaking technical, general, administrative, advisory, consultancy, ‘commercial, engineering, financial, liaison, management , marketing, purchasing, operational, agency, industrial know how, scientific personnel, ‘quality control, research and other services to’ individuals, firms, Companies, corporate bodies, trusts, associstions, organisations or institution, in India or abroad, and to utilise, the expertise already developed by the Company for the above, purposes as_also to employ experts on the relative subject hd make available their services to others inthis behalf. To cary on the business of manufacturers of and dealers in all types of foot-wear of leather, rubber, P.V.C. or any other materials and as ‘manufacturers of and dealers in traveling bags, brief cases, beddings and every description of leather, rubber and P.V.C. goods or goods ‘manufactured out of any other materials.
