ARTICLE I.

Name

Section 1.        This organization shall be officially called the Youth Entrepreneurship


Club

                                                              ARTICLE II.

Section 1.         Youth Entrepreneurship Club

ARTICLE III.

Object or Purpose.  

 The purpose of this organization shall be to inspire and coach young entrepreneurs
to get an early start on small business management and gain a better understanding
of financial literacy through enterprise and technology. The club will help build
entrepreneurial skills through networking, leadership, providing relevant information
and hands on experience.

ARTICLE IV.

Membership

Section 1.        Currently enrolled members are youth with an entrepreneurship mind
set and we do not discriminate against ability, race, ethnicity, religion, age, gender,
and political affiliation. Members are welcome to bring guests to attend meetings or
join as a member if they wish.

Section 2.        Membership will be established by attending club meetings, paying


dues, and expressing an active interest in the club.

 
Section 3.        Potential members interested in joining the club must pay their dues
on the third official meeting they attend. Dues will always be 20000ug.shs. To be
constituted as a member, one must have all their dues paid in full. Dues must be
paid by all members of the club including the officers. Club officers may modify due
amounts at any time and must be voted on according to the guidelines set forth in
Article XIII, Methods of Amendment.

ARTICLE V.

Meetings

Section 1.        Club meetings shall be held weekly

Section 2.        Officer meetings shall be held at minimum once monthly during the
beginning of the new month.

Section 3.        Special meetings may be called by the president given that all
members have been notified at least forty-eight hours in advance

Section 4.          There must be a quorum (two-thirds of members) to conduct a


meeting.

ARTICLE VI. 

Club Positions and Responsibilities

Section 1.        Responsibilities and duties of all Entrepreneurship Club Officers shall


be:

1. Assist with creating by-laws for the constitution


2. Promote a positive attitude of the club to prospective members
3. Attend all Board of Director meetings as described in ARTICLE V, Meetings.
4. To maintain the confidentiality of discussions, notes, and minutes of the Youth
Entrepreneurship club Officer meetings unless specifically requested and
agreed upon by the officers as a whole.
5. Communicate to one another to ensure all laws and By-Laws of the
constitution are being fulfilled by all officers and members.
6. Plan and organize educational events and speakers for the organization.
7. Make certain that club members promote a positive attitude about the club
and always welcome new members.
 

Section 2.        President

The responsibilities and duties of the Youth Entrepreneurship Club President shall
be, but are not necessarily limited to, the following:

1.To act as the official representative and spokesperson of YEC


2.link between the club members and the club advisor, Jeremy Phillips.
3.Conduct all board of director meetings and club meetings with the help of the
other club officers
4. Update the club file for the next officers. The file includes all necessary
documents for each position to effectively conduct their duties.
5. Prepares agendas for all executive board meetings and club meetings with
the help of the other club officers
6. Oversee all other officers in that their job duties are being fulfilled
7. Arrange speakers for upcoming meetings with the help of the other club
officers
8. Supervise recruitment events and fundraisers
9. Maintain current and organized documentation of all past and prospective
speakers and their contact information
10. Assist in the implementation of fundraisers
11. Aid in the planning of field trips and other club events
12. Attend all other leadership conferences offered in different places
13. Serve as the deciding vote in the event of a stalemate or electoral tie among
officers or club members
14. Coordinates website development and keeps it current at all times
Section 3.        Vice-President

The responsibilities and duties of the Entrepreneurship Club Vice President shall be,
but are not necessarily limited to, the following:

1. Assist the president in their duties


2. Assist in creating meeting agendas
3. Work with president in creating schedule for events for the whole year
A. Assume the responsibilities of the president in his/her absence
B. Attend all Council of Youth Entrepreneurship Club (YEC) meetings
Section 4.        Director of Communications (Secretary)

The responsibilities and duties of the Entrepreneurship Club Secretary shall be, but
are not necessarily limited to, the following:

1. Communicate to club members using the designated e-mail account about


meetings, events, trips, and other related activities within the club
2. Responsible for checking the e-mal account on regular basis and following up
on questions and comments
3. Perform secretarial duties; this includes recording the main topics at the
meetings for people who may have missed and keeping track of club member
attendance.
4. Keep in close contact with the Chief Financial Officer concerning attendance
and dues
5. Work with Director of Marketing in keeping online promotional sites such as
Facebook updated.
6. Maintain the current and past membership list
Section 5.        Finance (Treasurer)

The responsibilities and duties of the Entrepreneurship Club Treasurer shall be, but
are not necessarily limited to, the following:

1. Maintain complete record of official members and membership dues


2. Collect and deposit all membership dues
3. Record and keep receipts for any expenses incurred
4. Purchase supplies for meetings or fundraising events when needed
5. Prepare budget and keep the checking account balance current at all times
6. Assist in development and funding of events
7. Bring club check book to all meetings and events

Section 6.        Marketing and Promotions

The responsibilities and duties of the Entrepreneurship Club Marketing and


Promotion person(s) shall be, but are not necessarily limited to, the following:

1. Manage promotions of the club by recruiting new members and keeping


current members actively involved.
2. Find sponsors and keep them informed on events happening within the club.
3. link between sponsors and the Board of Directors
4. Work hand in hand with the president to post meeting schedules on the club
website advertising to members and prospective members about the club
meetings
5. Manage the set-up and ordering of clothing apparel each year
6. Keep in close contact with the Director of Events in planning and promoting
upcoming fundraisers.

Section 7.        Outreach (Events Planner)

The responsibilities and duties of the Youth Entrepreneurship Club Events Planner
person(s) shall be, but are not necessarily limited to, the following:

1. Plan events with budget approval from the president


2. Schedule speakers in compliance with the president
3. Responsible for scheduling for events
4. Responsible for lining up transportation for group trips
5. In charge of scheduling field trips and group events in compliance with the
president
6. Help plan fundraising events and educational trips

Section 8.        Faculty Advisors

The responsibilities and duties of the Youth Entrepreneurship Club Faculty Advisor
person(s) shall be, but are not necessarily limited to, the following:

1. Attend meetings and events as needed to support and oversee club activities
2. Ensure policies and procedures established by the Youth Entrepreneurship
Club Constitution and By-Laws are followed by club officers and members.
3. To determine the eligibility and distribution of any stipends

ARTICLE VII.

Advisors

Section 1.        Provision for the section of advisors

1. At least one advisor shall be selected by the organization


2. Advisor must be approved by the board of directors Office
3. At least one Advisor must be Empower African Children staff member

Section 2.        The duties as an advisor are to be a resource to the officers to help


facilitate activities.

ARTICLE VIII.

Officer Eligibility and Voting

Section 1.        Candidates running for office are to present a short speech, at the
meeting prior to election date, about why they feel they would be a good candidate

Section 2.        All officers shall be elected by secret ballot at the third to last official
meeting before the term is up.

Section 3.        Ballot voting shall be conducted first by the Adviser, In the absence
of the adviser, the president may conduct the voting process.

Section 4.        The individual conducting the voting process shall hand out, collect
and count ballots from active members (membership qualifications, ARTICLE IV,
Membership). The person conducting the vote shall tabulate the results with one
other current officer from the club who is not running for re-election. The results will
then be announced. The number of votes and/or tie-breaking situations for each
position shall not be discussed or released beyond the two persons verifying the
votes.

Section 5.        Candidates with a majority vote shall be elected into office

Section 6.        If there is a tie, the President’s vote shall break that tie.

Section 7.        If a vacancy shall occur, it shall be filled at a special meeting called
for the purpose of electing the officer. Members shall be given at least forty-eight
hours notice of this special meeting.

Section 8.        Officer Eligibility


1. Officers must be in good academic and disciplinary standing
2. She/he must be offering/offered a course corresponding to his post
3. She/he must have attain(ed) a GPA of no less than 2.7 (maintained)

Section 9.        The length of each officer’s term shall begin after one year.

Section 10.      Removal from Office

1. Any officer who has failed to fulfill their responsibilities may be removed by a
two thirds vote of the executive board.
2. All parties concerned shall have the opportunity to present their case
3. A vacant office shall be filled according to Section VIII.

ARTICLE IX.

Committees

Section 1.        Special committee can be established by appointment or by a


majority vote of the members

ARTICLE X.

Finances

Section 1.        Source of funds

1. Membership Dues
2. Outside Contributions
3. Fundraising
4. Agricultural investments
5. Performances on different occasions like wedding parties, cocktails and give
away ceremonies, etc
Section 2.        State the method of the expenditure of funds.

1. All funds are to be deposited and withdrawn by the president and the financial
director at a local bank
2. Funds shall be expended upon the authorization of the organization by a
majority vote of the officers or the advisor if the amount to be spent is greater
than or equal to 500,000ug.shs
Section 3.        An audit may be conducted at any time for proper management of
funds. A special audit can be undertaken upon a vote of the majority of the members
present at any regular meeting or at the discretion of the Officers and/or Advisor

ARTICLE XI.

Parliamentary Authority

Section 1.        Meetings will be conducted following the pre-organized agenda

ARTICLE XII.

Reading of the Constitution

Section 1.        The constitution and by-laws shall be distributed/read to all members


at the first meeting.

Section 2.        The constitution and by-laws shall be distributed/read to all newly


elected officers when their term begins.

Section 3.        Each new member will receive a copy of the constitution and by-laws
and are expected to read it

when they are accepted into the organization

ARTICLE XIII.

Methods of Amendment

Section 1.        This constitution may be amended at any executive board meeting by


a two-thirds vote of all officers. The proposed amendment(s) shall be submitted in
writing to all officers of the organization at least seven days before being voted upon
