Parties: a) (2) Gas Sales and Purchase Notice # 47 dated. 29.06.2018 GAIL (India) Ltd (*Sellee”) Bhagyanagar Gas Limited (“Buyer”) for their City Gate Station located at Kakinada Agreement: “This Gas Sales and Purchase Notice (GSPN) is issued pursuant to the terms and conditions of the Spot Gas Sales Agecement dated 16.07.2015 executed benween the Seller and the Buyer (che “ Agreement”) : “Terms not defined in this GSPN shall have the meaning given in the Agreement. ‘The execution of this GSPN by the Parties shall form a valid and several obligations whereby the Seller agrees to sell and deliver Gas to Buyer and Buyer agrees to purchase and take delivery of and pay to Seller for such Gas, all in accordance with the Agreement and the terms set out in this GSPN. Contract Quantity: Total quanti of Gas agieed to be sold / purchased (in MMBTU) on GCV basis: 1625 MMBTUs. [As the Buyer's Delivery Point is located in Andhra Pradesh, the supply of above quantity shall be subject to Selles’s Operational Flexibility inchuding availability of pipeline capacity in East West Pipeline for supply /transportation of the gas supply under this Agreement. Daily Contract Quantity The Daily Contract Quantity (OCQ) to be made available for delivery by the Seller to the Buyer in respect of each Day of the Supply Period shall be not more than 375 MMBTU/Day. ‘The Buyer shall nominate the Properly Nominated DCQ (PNDCQ) for the Day of drawl latest by 18:00 His of the preceding Day which shall be finalized on mutvally agreed basis. The actual drawl shall not exceed the murually agreed PNDCQ. APM Gas supplied by Seller econd Priority 3. Spot RLNG supplied by Seller under this GSPN. — Third Priority Special Conditions to the Agreement: . Gas supply under this GSPN shall be always subject co availability of gas and technical operation flexibility of Seller. For the purpose of this GSPN, Articles 7.1, 7.2 and 7.3 of the Agreement shall not be applicable, . Notwithstanding Article 7.5 of SGSA, Buyer may nominate to Seller the gus quantities upto 100% of DCQ for supply on the subsequent Day. The request of Buyer to the extent agreed by Seller shall be considered the PNDCQ for contractual purposes. Intraday nominations by the Seller/ Buyer may be made subject to Seller's Operational Flesibility and in line with Aexibility available to Seller from RGTIL in this regard. The above Price is exclusive of ship or pay charges, overrun charges, imbalance charges and Jor deferred delivery services, caxes, duties, service charges, statutory levies, ete. by whatever rname ealled and levied by third patty for transportation of gas and/or either Governments Agency or local bodies ot both shall be payable extra, if applicable, from time to time, ‘The Buyer shall be liable for any and all of above taxes, duties, service charges, statutory levies, ship of pay charges, oversun charges, imbalance charges and/or deferred delivery services, etc. if applicable, with respect ro the sale, transfer, transport or importation of Gas. ‘Any taxes, duties, service charges, starurory levies, tc. for whieh the Buyer is lable under this Clause but which may have been paid by the Seller shall be reimbursed by the Buyer together with applicable interest, if any, within 15 days after written request by the Seller. If the payment is made by Buyer after'15 days, the interest on delayed payment shall be payable by the Buyer.
