3. Statutory requirements
Transferring assets to an LLC (limited liability company) must follow 3 steps:
- Register the change to increase charter capital of the company through
transferring member’s asset into equity (đăng kí thay đổi tăng vốn điều lệ của
công ty do được rót them vốn vào qua việc chuyển giao tài sản)
- Revalued the assets up to date before being transferred to the company (đánh
giá lại giá trị tài sản đến trước ngày được chuyển giao cho công ty)
- Prepare minutes called “deed conveying” real property, asset from the
members to the LLC (chuẩn bị giấy tờ, văn bản chuyển nhượng bất động sản,
tài sản từ nhân viên cho công ty TNHH)
Make sure that you know what type of your transferring assets are because
we have to apply different requirements for each type
According to clause 1, Article 36 of the Enterprise Law,
For assets with registered ownership or value of land use rights, the
capital contributor shall carry out the procedures at a competent state
agency to transfer the ownership of such assets or the value of land use
rights to the company. ( Đối với tài sản có đăng ký quyền sở hữu hoặc
giá trị quyền sử dụng đất thì người góp vốn phải làm thủ tục chuyển
quyền sở hữu tài sản đó hoặc quyền sử dụng đất cho công ty tại cơ
quan nhà nước có thẩm quyền.)
NOTE: For Capital contribution for company establishment (đối với việc góp
vốn thành lập doanh nghiệp)
Clause 2, article 48 of the Enterprise Law,
Members shall make capital contribution to the company sufficiently and with the
right types of assets as committed at the time of registering the enterprise
establishment within 90 days after the enterprise registration certificate is granted.
(Thành viên phải góp vốn phần vốn góp cho công ty đủ và đúng loại tài sản như đã
cam kết khi đăng ký thành lập doanh nghiệp trong thời hạn 90 ngày, kể từ ngày
được cấp Giấy chứng nhận đăng ký doanh nghiệp)
If not, members will be handled as in Clause 3 and clause 4, Article 48 of the
Enterprise Law
