Contract # C2737 CONTRACT STATE OF FLORIDA DEPARTMENT OF ECONOMIC OPPORTUNITY THIS CONTRACT (“Contract”) is made and entered into by and between the State of Florida, Department of Economic Opportunity ("DEO"), and TelaForce, LLC (Titan Technologies) (“Contractor”). DEO and Contractor are sometimes referred to herein individually as a “Party” and collectively as “the Parties.” |. CONTRACTOR AGREES: A. Attachment 1, Scope of Wor! Contractor agrees to provide the goods and/or services in accordance with the conditions and criteria specified herein, and in Attachment 1, Scope of Work. 8. Type of Contract: This Contract is a fixed price labor hour Contract. C. Contract Dates: This Contract shall become effective on the date this Contract is signed by DEO and shall end one year thereafter. Executive Order shall not be obligated to pay for costs incurred related to this Contract prior to its beginning date or after its ending date. D. Contract Payment: 1. This Contract shall not exceed Seventy-Nine Million Nine Hundred Eleven Thousand Five Hundred Twenty Dollars ($79,911,520.00), which shall be paid by DEO in consideration for Contractor's provision of goods and/or services as set forth by the terms and conditions of ‘this Contract. The State of Florida and DEO’s performance and obligation to pay under this Contract is contingent upon an annual appropriation by the Legislature and availabilty of any and all applicable federal funds, DEO shall be the final authority as to the availability of funds for this Contract, and as to what constitutes an “annual appropriation” of funds to complete this Contract. If such funds are not appropriated or available for the Contract purpose, such event will not constitute a default on DEO or the State. DEO agrees to notify Contractor in writing at the earliest possible time if funds are not appropriated or available. The cost for services rendered under any other Contract or to be paid from any other source is not eligible for reimbursement under this Contract. 2. Nothing provided for herein may be construed as representing actual, guaranteed, or minimum spend under this Contract. The amount above represents the maximum possible amount available under this Contract. The contract period and any renewal periods set forth herein may not be construed as representing an actual, guaranteed, or minimum contract period under this Contract. DEO’s staffing needs under this Contract may change over time. DEO may request that the Contractor increase or decrease staff numbers as necessary to meet DEO’sneeds under this Contract.
