1. What defense RA using to prevent hostile takeover from Grab ride sharing?

 RA’s BOD: viewing our intentions as a hostile takeover + take whatever actions it can to
prevent it going ahead  potential post bid defences
 PR Officer = communicate very quickly with its stakeholders  establish strong reasons for
remaining independent.
- Speaking publicly  consistent and strong message to all of its stakeholders at the
same time.
- Presented the acquisition in a very negative light  create a negative impression with
the general public before negotiations have even commenced
 Further tactic = price that we offer is too low, even not - process yet and initial approach
 Attack Grab as an organization  our culture or management style is not appropriate 
focusing on their ability to be agile and flexible = adapt to market changing  large entity =
unable to achieve  if negotiations proceed = little synergies and high risks.
 Consider white knight:
 Counter bid to acquire ourselves
 Call in the Competitions Authority - as anti-competitive in micro-mobility in Geeland

2. How internal audit team help to reduce the accident risk?


 Strong IA department = reduce overall risks + increase investor’s confidence + benefits to
stakeholder
 Professional: conducted in accordance with appropriate professional audit standards +
identify areas identified using a risk-based approach.
 Authority: provide feedback to managers  Manager responsible will agree a plan for
rectification  IA: ensure that agreed changes are implemented.
 Independent: Good practice  overseen by Runnabout’s Audit Committee (part of BOD) 
submit a written report to the Chief Internal Auditor at the conclusion of each audit
investigation  seek authorization from Audit Committee before deviating from the plan +
revisions to the plan or to request special investigations
